Dataminr announced on March 19, 2025, that it had secured $85 million from NightDragon and HSBC through a combination of convertible financing and credit. The company said it would use the capital to develop generative and agentic AI, expand go-to-market efforts in Europe, the Middle East and Asia, and build products for additional industries. The deal did not set a new company valuation, so it was not a conventional priced equity round.
What Dataminr’s $85 million financing included
The announcement combined two kinds of capital: convertible financing from NightDragon and technology-credit financing from HSBC. Dataminr did not disclose a breakdown of the $85 million between the participants or detailed contractual terms. CEO Ted Bailey described the convertible portion as pre-IPO financing, but that wording does not establish that an IPO was scheduled.
NightDragon also planned to form a special-purpose vehicle that could offer up to an additional $100 million in convertible financing to third-party investors. That was a potential additional source of capital, not part of the $85 million announced as secured. Dataminr’s announcement and TechCrunch’s report describe the structure and planned vehicle.
How convertible financing differs from a priced equity round
In a priced equity round, a company and investors agree on a valuation and price shares accordingly. Convertible financing supplies money now that can convert into equity later under negotiated terms. Such financing can defer setting a valuation; it does not eliminate the possibility of future dilution. HSBC’s credit component is debt-like rather than ordinary equity, though the specific repayment terms were not made public.

Dataminr did not disclose conversion discounts, caps, interest rates, maturity dates, covenants, or repayment rights. Without those terms, it is not possible to calculate the future ownership impact or the cost of the credit. The key point is that the March deal provided capital without announcing a new valuation.
Why the financing mattered to Dataminr
Dataminr’s previous major financing was a $475 million round in 2021 at a reported $4.1 billion valuation, according to TechCrunch. The 2025 financing was smaller and used a different structure, so the amounts alone do not show whether the company’s value had risen or fallen. In November 2023, TechCrunch reported that Dataminr had cut roughly 20% of its workforce as it shifted its emphasis toward AI.

For a late-stage private company, deferring a priced round can avoid accepting a new valuation in a difficult market. But convertible capital can still dilute shareholders later, and credit can carry repayment obligations. The financial consequences depend on terms that were not disclosed. Dataminr said the new money would support growth, international sales efforts, and product development rather than announcing a valuation reset.
What Dataminr sells and who uses it
Dataminr describes its platform as an AI system that identifies events, risks, and threats from public data signals. The company says it draws on more than one million public data sources and processes text, images, video, audio, and sensor data across more than 150 languages. Those are company descriptions, not independently audited measures of coverage or performance.

The company said in March 2025 that it was approaching $200 million in annual recurring revenue, served two-thirds of the Fortune 50 and half of the Fortune 100, and worked with more than 100 U.S. government agencies and more than 20 international governments. These figures were company-reported, not presented as independently audited results. TechCrunch separately reported more than 800 customers, 1,500 newsrooms, and a five-year, $282 million U.S. Department of Defense contract.
How the funding connects to Dataminr’s AI plans
Dataminr said the financing would support continued generative- and agentic-AI development. The company had launched ReGenAI in 2024, describing it as a tool that regenerates live event briefs as situations evolve. It also announced Context Agents for launch in April 2025, intended to add real-time context around breaking events, risks, and threats. The company has discussed future client-tailored context and predictive capabilities in its agentic-AI roadmap.

These are announced capabilities and plans, not independent evidence of accuracy or predictive performance. In real-time intelligence, earlier detection is not the same as correct detection: public signals may be incomplete, stale, or misleading, and an alert may be a false positive. Customers using such systems for high-consequence decisions need human review and should assess alert verification, geographic and language coverage, privacy controls, and auditability.

Monitoring public data can help emergency managers, security teams, and newsrooms notice developing events quickly. It also raises questions about privacy, civil liberties, data use, and how automated alerts are interpreted. TechCrunch reported controversy over Dataminr’s use in monitoring protests and concerns about inaccurate information. Dataminr told the outlet it was improving its technology and did not provide functionality to pinpoint an individual’s or protester’s location on a map. Those reported concerns and the company’s response should be considered separately; neither establishes that every alert is accurate or that every use case is equivalent.

What happened after the March 2025 deal
The $85 million announcement was not Dataminr’s last financing news. On April 24, 2025, the company announced a further $100 million convertible financing from funds managed by affiliates of Fortress Investment Group. See Dataminr’s Fortress announcement. The two announcements are separate transactions; combining their headline amounts does not make them one round or establish a new valuation.
Dataminr later described additional financing activity in 2025 alongside its agentic-AI plans in a company update about Intel Agents for the physical world. In March 2026, it announced a cyber-defense suite associated with its acquisition of ThreatConnect, extending its strategy into cyber-threat and exposure management. That later product move is context, not proof that the March 2025 financing directly caused it. The company’s March 2026 announcement describes the expansion.
