CyberArk announced on May 20, 2024 that it would acquire machine-identity specialist Venafi from Thoma Bravo for an estimated $1.54 billion enterprise value. The transaction closed on October 1, 2024. The announced package was about $1 billion in cash and $540 million in CyberArk shares; CyberArk later recorded approximately $1.66 billion in acquisition-date consideration because the stock component was valued at about $639.1 million at closing.
The deal gives CyberArk a broader identity-security platform spanning people, applications, workloads, secrets, keys and certificates. Its practical value will depend on how deeply the products integrate and whether customers can automate machine-identity governance without adding more operational complexity.

What machine identity management covers
A machine identity is the credential or cryptographic identity used by a non-human entity. Examples include TLS certificates, API credentials, service accounts, encryption keys, software tokens, cloud workloads, virtual machines, containers, Kubernetes workloads, IoT devices and operational-technology systems.

- POWERFUL SECURITY KEY: The Security Key C NFC is the essential physical passkey for protecting your digital life from phishing attacks. It ensures only you can access your accounts.
- WORKS WITH 1000+ ACCOUNTS: Compatible with Google, Microsoft, and Apple. A single Security Key C NFC secures 100 of your favorite accounts, including email, password managers, and more.
- FAST & CONVENIENT LOGIN: Plug in your Security Key C NFC via USB-C and tap it, or tap it against your phone (NFC) to authenticate. No batteries, no internet connection, and no extra fees required.
- TRUSTED PASSKEY TECHNOLOGY: Uses the latest passkey standards (FIDO2/WebAuthn & FIDO U2F) but does not support One-Time Passwords. For complex needs, check out the YubiKey 5 Series.
- BUILT TO LAST: Made from tough, waterproof, and crush-resistant materials. Manufactured in Sweden and programmed in the USA with the highest security standards.
Certificates are an important part of the category, but machine identity is broader than certificate-authority services. Every identity can have an owner, permissions, an expiration date and a renewal or rotation process. An expired certificate can take an application offline. An exposed key, token or secret can let an attacker impersonate a workload or move through connected systems.
The operational challenge is scale and change. Cloud resources, microservices and ephemeral containers can appear and disappear faster than manual inventories can track them. Credentials may also be owned by application or infrastructure teams rather than a central security group, leaving gaps in accountability.
What Venafi added
Venafi brought enterprise capabilities for discovering and governing machine identities across on-premises, cloud and hybrid environments. Its portfolio included:

What CyberArk already provided
Before the acquisition, CyberArk’s portfolio included privileged-access security, secrets management, Conjur and related application credentials, identity governance, and workforce and customer access management. Its filings describe products covering privileged access, secrets, access management and machine identities. (product description)
That adjacency explains the strategic logic. A workload’s certificate, API token, cloud role and privileged secret are different controls, but they can belong to the same application and require coordinated discovery, least-privilege policies, monitoring and lifecycle governance. CyberArk’s objective was to extend identity security beyond human users to applications and workloads, rather than operate Venafi as an isolated certificate product.

Why CyberArk pursued the acquisition
A larger machine-identity opportunity
Organizations are adding cloud services, APIs, automation, containers and software agents. Each can create identities that need credentials and controls. CyberArk said the acquisition would expand its total addressable market by nearly $10 billion to approximately $60 billion. Those are management estimates, not independently verified market totals. (investor presentation)
Cross-selling into an enterprise base
CyberArk could offer Venafi capabilities to customers already buying privileged-access or secrets-management products, while Venafi’s installed base could become a route for broader CyberArk controls. The company also said Venafi generated approximately 95% recurring revenue; that figure is attributable to CyberArk’s announcement, not an independent audit presented here. (transaction announcement)
A “every identity” strategy
CyberArk positioned the combination as coverage for human, machine, workload and application identities, with potential relevance to emerging AI agents. AI-related identities should be treated as a forward-looking extension of the machine-identity problem, not as a separately defined product category created by this transaction.

What changed after closing
CyberArk reported that Venafi contributed approximately $166 million of annual recurring revenue as of December 31, 2024 in its fourth-quarter investor materials. The figure reflects the post-close period and the company’s reporting methodology; it is not a full pre-acquisition fiscal-year total. (Q4 2024 presentation)
The acquisition’s long-term outcome remains dependent on integration, retention, product adoption and renewals. A stated unified platform is a strategic objective, not proof that every product, console, contract or policy model was technically unified at closing.
What enterprise buyers should examine
Inventory coverage
- Can discovery find certificates, keys, secrets, service accounts, cloud identities, containers and application credentials?
- Does it cover public clouds, Kubernetes, CI/CD pipelines, legacy systems and on-premises infrastructure?
Automation and resilience
- Can credentials be issued, rotated, revoked and renewed automatically?
- Do applications reload rotated credentials safely, or could automation break services that cache them?
- Are connectors available for certificate authorities, load balancers, API gateways and orchestration tools?
Ownership and privilege
- Can teams assign business owners and expose orphaned or expiring identities?
- Does the system merely catalog identities, or can it enforce least privilege and feed events into access reviews or privileged-session monitoring?
Deployment and commercial fit
- Is the required capability available as SaaS, self-hosted or hybrid deployment in the relevant region?
- Are integrations native, API-based, partner-supported or custom?
- Does licensing count certificates, endpoints, workloads, secrets, users or consumption, and are connectors or implementation services extra?
- Will existing Venafi contracts, renewal dates and support arrangements change?
The deal materials do not provide public list pricing for CyberArk or Venafi machine-identity products as of August 18, 2026. Buyers should request a quote that separates identity volume, deployment, connectors, implementation, support, migration and renewal terms.

Risks and possible customer friction
CyberArk’s transaction disclosures identify integration failure, missed synergies, employee departures, customer retention problems, product overlap, competition, vulnerabilities, cloud-provider dependence, privacy and regulatory exposure, geopolitical risk and changing security requirements. (risk disclosures)
For customers, those risks can appear as separate consoles, different deployment models, overlapping discovery or secrets features, limited links between certificate workflows and privileged-access controls, or changes to road maps, support and pricing. These are issues to test in a proof of concept, not evidence that the integration has failed.
Technical edge cases matter. Discovery can miss short-lived workloads when telemetry is incomplete. Legacy systems may not support automated enrollment. Multi-cloud environments can create duplicate identities and inconsistent ownership. A certificate-management deployment may prevent expiration outages while leaving an exposed private key uncontrolled.

| Vendor | Typical fit | Key comparison |
|---|---|---|
| CyberArk/Venafi | Enterprises seeking machine identity alongside privileged access and secrets management | Broader identity-security strategy; verify integration depth and licensing |
| Keyfactor | PKI, certificates and cryptographic-key lifecycle management | More PKI-focused; compare privileged-access and secrets capabilities |
| DigiCert | Public-trust certificates and digital-trust administration | Strong certificate-authority and trust focus versus CyberArk’s broader identity positioning |
| Entrust | Regulated PKI, encryption, smart-card and hardware-backed trust programs | Fits programs tying certificates to encryption and physical authentication |
| AppViewX | Targeted certificate and infrastructure automation | Narrower automation use case; compare governance, analytics and enterprise support |
Bottom line
CyberArk’s Venafi acquisition strengthened its position in machine-identity security and extended its privileged-access and secrets portfolio into certificates, keys and workload credentials. The headline was approximately $1.54 billion in announced enterprise value, while the closing accounting recorded approximately $1.66 billion in consideration. For buyers, the decisive questions are whether discovery reaches every environment, whether rotation is safe and automated, and whether the combined products deliver one workable governance model rather than another collection of consoles and contracts.
