Crypto ETFs vs. Buying Tokens Directly: Key Differences for Investors

A U.S. spot crypto ETP gives you shares intended to track a cryptocurrency; direct ownership gives you the tokens and the responsibilities of custody. Compare the trade-offs before choosing.

Buying a crypto exchange-traded product gives you shares designed to track a cryptocurrency; buying tokens directly gives you the tokens themselves. That difference determines whether you can control or transfer the crypto, how custody works, what fees apply, and which product-specific risks to review. In the United States, products commonly called spot crypto ETFs are more precisely described by the SEC as spot exchange-traded commodity trusts—not investment companies registered under the Investment Company Act of 1940.

What you own: shares or cryptocurrency

A U.S. spot bitcoin or ether exchange-traded product (ETP) holds the relevant crypto asset in a trust and seeks to track its price. An investor in the product owns shares of the trust, not bitcoin or ether directly. The SEC’s Investor.gov bulletin describes spot bitcoin and ether ETPs as exchange-traded commodity trusts. Many headlines and investors call them ETFs, but that common label can obscure the legal structure.

Crypto ETPs are not all structured alike. A futures ETP gets exposure by holding futures contracts; a spot ETP holds the crypto asset. The distinction matters when checking what a product actually owns and how it seeks to track prices. This comparison focuses on U.S. spot products versus direct token ownership; rules and product structures can differ in other countries.

With direct ownership, you hold the crypto asset itself, either through a provider that controls custody or in a wallet for which you manage the private keys. Direct ownership is the route to controlling and transferring the tokens; an ETP share is a security, not a substitute wallet balance.

How the two routes compare

Costs to check Sponsor fee and trading costs. The sponsor fee reduces the crypto represented by each share over time. Platform, transaction, transfer, network, and custody fees may apply; self-custody also requires key-management work.
Trading and tracking Shares trade on securities exchanges. Their market price may deviate from the underlying crypto asset’s price. Trades and transfers use crypto platforms and networks; platform oversight and operating practices vary.
Distinctive risks Product structure, share liquidity and tracking, issuer, valuation, custody, regulatory, and tax-disclosure risks. Key loss or theft, custodian failure or conduct, platform risks, and mistakes in transactions or transfers.

These are general distinctions, not a recommendation. Your choice depends on whether you want control or transferability, how comfortable you are with custody, what access your accounts provide, and the actual product and service costs.

Access and control: brokerage account or wallet

Buying an ETP

An ETP lets you seek exposure through a brokerage account without personally transacting on a crypto platform, setting up a crypto wallet, or handling public and private keys. You still need to understand the product’s terms, including what it holds, how it values its assets, and how shares trade. Read its prospectus and periodic filings rather than assuming that every trust has the same rights or safeguards.

Buying tokens directly

Direct ownership can make it possible to transfer or use tokens, but the practical control you have depends on custody:

  • Self-custody: You control the private keys and are responsible for protecting them. A lost, stolen, damaged, or hacked wallet can permanently cut off access.
  • Third-party custody: A provider controls access to the keys. Before relying on one, check how it safeguards assets, whether it uses or lends deposited assets, whether assets are commingled, what insurance actually covers, what privacy practices apply, which assets it supports, and what fees it charges.

For custodians, examine the fee schedule for asset-based, transaction, transfer, setup, and account-closure charges. Self-custody avoids relying on a custodian to control access, but it shifts security and recovery responsibilities to you.

Fees and price tracking

ETP costs

Spot bitcoin and ether ETPs generally charge a sponsor fee that direct token holders do not pay. According to the SEC’s September 2024 Investor.gov bulletin, the trust typically sells some of its crypto to cover operating expenses because it does not generate income. As expenses are paid, the amount of crypto represented by each share declines over time. Fees vary by product and can change, so compare the current prospectus rather than relying on a generic expense ratio.

Brokerage commissions or other trading costs may also apply, depending on your account and transactions. Separately, the share price can diverge from the crypto asset’s price because of share demand, issuer issues, or broader crypto-market events.

Direct ownership costs

Direct holders avoid an ETP sponsor fee, but that does not mean ownership is cost-free. Depending on the provider and how you hold or move tokens, check platform charges, bid–ask spreads, transaction and transfer fees, network charges, and custody fees. Costs differ across platforms and services, so compare their current schedules for the transactions you expect to make.

Risks and what regulation does—and does not—mean

Both routes expose you to crypto-price risk. The SEC describes bitcoin and ether as highly speculative and warns that their prices can be substantially volatile. A product wrapper does not prevent losses: ETP shares can trade away from the underlying asset’s price, while direct holders face custody, platform, and transaction risks in addition to market movements.

The SEC says spot crypto platforms may not be registered with the agency and may not have the oversight that applies to registered intermediaries. It also warns of fraud and manipulation risks in underlying trading venues. Direct holders should not assume that a platform is safe simply because it is convenient or widely used.

Spot ETPs are securities, with offerings and securities registered under the Securities Act of 1933 and Securities Exchange Act of 1934, and they are subject to federal securities antifraud provisions. But the SEC’s September 2024 bulletin emphasizes that spot bitcoin and ether ETPs are not registered investment companies under the Investment Company Act of 1940. They therefore do not have the same valuation and custody requirements as registered investment companies. An exchange listing or securities registration is not a guarantee against loss.

Product terms also matter. SEC Division of Corporation Finance disclosure guidance issued July 1, 2025 identifies potential risks that can vary by product, including limited holder rights, insurance, valuation and liquidity, technology and cybersecurity, and legal, regulatory, and tax issues. Check the specific prospectus and filings for the trust you are considering.

U.S. tax treatment: do not assume the two routes match

The IRS treats digital assets as property, not currency, for U.S. federal tax purposes. Its guidance says transactions may need to be reported when a taxpayer receives rewards, awards, or payment in digital assets, or sells, exchanges, or otherwise disposes of digital assets or a financial interest in them. It also instructs taxpayers to keep acquisition and disposition details and fair market values. For personal or investment-use digital assets, a sale or other disposition can result in a capital gain or loss; the IRS distinguishes short-term holdings of one year or less from long-term holdings of more than one year.

Those direct digital-asset rules should not automatically be applied to shares of a particular trust. Tax treatment can depend on the ETP’s structure, the account holding it, and your circumstances. Review the product’s tax disclosures and consult a qualified tax professional for advice about your situation.

How to decide which route fits your needs

  • Consider an ETP if you want exchange-traded price exposure through a brokerage and do not need to control or transfer the underlying tokens. Review the sponsor fee, trading costs, structure, tracking, custody terms, and product disclosures.
  • Consider direct ownership if you need the ability to control or transfer tokens and are prepared to choose a custodian or take responsibility for securing private keys. Include platform, network, transaction, transfer, and custody costs in your comparison.
  • Pause and compare further if you are unsure how a provider safeguards assets, what rights a trust shareholder has, or how a transaction would be taxed. The label “ETF” alone does not answer those questions.

Neither route removes the possibility of losing money. Choose based on the form of ownership and responsibilities you want, then evaluate the actual product or provider rather than relying on the category name.
