Yes, the underlying claim is based on real court testimony and rulings—but “secret backdoor” is an editorial description, not a legal finding. The public record shows that China-based investors could obtain indirect exposure to SpaceX through funds and intermediary entities in jurisdictions including the Cayman Islands, the British Virgin Islands and Hong Kong. SpaceX executives were concerned about public disclosure, possible CFIUS scrutiny and the effect on government contracting.
That record does not prove that SpaceX broke the law, that the Chinese government controlled part of the company or that investors received classified information.
What the alleged SpaceX “backdoor” was
The alleged pathway was an investment structure, not a cybersecurity vulnerability or unauthorized technical access:
- A China-based investor provided money to an intermediary fund or holding company.
- The intermediary was organized in a jurisdiction such as the Cayman Islands, the British Virgin Islands or Hong Kong.
- The fund or intermediary acquired SpaceX shares.
- The China-based investor received indirect economic exposure instead of appearing as a direct mainland-China shareholder.
In simplified form:
China-based investor → offshore intermediary → private fund → SpaceX shares

According to ProPublica’s reporting, testimony in a Delaware corporate dispute indicated that SpaceX generally preferred not to have investors based in China, but could accept such investment when it was “structured properly” through intermediaries. The Delaware Supreme Court later described the same general arrangement.
Offshore incorporation alone is not evidence of wrongdoing. Cayman and BVI entities are common in international finance and fund administration. The important question is whether SpaceX, fund managers and regulators knew the ultimate beneficial owners and whether all legally required disclosures were made.
The central example: a proposed $50 million investment
The clearest transaction involved Leo Investments Hong Kong Limited, which was connected to China-based Leo Group. In 2021, Leo pursued an investment of approximately $50 million in SpaceX through a Tomales Bay Capital fund, according to the Delaware Court of Chancery.
The investment was intended to be indirect. Publicity about the Chinese connection led SpaceX executives to object, and the transaction was ultimately canceled. It is therefore inaccurate to describe the Leo transaction as a completed $50 million purchase of SpaceX shares.

The dispute was primarily a corporate and contract case involving the proposed transaction and related parties. It was not a prosecution alleging that SpaceX violated national-security or investment law.

What SpaceX executives reportedly knew
The evidence indicates that SpaceX personnel knew China-linked investors had obtained, or sought to obtain, SpaceX exposure through intermediary structures.
Investor Iqbaljit Kahlon testified about Chinese investors and investment arrangements. ProPublica reported that some Chinese investors were directly on SpaceX’s capitalization table, although the testimony did not identify all of them or quantify the overall Chinese stake.
SpaceX CFO Bret Johnsen expressed concern that the Leo-linked investment could trigger scrutiny by the Committee on Foreign Investment in the United States, or CFIUS, and could disadvantage SpaceX when bidding for government contracts. The Supreme Court’s opinion also describes SpaceX’s concern about unexpected public disclosure.

They do not establish that SpaceX tried to conceal every foreign investor from the U.S. government or deliberately evaded CFIUS.
Why the structure matters
An indirect investment can separate the investor’s economic interest from the name visible in ordinary corporate records. That may make the ultimate beneficial owner less obvious to the public, even if the information remains available to fund administrators, the company or regulators.

The categories should not be conflated:
- A Cayman or BVI company may have non-Chinese owners.
- A Hong Kong entity is not identical to a mainland Chinese entity, although it can still raise regulatory and political concerns.
- A mainland-China address does not prove citizenship, state affiliation or government control.
- A passive limited partner may receive financial information without receiving SpaceX’s operational or technical information.
- A business relationship with a Chinese military contractor does not, by itself, prove espionage or improper conduct.
The unusual allegation is not simply that SpaceX used offshore entities. It is that a U.S. defense contractor allegedly preferred an ownership route that reduced the visibility of China-linked investors.
What the Delaware courts established—and what they did not
The Delaware Supreme Court’s 2026 opinion affirmed a factual account in which SpaceX had permitted China-based investors to invest through intermediaries outside mainland China or through Hong Kong. It also described SpaceX’s concerns about disclosure, CFIUS and government contracts.
That ruling should not be read as a finding that SpaceX violated federal law. The case did not decide that:
- SpaceX broke CFIUS, export-control or securities laws;
- the Chinese government invested in or controlled SpaceX;
- any investor obtained classified information;
- CFIUS formally reviewed or blocked a particular investment; or
- all offshore investors were Chinese or China-linked.
The court record establishes an investment pathway and SpaceX’s sensitivity to it. It leaves the broader national-security conclusions unresolved.
How CFIUS fits into the story
CFIUS reviews certain foreign investments for national-security risks. The relevant investor is not necessarily the entity whose name appears on a share certificate. CFIUS may seek information about limited partners and other indirect investors, including their identity, jurisdiction, ultimate ownership, governance rights and contractual influence. Its frequently asked questions explain that intermediary structures do not automatically prevent the committee from requesting ultimate-owner information.

CFIUS jurisdiction is not a finding of wrongdoing. A transaction’s potential eligibility for review does not prove that CFIUS opened an investigation, required mitigation or prohibited the investment. CFIUS processes are generally confidential, so the absence of a public announcement does not establish that no review occurred. The available public record cited here does not confirm a formal CFIUS disposition for a specific Chinese investment in SpaceX.

CFIUS and FOCI are different
The situation also touches on FOCI, or foreign ownership, control or influence. FOCI is part of the industrial-security system used when a company holding or seeking a facility security clearance could be subject to foreign influence.
The Defense Counterintelligence and Security Agency explains that CFIUS review and DCSA’s FOCI review are related but separate processes. There is no public record cited here establishing that SpaceX was operating under a particular FOCI mitigation agreement.

SpaceX performs sensitive U.S. government work, including launching military and intelligence payloads and providing strategically important communications infrastructure. Foreign investment can raise concerns about:
- access to nonpublic corporate information;
- influence over strategic decisions;
- leverage involving suppliers or critical projects;
- pressure from a foreign government; and
- reputational or contracting vulnerabilities.
Chinese ownership of a U.S. military contractor is not automatically forbidden in every circumstance. But it can create regulatory obligations and national-security concerns. A February 2026 letter from Senators Elizabeth Warren and Andy Kim asked the Pentagon to examine possible Chinese ownership and the implications for CFIUS and FOCI.

The lawmakers’ request documents concern, not a completed government finding. The public materials cited here do not establish that the Defense Department or NASA completed a remedial investigation.
What the later investor list added
In June 2026, ProPublica reported on an investor list unsealed through the Delaware litigation. It identified investors or addresses connected to jurisdictions including mainland China and Russia. The report also described one investor with ties to Chinese military contractors, while noting that there was no evidence the person acted improperly.
The list requires careful interpretation. An address does not prove citizenship, residence or government affiliation. A fund investor may have invested in a vehicle holding assets besides SpaceX. And a passive investor’s economic interest does not necessarily confer operational control or access to sensitive information.
What changed for the 2026 IPO
In June 2026, Reuters reported via Investing.com that SpaceX barred investors in mainland China and Hong Kong from participating in its initial public offering.

It does not prove that SpaceX admitted misconduct. The decision could reflect underwriter requirements, securities-law compliance, sanctions screening or national-security risk management.

The bottom line for readers and investors
The most defensible conclusion is that SpaceX had an indirect investment channel through which China-based investors could obtain exposure using intermediary entities. Court records also show that SpaceX understood the political and contracting sensitivity of those arrangements.
But “secret backdoor” overstates what has been proved if it suggests a covert control system, illegal conduct or access to classified technology. The unresolved issues are the size and identity of the underlying ownership, the extent of any government involvement, what regulators knew and whether investors received anything beyond passive financial exposure.
