Strain & Sons, Inc.’s asphalt manufacturing and construction assets on October 5, 2026. The acquired operations, including two hot-mix asphalt plants and more than 125 employees, are to become part of the company’s Lone Star Paving platform in Texas.
What Construction Partners acquired
J.H. Strain & Sons is an asphalt paving and manufacturing company headquartered in Tye, Texas. Construction Partners acquired its asphalt manufacturing and construction assets, including two hot-mix asphalt plants, a fleet, related crews and an experienced workforce. The company’s furnished release says more than 125 employees will join Lone Star Paving.
The operations are in the greater Abilene area. Construction Partners says they will support service to customers across greater Abilene and West Texas. The company describes the area as a growing market with a diversified economy and ongoing investment, including data center-related developments; that is management’s characterization, not an independent market assessment.
How the acquisition fits Lone Star Paving
Lone Star Paving is Construction Partners’ Texas platform company, and the acquired operations are to become part of it. CEO Fred J. (Jule) Smith, III said the plants, fleet and workforce provide Lone Star with a “strong local presence” for serving public and private infrastructure customers in greater Abilene and West Texas. This describes management’s rationale; the release does not quantify expected financial results or synergies.

What the Form 8-K says
Construction Partners filed a Form 8-K current report under the Securities Exchange Act of 1934 with October 5, 2026, as both the report date and earliest event date. Item 7.01, Regulation FD Disclosure, covers the announcement, and Item 9.01 lists the press release as Exhibit 99.1. The filing was signed by Gregory A. Hoffman, Senior Vice President and Chief Financial Officer.
The 8-K states that the Item 7.01 information, including Exhibit 99.1, is furnished rather than deemed filed for purposes of Section 18 of the Exchange Act. It also says the information will not be incorporated by reference into a Securities Act registration statement unless specifically identified there as incorporated. Deal terms the release does not disclose
The 8-K and accompanying release do not state a purchase price, financing terms, acquired revenue or earnings contribution, plant capacity, or a quantified synergy estimate. The available disclosures therefore establish the acquired assets and workforce, but not the transaction’s cost or expected financial impact.
The release also cautions that statements about acquisition benefits and expected results are forward-looking and subject to risks and uncertainties; actual results may differ.
