Cognition Bought the Remaining Windsurf Business—Here’s What Google, OpenAI and Anthropic Had to Do With It

Cognition bought Windsurf’s remaining product, IP, brand, business and team—but Google separately hired the founders and licensed selected technology. Here’s how the unusual deal reshaped Windsurf, Devin and its relationship with Anthropic.

Cognition, the company behind Devin, acquired Windsurf’s remaining product, intellectual property, brand, business and employees on July 14, 2025. Google did not acquire the whole company: it separately hired Windsurf’s founders and about 40 senior research and development employees and received a nonexclusive license to selected technology in a deal reportedly worth $2.4 billion in compensation and licensing fees.

The result was an unusual breakup-and-sale. OpenAI had reportedly negotiated exclusively to buy Windsurf, but that acquisition never closed. Google took key talent and licensed technology, while Cognition bought the operating business that remained—and planned to combine Windsurf’s IDE with Devin’s autonomous coding agents.

The Windsurf deal in one sentence

Cognition bought the Windsurf business that Google left behind, not for the publicly reported $2.4 billion figure, but for an undisclosed price. Google’s transaction was a separate talent-and-technology-licensing arrangement, while OpenAI was a reported would-be buyer whose negotiations ended without an acquisition.

That distinction matters to developers, enterprise customers and investors. Ownership of the product, ownership of selected technology rights, employment of the founders and access to the underlying AI models ended up divided among different companies.

A three-way timeline

  • May 2025: OpenAI reportedly entered exclusive negotiations to acquire Windsurf for as much as $3 billion. The talks did not result in a completed purchase.
  • June 2025: Anthropic restricted or revoked Windsurf’s direct access to several Claude models, including Claude 3.5 Sonnet and Claude 3.7 Sonnet, according to contemporaneous reporting.
  • July 11, 2025: Google announced that Windsurf CEO and co-founder Varun Mohan, co-founder Douglas Chen and roughly 40 senior research and development employees were joining Google DeepMind.
  • July 14, 2025: Cognition announced a definitive agreement to acquire Windsurf’s remaining business and team.
  • By August 2026: Windsurf was being positioned as a Cognition-owned agentic development environment with local and cloud agents and direct Devin integration.

The sequence explains why headlines that simply said “Google acquired Windsurf” or “Cognition acquired Windsurf” were both incomplete.

What Cognition actually acquired

Cognition said its agreement covered Windsurf’s:

  • IDE and other products;
  • Intellectual property and technology;
  • Trademark and brand;
  • Commercial business and customer relationships;
  • Enterprise and go-to-market operations; and
  • Remaining employees.

In other words, Cognition acquired the part of Windsurf that continued operating as a product company after the Google personnel move. The Windsurf name did not disappear immediately. Its website remains active under Cognition ownership and continues to market Windsurf as a product.

Cognition also said that all Windsurf employees would participate financially in the transaction, with vesting cliffs waived and vesting accelerated for work completed to that point. That describes the announced employee structure; it does not establish how much money any individual ultimately received.

The acquisition price was not publicly disclosed. A reported figure of approximately $82 million referred to Windsurf’s annual recurring revenue, according to Cognition-side statements—not audited revenue, profit or the purchase price.

What Google received—and what it did not

Google’s arrangement is best described as a reverse acquihire, talent deal or partial technology-licensing transaction. The reported terms included:

  • Varun Mohan joining Google DeepMind;
  • Douglas Chen joining Google;
  • Approximately 40 senior research and development employees moving to Google; and
  • A reported $2.4 billion in compensation and licensing fees.

Google also received a nonexclusive license to selected Windsurf technology. “Nonexclusive” is important: it means the licensed rights were not necessarily limited to Google, and it does not mean Google bought Windsurf’s entire product, brand, customer base or remaining company.

Windsurf continued operating during the interim period under CEO Jeff Wang before Cognition’s acquisition. The founders and much of the research organization moved to Google, but the commercial product and remaining business were still available for another buyer to acquire.

Therefore, the $2.4 billion figure should not be described as Cognition’s purchase price. The public price for Cognition’s acquisition was undisclosed.

Why the OpenAI negotiations mattered

OpenAI’s reported interest created the central commercial complication. Windsurf was not merely an AI research team: it had an established developer product, a user base, enterprise relationships and a distribution channel for coding agents.

Reports described OpenAI as entering exclusive negotiations in May 2025, with a possible price of up to $3 billion. The exclusivity period expired without a completed acquisition. Public reporting did not establish every contractual reason the talks failed, so it is more accurate to say that the reported deal fell apart than to claim a single confirmed cause.

The expected OpenAI connection also affected Windsurf’s relationship with Anthropic. Anthropic and OpenAI compete in foundation models, and Windsurf relied on access to major model providers. When Windsurf appeared likely to become an OpenAI asset, Anthropic had a direct competitive reason to reconsider supplying Claude through the platform.

What “friends with Anthropic again” meant

In June 2025, Anthropic reportedly restricted or cut off Windsurf’s first-party access to Claude 3.5 Sonnet, Claude 3.7 Sonnet and related models with less than a week’s notice. Windsurf responded by routing some traffic through third-party providers, limiting portions of free-tier access and promoting Google Gemini as an alternative.

Anthropic co-founder Jared Kaplan explained the rationale as a competitive concern: Anthropic did not want to supply Claude to OpenAI through an intermediary if Windsurf became an OpenAI asset. That is Kaplan’s explanation and should not be treated as an independently proven account of every contractual detail.

Cognition was not OpenAI. Once Cognition acquired the remaining Windsurf business, the competitive conflict that had surrounded the proposed OpenAI transaction changed. Cognition’s statement that it was “friends with Anthropic again” referred to the possibility of working with Anthropic after the OpenAI route collapsed. It should not be read as a guarantee that any particular model, capacity allocation or pricing would remain available permanently.

Windsurf’s current plan page, crawled in August 2026, says its Pro plan includes access to frontier OpenAI, Claude and Gemini models, as well as Windsurf’s own SWE-1.6 and open-source models. Model availability, quotas and terms can change, so customers should verify current details directly on the official plan page.

How Windsurf and Devin fit together

The strategic logic of the Cognition deal was a combination of two different coding experiences:

  • Windsurf: an IDE-first environment where developers write, edit and review code alongside AI.
  • Devin: an autonomous software-engineering agent designed to take on longer-running tasks away from the developer’s local machine.

Cognition described a workflow in which a developer plans and edits inside Windsurf, delegates larger tasks to one or more Devins, then reviews the resulting pull requests from the IDE.

That plan was forward-looking when announced in July 2025. By August 2026, Windsurf’s product positioning described Windsurf 2.0 as an Agent Command Center for local and cloud agents, with a direct handoff to Devin. The stated workflow allows a developer to plan locally and send work to Devin, which can continue in its own virtual machine after the developer closes the laptop. See the current Windsurf product description for the latest implementation details.

This does not necessarily mean Windsurf and Devin became one indistinguishable product. The clearer description is that Windsurf serves as an IDE and coordination layer, while Devin remains Cognition’s cloud-based autonomous engineering agent.

What this means for Windsurf users

For existing users, the immediate practical result was product continuity under new ownership rather than the disappearance of the Windsurf brand. The longer-term direction is a deeper connection between local IDE work and cloud-agent execution.

Potential benefits include:

  • More model-provider choice instead of dependence on a single model company;
  • A path from inline coding assistance to longer-running delegated tasks;
  • Closer coordination among editing, planning, execution and pull-request review; and
  • Continued access to a recognizable IDE and workflow.

The trade-offs are equally important. The founders and much of the original research organization moved to Google, so the post-acquisition product is not simply the old Windsurf team operating under a new parent. Cognition may prioritize Devin integration, alter pricing or quotas, and change the product’s balance between local assistance and cloud execution.

As of the August 2026 plan-page snapshot, Windsurf showed a free plan and a Pro plan at $20 per month, with a two-week trial. The page also indicated that extra usage could be purchased at API pricing. That means the advertised subscription price may not be a user’s maximum monthly cost.

Data and security questions for developers

A local editor and a cloud agent do not create the same risk profile. Windsurf’s data-use guidelines say inputs are used to provide the service and are generally deleted after output. They also distinguish optional cloud features—including remote indexing, memories, recipes, web retrieval, deploys, reviews and knowledge bases—that may store code-related information when enabled.

Before connecting a proprietary repository, review:

  1. Whether the agent runs locally, in a managed cloud virtual machine or in a hybrid environment;
  2. What code, prompts, logs, indexes and memories are retained;
  3. Which model providers and subprocessors can receive data;
  4. Whether remote indexing or other persistent features are enabled;
  5. What permissions the agent has for repositories, issue trackers, browsers, terminals and deployment systems;
  6. Whether commits, pull requests and production changes require human approval; and
  7. How usage limits, overages and model selection affect cost.

Enterprise buyers should also request current information about retention, subprocessors, identity controls, audit logs and deployment options. Cognition’s Trust Center lists SOC 2, ISO/IEC 27001:2022, penetration-testing and related security documentation, although some materials require access or an NDA.

The broader market lesson

This transaction demonstrates that an AI coding company can be valuable in several separable pieces:

  • The user-facing product and workflow;
  • Enterprise revenue and customer relationships;
  • Specialized engineering talent;
  • Intellectual property and model-related technology; and
  • Distribution for autonomous agents.

It also shows how dependent application companies can be on model providers. A model-access decision can affect product quality, free-tier availability and customer retention even when the application company itself remains operating.

For big technology companies, the Windsurf structure offered a way to acquire talent and license technology without buying the entire startup. For Cognition, it offered a way to add an established IDE and commercial organization to Devin’s autonomous-agent strategy. For customers, it created a potentially more capable workflow—but also greater dependence on one vendor for the editor, cloud execution and parts of the model stack.

Bottom line

Google did not buy Windsurf outright. It hired the founders and roughly 40 senior research and development employees and received a reported nonexclusive technology license. Cognition acquired the remaining product, IP, brand, business and team for an undisclosed price.

The failed OpenAI negotiations explain the Anthropic subplot: access to Claude became politically and commercially complicated when Windsurf appeared headed to OpenAI, then became possible again after Cognition—not OpenAI—became the buyer. Windsurf survived as a Cognition-owned product and has since developed toward a combined local-IDE and cloud-agent workflow centered on Devin.
