Coda Payments announced a $690 million minority-stake transaction on April 14, 2022, with Smash Capital, Insight Partners, and Singapore’s GIC investing. But the deal was not a conventional funding round: existing shareholders sold shares, and contemporary reporting said the proceeds went to those sellers rather than to Coda as new operating capital. The transaction backed a company building ways for game and digital-content publishers to sell outside conventional app-store billing—not a general replacement for Apple’s App Store or Google Play.
What happened in Coda Payments’ $690 million deal?
Coda announced the transaction on April 14, 2022. Smash Capital, Insight Partners, and GIC acquired a minority stake. Existing shareholders included Apis Growth Fund II and other investors, some of whom sold shares while retaining equity in the company. Coda’s announcement described the minority investment and identified the participating investors.
The distinction between a company receiving new money and shareholders selling existing shares matters. GamesBeat reported that this was a secondary sale: the $690 million went to selling shareholders, not to Coda as fresh operating capital. GamesBeat also reported a valuation of about $2.5 billion, attributing that figure to Bloomberg; it was not a valuation disclosed in Coda’s announcement. GamesBeat’s coverage explains both points.
Primary funding versus a secondary sale
- Primary financing: A company issues new shares and receives the proceeds to fund operations, investment, or other corporate needs.
- Secondary sale: Existing shareholders sell shares to new investors. The buyers acquire ownership, but the purchase price goes to the sellers rather than automatically becoming company cash.
Calling the Coda transaction a “raise” can therefore suggest the wrong cash flow. It was a substantial ownership transaction and a vote of confidence from new investors, but it should not be described as $690 million of fresh capital entering Coda.

What Coda Payments does
Coda connects digital-content publishers with consumers and payment options across markets. For a consumer, that can mean buying game currency or other digital goods through a local payment method and receiving the item in a game account. For a publisher, it can mean offering checkout through a website or marketplace without building every payment integration and local-market operation independently.
At the time of the 2022 deal, Coda highlighted three products:
- Codashop: A consumer-facing marketplace for game currencies and premium digital content. Coda said it served millions of consumers across more than 50 territories and supported over 300 payment methods. A typical transaction involves selecting a game and item, entering a player ID, choosing a payment method, and receiving the digital goods in the relevant account.
- Codapay: A payment solution publishers could use on their own websites, giving them a way to accept locally popular payment methods outside an in-app checkout.
- Codacash: A closed-loop wallet within Coda’s product lineup.
Today, Coda describes its broader offering as including Custom Commerce/Coda Webstore, Codapay, Codashop, and Coda Distribution. Its current website positions the business around out-of-app monetization and commerce, including merchant-of-record services. Coda’s current site lists the products and its company-reported scale.

What “alternative app stores” meant—and what it did not
The phrase can blur together four different things: payment methods, web checkout, digital-goods marketplaces, and app distribution. Coda’s business was principally about the first three, not operating a broad substitute for Apple’s App Store or Google Play.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →- Alternative payment methods: Local wallets, carrier billing, cash-based systems, bank transfers, and other options can serve customers who do not use cards or prefer another way to pay.
- Direct-to-consumer webstores: A publisher can sell virtual goods from its own site rather than relying exclusively on in-app checkout.
- Independent content marketplaces: Codashop offers a separate route for consumers to purchase game currency and other digital content.
- Alternative app distribution: This means distributing apps outside a dominant mobile store. It is a different, more policy-sensitive business from selling add-ons for an app already installed through an official store.
In GamesBeat’s 2022 interview, Coda executive chairman Neil Davidson described the company’s near-term focus as monetizing the value chain, rather than distributing apps themselves. GamesBeat also reported that Coda could not sell apps already in Apple’s App Store on iOS, but could sell virtual currency or other content for users to apply to their accounts. The label “alternative app store” should not be read as evidence that Coda was a general-purpose app-store replacement.
Why publishers and investors cared about the model
Digital publishers face a practical payments problem: payment preferences, infrastructure, and regulation vary by country. A publisher operating across borders may need to support local methods, reconcile transactions, manage fraud and refunds, and deliver digital entitlements reliably. A specialist can reduce the need to build those capabilities market by market.

For game publishers, webstores and independent marketplaces can also create a direct sales channel alongside app-store billing. GamesBeat reported that Codashop’s commission was about 15% in 2022, compared with the 30% app-store commission commonly cited at the time. That is historical reporting, not a current public Coda rate or a universal comparison: actual publisher economics depend on the arrangement, market, payment costs, and platform rules.
Investors were backing more than payment processing. Coda had relationships with publishers, a network of local payment methods, and the opportunity to expand its commerce infrastructure internationally. Davidson told GamesBeat that Coda had become profitable relatively early and was not following the typical venture pattern of raising another round every 18 months. The secondary transaction offered existing investors liquidity while bringing new institutional investors into the ownership group.

The combined business added consumer storefronts including Recharge.com and Startselect, and extended the product range into mobile top-ups, gift cards, lifestyle products, and other prepaid offerings.

In May 2026, Coda announced that its Singapore entity had received a Major Payment Institution licence from the Monetary Authority of Singapore. The licence covers merchant acquisition and domestic and cross-border money-transfer services under Singapore’s Payment Services Act. It is a Singapore regulatory authorization for the specified activities, not a blanket licence to conduct every payment service in every country. Coda’s licence announcement sets out the scope it reported.

What publishers should evaluate before using a commerce provider
A wider payment network or a direct webstore does not by itself guarantee higher margins or remove platform obligations. Publishers should compare the full operating arrangement, not just a headline transaction fee.
- Country and payment coverage: Confirm availability in the markets where customers are located, including the specific local methods they use.
- Merchant-of-record responsibilities: Establish who is responsible for tax collection and remittance, compliance, refunds, chargebacks, customer support, and fraud losses in each market.
- Total economics: Compare transaction fees with foreign-exchange spreads, payout costs, reserves, refund expenses, and any revenue share. A lower nominal commission may not mean a lower total cost.
- Integration and delivery: Check API, hosted checkout, webstore, SDK, catalog, and entitlement-delivery options. A successful payment must also result in reliable delivery of the purchased currency or item.
- Control of the customer relationship: Clarify who owns customer data and who controls pricing, promotions, bundles, and follow-up communications.
- Platform and regulatory exposure: Direct web sales may still be subject to app-store, console, game, and local legal rules. Confirm the provider’s licences and contractual coverage for the relevant product and country.
Coda’s current website says its merchant-of-record services include tax, compliance, risk, and fraud responsibilities, but publishers should confirm the exact allocation in a contract. Public standard pricing was not stated on the company pages reviewed for this article; businesses should request terms for their markets, volume, product, and service requirements rather than assume the historical Codashop commission applies today.
