China’s State Administration for Market Regulation (SAMR) said on September 15, 2025, that a preliminary investigation found Nvidia violated China’s Anti-Monopoly Law and the conditions attached to its 2020 acquisition of Mellanox Technologies. SAMR ordered a further investigation. The announcement did not identify the specific conduct, affected customers or products, or impose a final fine, product ban, breakup or other completed remedy.
What China actually announced
SAMR’s statement supports a preliminary regulatory finding, not a final court judgment or completed penalty. The regulator said Nvidia breached both the Anti-Monopoly Law and commitments in the decision that conditionally approved its Mellanox acquisition. It then said the matter would proceed to further investigation.
The announcement did not publicly explain:
- which transaction, contract, customer or product was involved;
- the precise legal theory of the alleged violation;
- when the alleged conduct occurred or whether it was limited to China;
- whether Nvidia’s conduct involved bundling, supply, pricing, interoperability, software or information handling; or
- what penalty or remedy SAMR might seek.

How the Mellanox acquisition led to conditions
Nvidia agreed in March 2019 to buy Mellanox, an Israeli supplier of high-speed networking and interconnect technology, for approximately $6.9 billion. Mellanox products are used with data-center servers, accelerated-computing systems and other high-performance infrastructure.
China received Nvidia’s filing in April 2019, moved the transaction into further review in September 2019 and granted conditional approval on April 16, 2020. SAMR viewed the companies as having significant positions in adjacent or vertically related markets, including GPU accelerators, specialized networking equipment, high-speed Ethernet adapters, data-center servers and related products.

SAMR’s 2020 decision estimated Nvidia’s GPU-accelerator share at 90–95% globally and 95–100% in China at the time of review. It estimated Mellanox’s share of specialized networking equipment at 55–60% globally and 80–85% in China, and its high-speed Ethernet-adapter share at 60–65% globally and 65–70% in China. These were historical estimates used in the 2020 review, not current market-share measurements.

What Nvidia was required to do
The approval imposed behavioral obligations on Nvidia, Mellanox and the combined company. In practical terms, the commitments required them to:

- avoid forcing customers to buy Nvidia GPUs together with Mellanox high-speed networking products;
- let customers purchase or use the products separately;
- avoid unreasonable transaction conditions;
- avoid disadvantaging customers that bought products separately through pricing, service levels or software functionality;
- continue supplying Nvidia GPU accelerators, Mellanox networking equipment, related software and accessories in China on fair, reasonable and nondiscriminatory terms;
- maintain interoperability between Nvidia GPUs and third-party networking equipment;
- continue Mellanox’s open-source commitments for point-to-point and collective-communications software; and
- protect competitively sensitive information obtained from other accelerator and networking-equipment makers.
The decision stated that the conditions would apply for six years from effectiveness, subject to an application for release. The public material covered here does not establish whether the commitments were released, extended or modified before the September 2025 announcement.

The 2020 decision identifies categories of competition risk that could form lines of inquiry, but it does not prove Nvidia committed each one. Possible issues include:
- tying or bundling GPU accelerators to Mellanox networking products;
- restricting customers’ ability to use competing networking equipment;
- degrading interoperability with third-party products;
- unequal pricing, service or software treatment for customers buying products separately;
- failure to maintain supply to China on the required terms; or
- inadequate protection of competitors’ sensitive information.
Technical integration is not automatically illegal tying. Likewise, a shortage caused by U.S. export controls would not by itself establish a breach of Chinese antitrust obligations. SAMR’s short 2025 statement does not say which, if any, of these categories is alleged.

Is this a final ruling?
No. SAMR described the result as a preliminary investigation and announced a further investigation. That wording means the public record supports an agency finding at an interim stage, not a final penalty decision.
In the material available through August 18, 2026, no final fine, product prohibition, divestiture order or other completed remedy had been established. The December 9, 2024 notice that formally opened the investigation is published by SAMR.

What penalties are possible
Depending on the final legal findings, SAMR could order Nvidia to stop or change a practice, impose renewed compliance obligations, require changes to bundling or supply arrangements, mandate interoperability or software access, or impose a financial penalty. Additional remedies could address the Mellanox commitments. Structural relief is legally conceivable in a severe case, but the announced materials do not show that SAMR proposed a breakup or divestiture.

News reports have referenced provisions of China’s Anti-Monopoly Law that can allow fines of 1% to 10% of the previous year’s sales in some antitrust cases. That range should not be treated as Nvidia’s likely exposure: the applicable provision, sales base, attribution and calculation would depend on a final decision.
Why the case has geopolitical significance
The investigation unfolded amid U.S. restrictions on advanced semiconductor exports to China and trade talks between U.S. and Chinese officials in Madrid. Nvidia’s China business has already been affected by export controls, which limit what products can be supplied and in what configurations.
Reuters coverage reported that Nvidia said it was complying with the law and would cooperate with authorities assessing how export controls affect competition. Analysts viewed the timing as another escalation in the broader technology conflict. That interpretation provides context, not proof that the antitrust allegations are politically motivated. The legal issue remains whether Nvidia complied with Chinese law and the conditions that secured approval for its acquisition.

The September 2025 announcement did not itself create a new Nvidia product ban. Customers could nevertheless face:
- delays or uncertainty in product approvals;
- changes in how GPUs and networking equipment may be sold together;
- different China-specific product configurations;
- greater scrutiny of distribution, licensing and service arrangements; and
- uncertainty caused by the interaction of Chinese regulation and U.S. export controls.
Companies planning data-center purchases should distinguish regulatory availability from technical suitability. A product may be technically compatible yet unavailable under export rules, or legally required to remain separately purchasable even when sold as part of an integrated system.
What it means for competitors and investors
Chinese accelerator and networking suppliers could gain opportunities if Nvidia’s sales practices or product availability change. AMD and Intel may benefit in segments where their products are legally available and technically competitive, while Ethernet-based alternatives could receive more attention alongside systems built around Nvidia’s InfiniBand ecosystem. Cloud providers and integrators may also have incentives to design multi-vendor architectures.
Those are opportunities, not automatic substitutions. Technical substitution depends on performance, software compatibility and deployment requirements; regulatory substitution depends on what authorities permit; commercial substitution depends on supply, support and pricing in China.
For investors and suppliers, the immediate issue is uncertainty over Nvidia’s China-market sales model rather than a demonstrated threat to its global business. A final decision would be needed to assess any fine, mandated conduct changes or impact on product access.
