Check Point announced acquisitions of Cyata, Cyclops, and Rotate on February 12, 2026, alongside its fourth-quarter and full-year 2025 results. The deals target three different areas: AI agent security, cyber asset exposure management, and workspace offerings for managed service providers. Check Point reported $745 million in fourth-quarter revenue and $3.40 in non-GAAP diluted EPS; management said revenue was above the midpoint of its outlook and EPS exceeded expectations.
Which companies did Check Point acquire?
The three acquisitions announced with Check Point’s 2025 results were Cyata, Cyclops, and Rotate. The company’s annual report says the acquisitions occurred in February 2026. They address distinct needs rather than representing three versions of the same security product.
| Company | What Check Point says it adds | Officially disclosed consideration |
|---|---|---|
| Cyata | Discovery, understanding, and governance of autonomous AI agents, including visibility across endpoints and SaaS. | Approximately $44.0 million, according to Check Point’s SEC-filed annual report. |
| Cyclops | Cyber asset attack surface management, with discovery and continuous monitoring across cloud, on-premises, operational technology, and SaaS environments. | Approximately $53.7 million, according to Check Point’s SEC-filed annual report. |
| Rotate | Talent intended to support Workspace growth and Check Point’s momentum with managed service providers. | No separate amount is specified in the cited official filing. |
These are strategic descriptions from Check Point, not evidence that the acquired capabilities have already been fully integrated or produced measurable results.
What does Cyata add?
Cyata focuses on security for autonomous AI agents. Check Point says its technology can discover agents across endpoint and SaaS environments and provide context about their configuration and risk. The intended role is to help organizations understand which agents are present and govern their use.

This is different from securing conventional user accounts or simply monitoring AI application traffic: the stated emphasis is visibility into agents and their associated configuration and risk. Check Point has not reported post-acquisition outcomes for Cyata in the cited materials.
What does Cyclops add?
Cyclops brings cyber asset attack surface management (CAASM) capabilities. Check Point describes discovery and ongoing monitoring of assets across cloud, on-premises, operational technology (OT), and SaaS environments. The stated strategic aim is to expand its Exposure Management capabilities and support Continuous Threat Exposure Management (CTEM).
For a buyer or investor, the distinction from Cyata is the problem being addressed: Cyclops is about finding and monitoring an organization’s broader technology assets and exposures, while Cyata is specifically about discovering and governing AI agents.

What is Rotate’s role?
Check Point describes Rotate as a talent acquisition intended to support Workspace and growth among managed service providers (MSPs). The company has not provided a separate purchase price for Rotate in the cited official filing, and the announcement does not establish a separately priced Rotate product.

Check Point’s SEC-filed annual report gives approximately $53.7 million in consideration for Cyclops and approximately $44.0 million for Cyata. It does not state a separate amount for Rotate. Those two official figures total approximately $97.7 million, but that is not a disclosed all-in price for the three acquisitions because Rotate’s amount is not separately stated.
SecurityWeek reported a different secondary estimate: an approximately $150 million combined price, including $85 million for Cyclops, attributed to Calcalist. That estimate differs from the official filing’s Cyclops and Cyata consideration figures, so it should not be treated as Check Point’s reported transaction total.

How did Check Point perform in Q4 and full-year 2025?
Check Point reported the following results for periods ended December 31, 2025. Revenue is a GAAP measure; calculated billings is a company-defined non-GAAP operating metric, not another name for revenue. EPS figures are diluted, and GAAP and non-GAAP values are distinct.
| Metric | Fourth quarter 2025 | Full year 2025 |
|---|---|---|
| Revenue | $745 million, up 6% year over year | $2.725 billion, up 6% year over year |
| Security subscription revenue | $325 million, up 11% year over year | $1.219 billion, up 10% year over year |
| Calculated billings | $1.039 billion, up 8% year over year | $2.906 billion, up 9% year over year |
| Remaining performance obligations (RPO) | $2.728 billion, up 8% year over year | Not stated in the cited fourth-quarter and full-year results release. |
| GAAP operating income | $233 million, or 31% of revenue | Not stated in the cited fourth-quarter and full-year results release. |
| Non-GAAP operating income | $302 million, or 41% of revenue | Not stated in the cited fourth-quarter and full-year results release. |
| GAAP diluted EPS | $2.81, up 22% year over year | $9.62, up 29% year over year |
| Non-GAAP diluted EPS | $3.40, up 26% year over year | $11.89, up 30% year over year |
Check Point defines calculated billings as recognized revenue plus the change in total deferred revenue during the period. RPO refers to the value of non-cancellable contracted products or services that have not yet been recognized as revenue.
What does “earnings beat” mean here?
Check Point CEO Nadav Zafrir said revenue landed above the midpoint of the company’s outlook and EPS exceeded expectations. The cited company release does not provide the consensus figures needed to calculate an independently verified earnings surprise or quantify a beat against analyst estimates. The results support describing management’s stated comparison with its outlook and expectations, but not assigning a precise consensus-beat percentage.

Check Point also attributed performance to customer adoption across its Hybrid Mesh Network and Workspace platforms and said its 2026 strategy centers on securing enterprise AI transformation. Those are management’s explanations and strategic priorities, not independently measured conclusions about the acquisitions.
How does this relate to Check Point’s earlier AI-security deal?
The February 2026 trio should not be confused with Lakera. Check Point said it closed the Lakera acquisition on October 22, 2025, describing Lakera as an AI-native security platform for agentic AI applications and linking it to a full-stack AI security strategy. Lakera was a separate earlier deal, not one of the three acquisitions announced with the 2025 results.
Check Point’s third-quarter 2025 release reported revenue of $678 million, up 7%, security subscription revenue of $305 million, up 10%, and non-GAAP diluted EPS of $3.94, up 75%. It also disclosed a tax settlement benefit of approximately $1.47 per share to GAAP and non-GAAP EPS, an important qualification when interpreting the reported EPS growth rate.
