Charles Schwab & Co., Inc. is a legitimate U.S. broker, not a scam. It has been an SEC-registered broker-dealer since 1971, is a FINRA member, and is a SIPC member. Schwab is an indirect wholly owned subsidiary of the publicly traded Charles Schwab Corporation (NYSE: SCHW).
That does not mean every Schwab product is free, every account balance is FDIC-insured, or that the firm has a spotless regulatory record. Schwab has reported regulatory, civil, and arbitration disclosures, including a $10 million SEC penalty in 2025 over employees’ use of unapproved messaging platforms and the firm’s failure to preserve business communications.
The accurate verdict is therefore: Schwab is a regulated, established broker with ordinary U.S. brokerage protections—not a fraudulent operation—but customers need to understand its cash features, transaction fees, security rules, and regulatory history.
Is Charles Schwab legitimate?
Yes. The legal brokerage entity is Charles Schwab & Co., Inc. Its current FINRA BrokerCheck report identifies it as an SEC-registered broker-dealer and investment adviser. Schwab’s relationship summary also identifies the firm as a member of FINRA and SIPC.
| Item | Current fact |
|---|---|
| Legal entity | Charles Schwab & Co., Inc. |
| Broker-dealer registration | SEC-registered since June 1971 |
| Investment-adviser registration | SEC-registered since July 1987 |
| FINRA status | FINRA-approved registration dated October 13, 1970 |
| Principal broker-dealer office | Westlake, Texas |
| Parent company | The Charles Schwab Corporation, ticker SCHW |
| Industry protections | FINRA and SIPC membership |
These facts distinguish Schwab from an unlicensed website or an anonymous investment scheme. They do not eliminate investment risk: a legitimate broker can still offer products that lose money, charge transaction fees, make mistakes, or be used by criminals impersonating its staff.
What does a Schwab account cost?
For standard individual brokerage accounts and IRAs, Schwab currently lists a $0 opening fee, $0 maintenance fee, and $0 account minimum. Its headline online commission for U.S.-listed stocks and exchange-traded funds is also $0.
The important qualification is that Schwab’s $0 pricing applies to specific online transactions. It is not a promise that every security, trade method, or service is free.
| Product or transaction | Current online charge |
|---|---|
| U.S.-listed stocks and ETFs | $0 commission |
| Options | $0 base commission plus $0.65 per contract |
| Schwab Mutual Fund OneSource funds | $0 |
| Other transaction-fee mutual funds | Up to $74.95 per purchase |
| U.S. OTC equities | $6.95 |
| Futures and futures options | $2.25 per contract |
| U.S. Treasury securities | $0 for auctions and secondary-market online trades |
| Other secondary-market bonds and CDs | $1 per bond, with a $10 minimum and $250 maximum |
| Full account transfer out | $50 per account |
| Partial account transfer out | $0 |
Broker-assisted trades generally add a $25 service charge. Automated-phone options trades cost $5 plus the per-contract fee. Other possible charges include foreign-exchange costs, ADR and regulatory fees, stock-borrow charges for some short sales, and fees associated with certain fixed-income or foreign transactions.
For example, buying 100 shares of a U.S.-listed stock online may cost $0 in commission, while buying one option contract costs $0.65 before any other applicable charges. Buying a transaction-fee mutual fund could cost as much as $74.95. The security’s own expense ratio is also separate from Schwab’s trading commission.
Cash in a Schwab brokerage account is not automatically FDIC-insured
This is one of the most important details overlooked in simple “free broker” reviews. Uninvested cash does not receive one universal form of protection. Schwab’s Cash Features Disclosure Statement identifies three possible arrangements:
- Bank Sweep: eligible cash is deposited at participating banks.
- Schwab One Interest: Schwab pays interest on the account’s free credit balance.
- Money Fund Sweep: cash is invested in a Schwab money-market mutual fund.
The available feature depends on the account type and the feature selected or designated when the account was opened. Schwab says customers can request a different eligible cash feature by contacting the firm.

Bank Sweep
Bank Sweep deposits may qualify for FDIC insurance up to the applicable limit—currently $250,000 per depositor, per insured bank, per ownership category. The FDIC applies aggregation rules, so balances held in the same insurable capacity can count together. Cash above the applicable limit may be uninsured.

Insurance coverage protects against the failure of an insured bank within the applicable rules; it does not make an investment account immune from every type of loss.
Schwab One Interest
With Schwab One Interest, Schwab sets the interest rate on the free credit balance at its discretion. The disclosure does not guarantee that the rate will match a bank deposit, money-market fund, or another cash product.
Money Fund Sweep
A Money Fund Sweep invests in a Schwab money-market mutual fund. That fund is a security, not a bank deposit. It seeks to preserve a $1 share price but can lose money. It therefore should not be described as FDIC-insured simply because it is used as a cash feature.
What SIPC protects—and what it does not
SIPC membership is an important part of Schwab’s legitimate-broker framework, but SIPC is frequently explained incorrectly.
Free tools Windows power users keep installed
One-click scans. No signup required.
If a SIPC-member brokerage fails and customer assets are missing, SIPC generally protects missing securities and qualifying cash up to $500,000 per customer, including a $250,000 limit for cash. Money-market mutual fund shares are treated as securities for SIPC purposes, rather than cash subject to the $250,000 cash sublimit.
SIPC does not cover:
- Declines in the value of stocks, ETFs, bonds, options, or mutual funds
- Bad or unsuitable investment advice
- Worthless securities
- Losses caused by ordinary market movements
- Promised investment performance
So the statement “Schwab accounts are insured for $500,000 against losses” is misleading. SIPC protection is primarily about missing customer property after a brokerage failure, not about guaranteeing the value of investments.

Schwab’s platforms and the TD Ameritrade transition
Schwab customers currently have access to:
- Schwab.com for account management, investing, and planning
- Schwab Mobile for mobile account access and trading
- thinkorswim desktop for advanced charting and analysis
- thinkorswim web for browser-based advanced trading
- thinkorswim mobile for advanced mobile tools
Schwab provides the thinkorswim platform suite without a separate platform charge. The final retail client transition from TD Ameritrade to Schwab was completed in May 2024. TD Ameritrade is not still operating as a separate retail broker inside Schwab, although the thinkorswim brand remains available.
Security features and the Schwab Security Guarantee
Schwab’s consumer security materials direct customers to the Schwab Security Center, where they can set up alerts, enroll in two-step verification, and review account activity. Schwab’s published instructions use the following labels:
- Open the Schwab Security Center.
- Set up security alerts and enroll in two-step verification.
- In the Two-step Verification section, select Always at login.
- Select Schwab app.
- Approve the notification sent to the mobile device.
Schwab says its Security Guarantee covers losses in Schwab accounts caused by unauthorized activity, but the guarantee has conditions. Customers must protect login IDs, passwords, PINs, and transaction codes; report suspected unauthorized activity immediately; review statements; identify unauthorized transactions; and cooperate with Schwab’s investigation. Schwab may require a notarized fraud affidavit.
Sharing credentials or transaction codes can affect eligibility. Schwab may treat activity initiated by an authorized adviser or another authorized account user as authorized rather than fraudulent. For Schwab One accounts, the account agreement requires written notice of certain unauthorized wires, forged checks, and other specified fraudulent transactions within 10 calendar days after the relevant notice or statement is made available, whichever is received first.
Scammers impersonate Schwab
The fact that Schwab is legitimate does not mean every “Schwab” website, phone number, email, or social-media account is genuine. Schwab warns about impersonation attempts involving:
- Fake Schwab login pages appearing in search results
- Fraudulent customer-service phone numbers
- Texts or emails asking for passwords or verification codes
- Fake employees claiming that an account has been breached
- Requests to install remote-access software
- Fake investment professionals or investment clubs using Schwab’s name
- Malicious links sent through social media
One reported pattern starts with a fake Schwab login page and a fraudulent hotline number. The caller then claims a security incident is underway and pressures the victim to install software or reveal information.

Schwab’s regulatory and dispute history
Schwab is legitimate, but it has a material regulatory record that prospective customers should not ignore. The current BrokerCheck report lists:
| Disclosure type | Current count |
|---|---|
| Pending regulatory events | 1 |
| Final regulatory events | 57 |
| Final civil events | 3 |
| Final arbitration disclosures | 256 |
| Bond disclosures | 2 |
These totals can change. Arbitration disclosures are customer or other dispute records; they should not automatically be characterized as proven fraud. Individual cases need to be reviewed for their allegations, outcomes, and settlement details.
The SEC’s January 2025 enforcement order
On January 13, 2025, the SEC entered an administrative order against Charles Schwab & Co. Schwab admitted the facts and acknowledged violations of federal securities laws.
The SEC found that Schwab personnel used personal devices and unapproved platforms—including text messages, LinkedIn, and Facebook Messenger—for business communications. The firm failed to preserve approximately 330,000 business-related text messages sent or received by about 1,700 personnel between approximately April 2016 and February 2021. About 215,000 of those messages were sent or received after January 2020.
The SEC also found that Schwab failed to reasonably supervise personnel. The order imposed a $10 million civil penalty, along with a censure and requirements involving audits, training, communication controls, and compliance measures.
This was a serious recordkeeping and supervision failure. It was not a finding that Schwab was a fake broker, a Ponzi scheme, or an unlicensed company.

Does SIPC protect Schwab customers from stock-market losses?

The Bottom Line
Bottom line
Charles Schwab is legitimate, regulated, and not a scam. Its long operating history, SEC and FINRA registrations, SIPC membership, public-company parent, and established trading platforms support that conclusion.
The meaningful cautions are elsewhere: $0 stock commissions do not cover every transaction; cash protection depends on the cash feature; SIPC does not insure investment performance; and Schwab has a substantial record of regulatory and arbitration disclosures. The 2025 SEC action was serious, but it concerned recordkeeping and supervision—not proof that Schwab is a fraudulent or unlicensed broker.
Before opening or funding an account, check the current Schwab pricing guide, identify the account’s cash feature, enable two-step verification in the Schwab Security Center, and verify every contact through an official Schwab channel.
