The Commodity Futures Trading Commission (CFTC) primarily regulates commodity derivatives, including futures, many options and many swaps. The dividing line is not a product’s marketing name: it is the instrument’s legal category, contract type, trading venue, index definition and, for digital assets, the facts surrounding the asset and transaction.
Some products sit in both agencies’ territory. Security futures are jointly overseen by the SEC and CFTC, while futures on broad-based security indexes fall under the CFTC’s exclusive jurisdiction. Options on securities and securities indexes trade on securities exchanges under SEC jurisdiction. This is a U.S. federal overview, not an instrument-specific legal determination; a particular contract can require analysis of its terms, venue and intermediary.

Start with the legal instrument, not the label
“Stock,” “commodity,” “crypto,” “option” and “swap” are useful descriptions, but none by itself answers which agency has authority. Regulators first classify what is being offered or traded and how the transaction works. The same underlying reference can lead to different oversight when the contract changes.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsFour questions usually narrow the answer:
- What is the underlying? It may be a security, a physical or financial commodity, a security index or a digital asset with characteristics that require separate analysis.
- What is the instrument? A cash-market transaction is different from a future, option or swap.
- What kind of index is involved? A security index can be legally narrow-based or broad-based, and that distinction changes jurisdiction over index futures.
- Where and through whom does it trade? A registered exchange, swap execution facility, broker, futures commission merchant or other intermediary can bring additional venue and registration rules.
The agencies may regulate different aspects of one activity. For example, an exchange, clearing organization and intermediary can each have separate obligations, and a derivatives contract can be regulated differently from the underlying asset.

The joint SEC-CFTC interpretation published in Federal Register Volume 91, Number 55, with an effective date of March 23, 2026, states: “There is no universal test to determine whether an instrument is a security.” That warning is especially important for products that combine features of securities, commodities and derivatives.
At-a-glance jurisdiction map
| Product or activity | General regulator map | Important qualification |
|---|---|---|
| Commodity futures and commodity options | Primarily CFTC derivatives oversight | Statutory exceptions, contract terms and intermediary requirements still apply. |
| Options on securities or securities indexes | SEC-jurisdiction securities exchange | The CFTC says these options can trade only on a securities exchange under SEC jurisdiction. |
| Futures on broad-based security indexes | CFTC exclusive jurisdiction | “Broad-based” is determined under statutory criteria, not by an index’s informal name. |
| Security futures, including single-stock and narrow-based index futures | Joint SEC-CFTC oversight | They combine features of futures and securities, so market and intermediary rules reflect both regimes. |
| Swaps | CFTC regulates many commodity swaps; security-based swaps fall within securities-law oversight | Definitions and statutory allocation are technical. Not every swap is CFTC-only. |
| Crypto-asset spot and derivatives activity | Fact-specific; CFTC derivatives authority can apply to commodity derivatives, while SEC securities laws can apply when a transaction involves a security or investment contract | Analyze the asset, offer, transaction structure and related activity under current guidance. |
Who regulates futures?
Futures are standardized contracts to buy or sell an underlying at a later date under exchange and clearing rules. The CFTC is the primary federal derivatives regulator for commodity futures. Its remit includes futures on agricultural, energy, metals and other commodities, as well as financial futures that meet the statutory definitions assigned to the agency.
A futures contract is not automatically a CFTC product merely because its reference is a familiar market index or because a platform calls it a “future.” The underlying, contract design, exchange and statutory category matter. Futures are generally traded on registered designated contract markets or other authorized venues, and the firms handling customer accounts may need registration in a relevant intermediary category.
Commodity futures and options on commodities
Commodity futures and commodity options are the clearest examples of CFTC-centered oversight. Options give the holder a right, but not an obligation, to buy or sell the underlying at a specified price. When the underlying is a commodity and the contract is a regulated derivative, the CFTC’s derivatives framework generally applies. Product-specific rules can still affect position limits, reporting, clearing, disclosure and the intermediary’s obligations.
Futures on security indexes
Security-index futures require a legal classification of the index. Broad-based security-index futures are within the CFTC’s exclusive jurisdiction. The term “broad-based” is a statutory concept, not a claim that an index contains many well-known companies.

The CFTC’s overview describes an index as narrow-based if any one of these criteria is met:
- It has nine or fewer component securities.
- One component security represents more than 30% of the index’s weighting.
- The five highest-weighted component securities together represent more than 60% of the index’s weighting.
- The component securities making up the lowest 25% of the index by weight have aggregate average daily trading volume below $50 million. For an index with 15 or more component securities, the threshold is $30 million.
For the trading-volume test, the CFTC says volume is calculated over the preceding six full calendar months. An index that meets a narrow-based criterion is treated differently from a broad-based index, so the classification should be checked rather than inferred from the index’s brand or nickname.

Options on individual securities and options on securities indexes trade on securities exchanges under SEC jurisdiction. The CFTC’s designated-contract-market explanation distinguishes these securities options from futures products. The exchange, listing standards, disclosure framework and broker obligations therefore come from the securities-law system, even though the contract has a derivatives payoff.
This does not mean every option whose price references a financial asset is an SEC product. An option on a commodity, for example, can be a CFTC-regulated commodity option. Identify both the underlying and the contract’s legal form before drawing a conclusion.
Why security futures are jointly regulated
Security futures occupy a deliberately shared category. A single-stock future is a future on one company’s stock; a future on a narrow-based security index is a future on an index that meets the statutory narrow-based tests. The CFTC describes security futures as both futures contracts and securities, which is why the SEC and CFTC share oversight.

Joint jurisdiction does not mean that both agencies apply every rule to every step of a trade. The agencies coordinate requirements for listing, trading, clearing, customer protection, reporting and intermediary registration. A firm offering security futures must satisfy the applicable notice, registration and operational requirements for the product and the capacity in which it acts.
Security-futures rules also address the underlying security and the venue. Before trading, confirm that the contract is listed on an authorized market and that the firm handling the account is properly registered for security-futures activity. A product marketed as a “stock future” outside the regulated venue structure deserves particular caution.
How swaps divide between the agencies
“Swap” is a broad legal category rather than a single regulator label. The CFTC regulates many commodity swaps and oversees the swap execution-facility framework used for certain swap trading. Security-based swaps, which are tied to a single security or a narrow group of securities under the securities laws, fall into securities-law oversight. Other swaps require analysis of the statutory definitions and the transaction’s terms.
Do not assume that an interest-rate, foreign-exchange, credit or commodity reference automatically determines the regulator. Questions can include whether the product is a swap or security-based swap, whether an exception applies, whether it must be centrally cleared or executed on a particular venue and what registration the dealer or platform needs.
Who regulates crypto?
There is no single federal “crypto regulator” for every token, platform or transaction. The answer depends on the digital asset’s characteristics and on what someone is doing with it: issuing it, selling it, promoting it, holding it in a cash-market transaction, brokering it, lending it, staking it, wrapping it or using it as the reference for a derivative.

The March 23, 2026 SEC-CFTC interpretation
The document titled Application of the Federal Securities Laws to Certain Types of Crypto Assets and Certain Transactions Involving Crypto Assets was published in Federal Register Volume 91, Number 55, and lists March 23, 2026, as its effective date. The SEC issued the securities-law interpretation; the CFTC supplied guidance that it and its staff would administer the Commodity Exchange Act consistently with that interpretation.
The release discusses categories including digital commodities, digital collectibles, digital tools, stablecoins, digital securities and investment contracts. It also addresses specified crypto activities, including protocol mining, protocol staking, wrapping and certain airdrops. It supersedes the SEC staff’s 2019 digital-asset investment-contract framework identified in the release, but it does not supersede or replace the Howey test. Howey remains binding legal precedent for determining whether a transaction is an investment contract.
What “digital commodity” means in the release
The interpretation describes a digital commodity as intrinsically linked to a functional crypto system and deriving value from that system’s operation and supply-and-demand dynamics rather than from expected profits based on other people’s essential managerial efforts. That is the release’s framework for its interpretation, not a universal safe harbor. A token’s label, white paper or technical design cannot by itself decide how an offer, secondary-market sale, platform service or derivative is treated.
Spot activity versus derivatives
The CFTC’s customer advisory, Understand the Risks of Virtual Currency Trading, says: “The Commission primarily regulates commodity derivatives contracts that are based on underlying commodities.” The CFTC also has limited authority over certain commodity cash-market misconduct, but it does not supervise every spot-market transaction as if it were a futures contract. If a digital-asset transaction involves a security or investment contract, securities laws may apply even when the asset is commonly called a cryptocurrency.

For a crypto derivative, ask whether the contract is a future, option or swap and whether the underlying digital asset is treated as a commodity, security or another statutory category. The derivative’s classification and the venue’s authorization can matter as much as the token’s features.

Venue and intermediary rules can change the practical answer
Regulatory jurisdiction follows more than the product. A securities option must be listed and traded through the securities-market structure described by the SEC and CFTC. Commodity derivatives generally use CFTC-regulated markets, clearing organizations and registered intermediaries. Swaps may be executed through a swap execution facility when the law requires or permits that venue.
The firm you deal with can have a different registration obligation from the venue. A futures commission merchant, introducing broker, commodity trading adviser, swap dealer, securities broker-dealer or other intermediary may be subject to separate capital, disclosure, conduct and recordkeeping rules. An entity can also be exempt or primarily overseen by another regulator in circumstances recognized by law.
A practical way to identify the regulator
- Get the contract documents. Find the official product description, offering document, rulebook or terms of service. Do not rely on a sales page’s category label.
- Classify the underlying. Determine whether it is a security, commodity, security index, digital asset or a reference rate derived from one of those.
- Classify the contract. Separate a cash purchase from a future, option, swap, security future or security-based swap.
- Test an index. If a security-index future is involved, apply the statutory narrow-based criteria, including the six-full-calendar-month volume period, rather than guessing from the index name.
- Check the venue. Confirm whether the trade is on a securities exchange, designated contract market, swap execution facility or another authorized market.
- Check the intermediary. Review the firm’s registration, disciplinary history and business name in the National Futures Association’s BASIC system when it is a futures or derivatives intermediary. The CFTC directs customers to BASIC for this purpose.
- Review current guidance. Digital-asset classifications and agency interpretations can change. For a material transaction, obtain advice from a qualified securities or commodities lawyer instead of treating a general description as a legal opinion.
Common classification mistakes
- “It is called a stock, so the SEC regulates everything.” A stock option, stock future and cash stock transaction are different instruments. Security futures are jointly regulated, and the venue matters.
- “Every future belongs exclusively to the CFTC.” Security futures are the notable shared category, while broad-based security-index futures are assigned exclusively to the CFTC.
- “Every option is an SEC product.” Securities options are SEC-jurisdiction products; commodity options generally fall within the CFTC derivatives framework.
- “Every swap is a CFTC swap.” Security-based swaps sit within securities-law oversight, and the statutory definitions are technical.
- “Calling a token a utility token settles the issue.” The asset’s characteristics, the offer and the transaction structure still matter. The Howey test remains binding.
- “Registration guarantees safety.” Registration and a clean search result do not eliminate fraud, market or loss risk. They indicate that an entity is subject to a regulatory regime, not that a trade will be profitable or misconduct is impossible.
What oversight does—and does not—tell an investor
Knowing the regulator helps you find the right disclosures, venue rules, complaint channel and registration database. It does not tell you that an asset is suitable, liquid or fairly priced. CFTC or SEC jurisdiction also does not mean that every aspect of a global platform, offshore affiliate, software protocol or cash-market transaction is supervised by that agency.
Recommended Free Tools
For a proposed trade, preserve the contract terms, identify the legal entity receiving your money, verify the venue and intermediary, and read the required risk disclosures. If the product combines a digital asset with leverage, derivatives or a managed account, more than one regulatory question may apply.
The bottom line
The SEC is the starting point for securities and securities markets; the CFTC is the starting point for commodity derivatives. The exceptions are where careful classification matters most: securities options remain in the SEC-market structure, security futures are jointly overseen, broad-based security-index futures are exclusively CFTC products, and swaps and crypto assets require fact-specific analysis. Treat the regulator as a result of legal classification—not as a marketing label—and verify the venue and intermediary before committing funds.
