That figure is historical, not a current standalone valuation: Marvell completed its acquisition of Celestial AI on February 2, 2026. The funding round and the later acquisition are distinct transactions, with different measures of value.
What happened in Celestial AI’s funding round?
On March 11, 2025, Celestial AI announced a $250 million Series C1 financing led by Fidelity Management & Research. Crunchbase and Bloomberg reported that the round valued the company at $2.5 billion. Celestial AI did not publish that valuation as an official company figure in the cited announcement; it should therefore be treated as a reported private-company valuation, not a confirmed current market value. Crunchbase News and Bloomberg covered the round and reported valuation.
A financing amount and a valuation describe different things. The $250 million was new capital raised in the round; the reported $2.5 billion was the company’s post-money valuation after the financing. Neither figure is the same as Celestial AI’s cumulative funding or the consideration Marvell later paid to acquire it. Some coverage calls the financing simply Series C, but Crunchbase identifies it as Series C1.
Who invested, and how much had Celestial AI raised?
Fidelity Management & Research led the round. Reports also named funds and accounts managed by BlackRock, Maverick Silicon, Tiger Global Management, and Intel executive Lip-Bu Tan as new participants. Existing investors reported as participating included AMD Ventures, Koch Disruptive Technologies, Temasek Holdings, Xora Innovation, Porsche Automobil Holding, and Engine Ventures. The available reporting does not establish how much each participant invested or imply that every participant invested in the same capacity. Crunchbase News lists the reported participants.

Before the Series C1, Celestial AI had raised a reported $175 million Series C led by Thomas Tull’s U.S. Innovative Technology Fund. Reports put cumulative funding after the 2025 round at more than $515 million or more than $580 million, depending on the source and how financing events were counted. The defensible summary is that the company had raised more than $500 million by then, rather than treating either higher total as definitive. The Information also covered the company’s financing and later acquisition discussions.
What did Celestial AI make?
Celestial AI developed Photonic Fabric, an optical-interconnect platform intended to move data among AI processors, memory, chiplets, systems, and racks. An interconnect is the link carrying data between computing components. In large AI clusters, those links can constrain bandwidth and latency, while also consuming power and adding heat. Optical links use light to carry data and may help address those constraints, though they must still be engineered, packaged, manufactured, and integrated into real systems.

Celestial AI focused on scale-up connectivity: links within tightly integrated AI systems and racks, rather than only conventional scale-out networking between separate systems. Marvell described Photonic Fabric as supporting package-, system-, and rack-level connectivity. The distinction matters because faster connections inside an AI system can help processors and memory work together, but a technology’s usefulness depends on adoption by chip designers and system operators. Marvell’s acquisition announcement describes the intended applications.
Why did the company attract strategic investment?
The investment case was about AI infrastructure, not simply an AI application. As data-center operators build larger clusters, moving data between processors and memory becomes a growing design challenge. Optical interconnects could offer higher bandwidth density, longer reach, or lower link power than electrical alternatives in some system designs. If adopted at scale, that could make photonics strategically important to the companies designing accelerators, networking equipment, and data-center systems.

Marvell said Celestial AI’s first-generation Photonic Fabric chiplet was designed to provide up to 16 terabits per second of bandwidth in a single chiplet, and compared that with 1.6T ports used in scale-out applications. Marvell also claimed the platform offered more than twice the power efficiency of copper interconnects. These are claims from the acquiring company, not independent test results in the cited material. They should not be read as universal measurements of a full data center: actual power and performance depend on the link, package, system, workload, and optical components involved.
The strategic thesis still carried execution risk. Co-packaging optical components with high-power processors is technically challenging; manufacturing yield, packaging complexity, cost, evolving standards, and long customer qualification cycles can determine whether a promising design reaches broad deployment. Celestial AI also faced competition from other photonics efforts and from improvements to electrical interconnects. A technical advantage alone does not guarantee customer adoption or profitable production.

What happened after the 2025 round?
Marvell announced an agreement to acquire Celestial AI on December 2, 2025, and completed the acquisition on February 2, 2026. Celestial AI’s technology and team became part of Marvell’s Data Center Group. The acquisition means Celestial AI is no longer an independent venture-backed company. Marvell’s December 2025 Form 8-K and its completion announcement document the transaction.
Marvell initially described the deal as approximately $3.25 billion in upfront consideration: about $1 billion in cash and $2.25 billion in Marvell common stock. The agreement also provided for up to approximately $2.25 billion in additional shares tied to revenue milestones, taking the potential maximum transaction value to about $5.5 billion. The earn-out was conditional, not guaranteed payment at closing.

In its May 2026 filing, Marvell reported total purchase consideration of approximately $3.5 billion. That accounting figure reflects the transaction as recorded at closing; it is not interchangeable with either the reported $2.5 billion post-money financing valuation or the deal’s maximum potential value. Marvell’s May 2026 Form 10-Q provides the purchase-consideration disclosure.
How should investors interpret the $2.5 billion figure?
The $2.5 billion figure was a reported private financing valuation after the March 2025 round. It was not a public-market market capitalization, a guarantee of resale value, or proof of revenue, profitability, production volume, or customer deployment at scale. The later Marvell transaction indicates that the company’s technology had strategic value to an established semiconductor company, but acquisition consideration is not a direct update to a standalone equity valuation.
