The Competition Commission of Pakistan (CCP) approved U&I Garments (Private) Limited’s proposed acquisition of Junaid Jamshed (Private) Limited’s business on 22 April 2025. The deal was structured as a share swap, and the CCP said it would not substantially lessen competition in any relevant market. A Sindh High Court case summary later reported that the amalgamation scheme was sanctioned on 13 May 2025; that court step is distinct from the CCP’s competition clearance.
What did the CCP approve?
The CCP authorized the proposed merger under Section 31(1)(d)(i) of Pakistan’s Competition Act, 2010. Under the announced arrangement, U&I would acquire JJPL’s entire business in exchange for U&I shares. The CCP’s release said that, after completion, JJPL would cease to exist as a separate legal entity and its operations, assets and liabilities would be integrated into U&I.
The CCP’s order records that the parties’ shareholders agreement was dated 20 November 2024. The companies submitted a joint pre-merger application on 16 January 2025 under Section 11 of the Act and Regulation 6 of the Competition (Merger Control) Regulations, 2016. The Commission issued Phase-I clearance on 22 April 2025. Its merger index lists the decision as Case 1513/Merger-CCP/2025.
Why did the Commission clear the transaction?
The CCP described the transaction as primarily an intra-group consolidation, noting that U&I already held a 25 percent stake in JJPL. It said limited horizontal overlaps, low entry barriers and numerous competitors meant the merger would not substantially lessen competition in any relevant market.

The Commission’s Phase-I review considered ready-made apparel, footwear, accessories, fragrances and cosmetics. These are the categories it assessed; their inclusion does not mean the CCP treated them as one combined product market. The materials cited for the decision do not provide quantified market shares, so none can be inferred from the clearance.
Who are U&I Garments and Junaid Jamshed?
The CCP order describes U&I as a Pakistan-incorporated company that manufactures and exports ready-made garments and sells locally through its own branded outlets. JJPL is described as a Pakistan-incorporated, multi-category retailer offering stitched and unstitched clothing, perfumes, cosmetics, jewellery, footwear, handbags and related accessories.

How is CCP clearance different from court sanction?
Competition clearance and court sanction are separate procedural steps. The CCP’s 22 April decision authorized the transaction from a competition-law perspective. A Sindh High Court quarterly case summary reports that the amalgamation scheme was sanctioned on 13 May 2025. That later court step should not be confused with the earlier regulatory approval.
The sources establish the proposed post-completion structure and the court sanction, but do not establish when all operational integration was completed. The approval date alone therefore does not show that integration was finished on 22 April.

What does the decision mean for customers?
The merger decision concerns the corporate structure and competition review, not a particular product, price or change to a customer-facing service. The CCP’s conclusion was about the likely competitive effect in the markets it assessed; it does not establish that prices, store operations or product ranges changed as a result.
