Capgemini completed its acquisition of WNS on October 17, 2025. The announced deal offered $76.50 in cash per WNS share; Capgemini said it wanted to combine its technology, AI and transformation capabilities with WNS’s business-process expertise to help clients redesign end-to-end operations.

What happened to the Capgemini-WNS deal?

The acquisition is complete, not pending. Capgemini and WNS announced a definitive agreement on July 7, 2025. WNS shareholders approved it on August 29, and Capgemini announced that required antitrust and regulatory clearances had been obtained on September 17. The transaction closed on October 17, 2025. How much did Capgemini pay?

The announced cash consideration was $76.50 per WNS share. Capgemini described that price as a 17% premium to WNS’s closing share price on July 3, 2025. At closing, WNS reported total cash consideration of $3.3 billion, excluding WNS’s net financial debt. The per-share offer and the total consideration are different measures: the latter is the aggregate cash amount reported at closing, with debt excluded. Why did Capgemini want WNS?

Capgemini’s stated plan was to pair its global reach, strategy and transformation work, technology and AI capabilities with WNS’s industry expertise, digital business-process services and platforms. It said the combination would help clients redesign business processes end to end and respond to enterprise investment in agentic AI. What did Capgemini forecast financially?

When it announced the transaction in July 2025, Capgemini forecast normalized earnings-per-share accretion of 4% before synergies in 2026 and 7% after synergies in 2027. What the deal does—and does not—establish

The completed acquisition gives Capgemini ownership of WNS and brings together the capabilities the companies identified in their deal rationale. The transaction announcements establish the price, approvals and completion, but do not establish how integration has gone, what outcomes clients or employees have experienced, or whether the projected earnings benefits have materialized. Those results require separate post-close evidence.
