Canadian IIROC: Review of Its Regulations

IIROC ceased operating separately in 2023 and CIRO now administers the relevant Canadian investment-industry frameworks. Learn which current CIRO rules apply, how former IIROC matters are treated, and which 2026 changes make older references outdated.

IIROC is no longer Canada’s current investment-industry regulator. It ceased operating separately on January 1, 2023, when it amalgamated with the Mutual Fund Dealers Association of Canada (MFDA); its successor is the Canadian Investment Regulatory Organization (CIRO). For current requirements, identify whether the issue concerns an investment dealer, a mutual fund dealer or marketplace trading, then consult the applicable CIRO rules and related materials.

Former IIROC rules can still matter for historical conduct and proceedings. Current requirements are found primarily in CIRO’s Investment Dealer and Partially Consolidated Rules (IDPC Rules), Mutual Fund Dealer Rules (MFD Rules) and Universal Market Integrity Rules (UMIR), alongside CIRO’s by-laws, guidance, approvals and membership terms.

What happened to IIROC?

IIROC and the MFDA combined on January 1, 2023. CIRO’s rules treat it as the continuation of IIROC for relevant purposes, preserving jurisdiction over certain conduct, approvals, exemptions and proceedings that arose under the former organization. See CIRO’s IDPC Rule 1105.

For current information, start with CIRO’s Rules and Enforcement section, rather than an old copy of the IIROC Dealer Member Rules. The merger created one regulator, not one immediately harmonized dealer rulebook.

CIRO is consolidating the IDPC and MFD rules in phases. UMIR is excluded from that project. Separate interim rule sets therefore remain in place.

Where to find the current regulations

On CIRO’s Dealer Member Rules page, readers can find the IDPC Rules and IDPC Form 1, rule amendment indexes, guidance notes, MFD Rules and MFDR Form 1, rules of procedure, and historical MFDA staff notices.

What the IDPC Rules cover

The IDPC Rules are the primary framework for investment dealers. Their numbered series are organized broadly as follows:

Rule 1100 and Rule 1200 contain key definitions and interpretation provisions. Rule 1105 contains important IIROC-to-CIRO transition provisions. Older references to IIROC rules or legacy rule numbers may not correspond directly to current IDPC numbering.

For consumers, practical topics include:

  • dealer membership, account opening and client information;
  • suitability, product due diligence and conflicts of interest;
  • order handling, best execution and client communications;
  • supervision and compliance systems;
  • custody, segregation and client property;
  • capital, margin and early-warning requirements;
  • books, records and regulatory reporting;
  • derivatives, options and complaint handling; and
  • disciplinary and enforcement proceedings.

The IDPC Rules regulate firms and registered individuals, but do not replace provincial and territorial securities legislation. CIRO carries out self-regulatory functions under recognition orders issued by applicable provincial and territorial regulators, which oversee CIRO through operational reviews and other mechanisms. A firm’s obligations may also arise from legislation, recognition arrangements, by-laws, forms, guidance, bulletins, rulings, exemptions and membership terms—not only from a rulebook PDF. Mutual fund dealers follow a separate rule set

The MFD Rules apply to firms registered as mutual fund dealers and their approved persons. They address business structures and qualifications, business conduct, client accounts, supervision, advertising, complaints, account transfers, capital, margin, client property, insurance, books and records, examinations, discipline, continuing education and proficiency.

A firm registered as both a mutual fund dealer and an investment dealer is generally exempt from the MFD Rules where it complies with the corresponding requirements applicable to investment dealers. The firm must still determine which rule set applies to each activity and whether exemptive relief is relevant; dual registration does not make every business line identical.

Under CIRO’s interim framework, a mutual fund dealer can introduce business to an investment dealer. The investment dealer may provide order execution, clearing and settlement, custody, and books-and-records services. The introducing mutual fund dealer generally remains primarily subject to the MFD Rules. If compliance with the two rule sets creates a conflict, the parties must seek CIRO exemptive relief explaining how the activity will be performed. CIRO has stated that some relief for a dual-registered firm’s mutual fund division will expire when consolidated dealer rules are implemented. See CIRO’s Interim Rules FAQ.

UMIR is the separate trading code

UMIR applies to CIRO Participant Members, Access Persons and marketplaces for securities-related trading activity on marketplaces regulated by CIRO. It is not simply another section of the IDPC Rules.

Its subject areas include:

  • manipulative and deceptive trading and improper orders or trades;
  • short selling and order marking;
  • trading supervision, electronic trading and direct electronic access;
  • third-party electronic access and gatekeeper obligations;
  • audit trails, record retention and reporting; and
  • market-maker and marketplace obligations.

CIRO’s UMIR page identifies sections on definitions, abusive trading, short selling, compliance and administration. CIRO says the official UMIR version is Schedule A.1 to Transition Rule No. 1, as amended through applicable approval notices. An annotated UMIR document is an informal reference copy.

UMIR guidance update

CIRO completed its UMIR Guidance Update Project on March 27, 2026. The project modernized and clarified guidance without making material rule changes or creating new compliance obligations for dealers already complying with existing requirements. The updated guidance covers subjects including trading supervision, electronic access, order-execution-only accounts, dark liquidity and manipulative trading. Review the operative rule as well as current guidance, since guidance can clarify obligations without amending rule text. See CIRO’s project completion notice.

Recent changes that make older IIROC articles unreliable

Short-sale settlement requirements

CIRO amendments concerning reasonable expectations to settle short sales under UMIR took effect on January 13, 2026. Related IDPC amendments are scheduled to take effect on August 11, 2026. As of August 7, 2026, those IDPC changes are approved but not yet effective. CIRO’s Policy Initiatives Update Report describes the implementation dates. Do not describe the IDPC amendments as current before their effective date.

New proficiency model

On January 1, 2026, CIRO implemented a new proficiency model for investment-dealer approved persons. The model is assessment-centred, with exams forming its core, while some mandatory education and training requirements remain. The new model uses one derivatives product category; people qualified in both options and futures were mapped to it. New applicants cannot use the former options-only or futures-only routes as though the old structure were unchanged. See CIRO’s investment-dealer proficiency page.

Order-execution-only accounts

On March 12, 2026, CIRO replaced its former order-execution-only (OEO) guidance. The updated, principle-based approach focuses on whether the dealer endorses a specific investment decision. An OEO dealer may provide certain decision-making supports, including sample portfolios showing general asset allocations, if the client remains responsible for selecting specific securities or derivatives and applicable safeguards are followed. A disclaimer alone is not enough: labelling a communication “educational” does not avoid the recommendation prohibition if the dealer effectively endorses a specific product. Digital-asset custody

CIRO says there is no permanent CIRO Rules framework specifically designed for digital-asset custody by investment dealers. Ordinary provisions on custody, segregation and capital address securities and derivatives, and were not designed for all technological, operational and legal risks of digital assets. Certain crypto-asset trading platforms may instead be subject to interim custody requirements imposed through CIRO membership terms and conditions. Do not assume ordinary IDPC custody rules comprehensively govern a crypto asset held through a platform. See CIRO’s digital-asset custody notice.

How former IIROC matters are handled

Rule 1105 of the IDPC Rules preserves several transition mechanisms. In general:

  • people formerly subject to IIROC jurisdiction can remain subject to CIRO jurisdiction for conduct or matters arising during the IIROC period;
  • a person who was an IIROC approved person immediately before January 1, 2023 generally continues as an approved person unless that approval has ended;
  • former IIROC rules, policies, approvals, rulings and orders can continue to apply to matters arising under the former regime;
  • existing exemptions continue subject to their conditions and the transition requirements, including whether the relevant prior rule substantially continues in the current rules; and
  • proceedings begun before January 1, 2023 generally continue under the rules and procedures applicable when they began, subject to the transition provisions.

The date of conduct can be decisive. The applicable regime may depend on when conduct occurred, when a proceeding began, whether a hearing panel had been appointed and whether the relevant former rule substantially continued in the current rules.

Enforcement and sanctions

CIRO’s current Sanction Guidelines replaced both the former IIROC and MFDA sanction guidelines on February 1, 2024. They help hearing panels assess appropriate sanctions; they are not a fixed penalty schedule. See CIRO’s Sanction Guidelines.

Investment-dealer enforcement proceedings are generally governed by IDPC Rules 8000. Applicable mutual-fund-dealer proceedings use the relevant rules of procedure, including Rule 7.3 of the MFD Rules for disciplinary hearings under that framework. Older references to IIROC’s Enforcement, Examination and Approval Rules may describe a legacy process. For a current matter, start with CIRO’s procedural rules and guidance and identify the rule set applying to the firm and conduct.

What this means for investors

  1. Use the correct regulator name. Start a current complaint or regulatory search with CIRO, while recognizing that historical IIROC records may matter.
  2. Identify the firm’s registration category. Investment dealers and mutual fund dealers may operate under different rules.
  3. Separate trading rules from dealer rules. A market-manipulation or short-selling question may involve UMIR as well as dealer obligations.
  4. Check effective dates. Approved amendments are not necessarily in force.
  5. Read guidance alongside the operative rule. Guidance may explain how a current rule is applied.
  6. Do not treat a disclaimer as a complete answer. This is especially important for OEO accounts, sample portfolios and digital-asset custody.

Common outdated claims

Claim Current position
IIROC is Canada’s current investment-dealer regulator. Outdated. CIRO replaced IIROC on January 1, 2023.

FAQ

Is IIROC still the Canadian investment-industry regulator?

No. IIROC ceased operating separately on January 1, 2023. CIRO is its successor and administers the current investment-dealer, mutual-fund-dealer and market-trading frameworks.

What replaced the IIROC Dealer Member Rules?

The main current investment-dealer rulebook is CIRO’s IDPC Rules. Mutual fund dealers use the separate MFD Rules, while securities trading on CIRO-regulated marketplaces is also subject to UMIR.

Are the IIROC and MFDA rules now fully merged?

No. CIRO is consolidating dealer rules in phases, but separate IDPC and MFD rule sets remain in force. UMIR is not included in the consolidation project.

Do former IIROC rules still apply?

They can. CIRO’s transition provisions preserve certain former rules, approvals, exemptions, rulings, orders and proceedings, particularly for matters arising or begun before January 1, 2023. The precise answer depends on the facts and applicable transition provision.

Does CIRO regulate cryptocurrency custody under its normal custody rules?

CIRO says there is currently no permanent rule framework specifically designed for digital-asset custody. Certain platforms may instead be subject to interim requirements imposed through CIRO membership terms and conditions.

Where can I find current CIRO rulebooks?

Go to CIRO.ca and select Rules and Enforcement, then Dealer Member Rules. UMIR materials are listed separately under Universal Market Integrity Rules.

The Bottom Line

“Canadian IIROC regulations” now refers to a former framework, not a current regulator. For current research, start with CIRO and identify whether the issue involves an investment dealer, mutual fund dealer or marketplace trading. Then check the current IDPC Rules, MFD Rules or UMIR, together with amendments, guidance, exemptions and membership terms.

The transition matters especially for historical complaints and enforcement cases: a former IIROC rule may still apply, while newer CIRO rules or guidance may change the answer for current conduct.
