Can Mutual Fund Distributors Become Investment Advisers? What SEBI Proposed

SEBI’s 2016 proposal outlined how mutual fund distributors might shift to fee-based advice, but its terms should not be treated as current rules.

SEBI proposed a route for mutual fund distributors (MFDs) to move from commission-based distribution to fee-based investment advice, but the proposal should not be mistaken for a rule that is now in force. In a 2016 consultation paper, SEBI proposed that distributors making this shift register under the Investment Advisers (IA) Regulations. The proposal addressed existing trail commissions, new business and the boundary between describing a fund and recommending one. SEBI said in a 2018 filing that the proposals made from 2016 to 2018 were “yet to be implemented.” The official material cited here does not establish whether SEBI later resolved this specific transition proposal.

What did SEBI propose for distributors who want to become advisers?

SEBI’s 2016 consultation paper contemplated a transition from selling mutual funds for commission to providing advice for a fee. A distributor wishing to move to the fee-based advisory model would register as an investment adviser under the IA Regulations. These were consultation proposals, not proof that the route was adopted or remains available on those terms. SEBI’s 2016 consultation paper

What happens to existing trail commission?

The paper proposed that an adviser moving from distribution could continue receiving trail commission on products distributed before the transition, subject to disclosure to clients. New business after registration would fall under the fee-based advisory model described in the paper. This was a proposed transition arrangement; it should not be treated as a statement of current entitlement.

What could a distributor still say to a client?

For distributors who continued distributing mutual funds, the paper proposed the designation “Mutual Fund Distributor” and a limit on advice: they could explain product specifications but not recommend a particular product. That distinction was also proposed language, not confirmation of the current legal boundary.

Is SEBI allowing MFDs to give investment advice now?

The timeline in SEBI’s own materials calls for care. In a 2018 filing, SEBI said it had issued consultation papers in October 2016, June 2017 and January 2018 on matters including separation of advisory from distribution or execution, distributor activities, incidental advice, registration requirements and scheme rankings. SEBI described those proposals as “yet to be implemented.” SEBI’s 2018 filing

That is a dated checkpoint, not a finding about everything SEBI may have decided since. SEBI’s May 21, 2024 Master Circular for Investment Advisers is a reference for the IA framework, but its publication alone does not settle the outcome of the older MFD-to-IA migration proposal. SEBI’s May 21, 2024 Master Circular for Investment Advisers The official materials cited here do not confirm a later decision specifically resolving that proposal. Anyone considering a change in business model should check the latest SEBI rules, circulars and decisions rather than relying on the 2016 proposal terms.

How are a mutual fund distributor and an investment adviser different?

SEBI’s investor explainer describes the basic compensation distinction: MFDs receive commissions from mutual-fund sales, while investment advisers charge fees directly to clients and have different regulatory responsibilities. The roles are not interchangeable simply because both may discuss investments. The way an intermediary is paid is relevant to the distinction, but commission alone does not establish whether advice is independent. SEBI Investor’s mutual fund explainer

Question Mutual fund distributor Investment adviser
Who pays? Receives commission from mutual-fund sales, as described by SEBI Investor. Charges fees directly to clients, as described by SEBI Investor.
What is the role distinction? The 2016 proposal contemplated distribution and explanation of fund specifications, without recommending a particular product for those continuing as distributors. Provides advice under the IA framework; the 2016 proposal contemplated registration for distributors moving to fee-based advisory.
What would apply during a transition? The proposal contemplated disclosed trail commission on previously distributed products. The proposal contemplated fee-based treatment for new business after registration.

The table describes SEBI’s investor explainer and the 2016 proposal; it is not a complete statement of current legal permissions, qualifications or compliance duties. The May 2024 Master Circular is a framework reference, not evidence by itself that the proposed transition terms took effect.

What should distributors and investors take from the proposal?

For distributors considering a change

The 2016 paper outlined a possible route, not a current checklist for switching. Do not assume that registration alone would preserve prior trail commissions or determine how new client business must be handled today. Confirm the current IA requirements and any applicable SEBI directions before changing how advice is offered or compensated.

For investors choosing whom to work with

Ask how the intermediary is paid and what role they are performing: distributing a product for commission or providing advice for a client-paid fee. If the distinction affects your decision, ask the intermediary to explain the arrangement and relevant disclosures. SEBI’s 2016 paper noted that there were “over 70,000 mutual fund distributors” at that time; this is a historical figure, not a current count.
