Can a Company Repay Convertible Notes Early? Terms and Investor Implications

A company’s early repayment rights depend on its note and related agreements. Consent, notice, conversion windows, and payoff formulas can all affect investors.

Sometimes—but the company’s executed note and related agreements determine whether it can repay a convertible note before maturity. A note may allow early repayment, require investor consent, or prohibit it except in specified circumstances. Notice, conversion rights, interest, premiums, and the treatment of partial payments can all change the result and the investor’s economics.

What determines whether early repayment is allowed?

“Convertible note” describes debt that may convert into equity under specified conditions; it does not, by itself, give the issuer a right to repay early. The controlling terms are in the executed note and any related purchase agreements, amendments, side letters, and consents, interpreted under the applicable law.

Filed agreements illustrate the variation. A 2019 SEC-filed agreement bars prepayment unless the administrative agent and majority investors expressly permit it in writing. A separate 2018 SEC-filed note says the company may not prepay before maturity without the prior written consent of majority purchasers. Terms to check before assessing a proposed repayment

Permission, prohibition, and consent

Look for language describing whether the issuer may prepay at its option, whether prepayment is barred, and whose written consent is needed. Check how the agreement defines the relevant decision-makers and any voting threshold. Do not assume that consent from one holder is enough if the document assigns approval to a majority or an agent.

Notice and the holder’s conversion election

Some notes combine a repayment process with a window for the holder to convert. One SEC-filed note permits redemption of all or part of the balance after at least 60 days’ written notice, subject to the holder’s conversion right. Another sets out a prepayment notice followed by a period in which the holder may submit a conversion notice. The exact notice method, deadline, and effect of a timely conversion depend on the note. What the company must pay

A payoff may include more than principal. Review the formula for accrued and unpaid interest, any applicable default interest or fees, and any premium or additional amount. A 2020 SEC-filed note, for example, uses a premium that varies with time from issuance, alongside interest and other amounts; another filed agreement provides for a special payment after a sale transaction. Full or partial repayment

Check whether the company may repay the entire balance, only part, or either. If partial repayment is allowed, determine how the payment is allocated and whether it changes the outstanding balance used in conversion calculations. Filed notes differ on whether all or part may be redeemed, so do not infer the answer from another company’s form.

Financing, sale, default, and maturity events

Map the note’s separate rules for a qualified financing, a sale transaction, default, and maturity. A financing may trigger automatic conversion, while a sale may trigger a cash payment or another outcome. The order and timing of events can determine whether the note converts, is repaid, or gives the holder an election. Read each trigger and its defined terms together rather than treating “early repayment” as a standalone clause.

How early repayment can affect an investor

If repayment extinguishes the note before conversion, the holder may receive cash instead of the equity opportunity the note could otherwise have provided. Where the note preserves a conversion right during a notice period, the holder’s choice and ability to act before the deadline matter. Compare the contractual cash payoff and timing with the conversion terms and the value of retaining that opportunity; neither outcome is a prediction of investment return.

A practical document review

  1. Collect the operative documents. Start with the signed note, then gather amendments, the purchase agreement, side letters, and any written consents.
  2. Identify the event and timeline. Record the proposed repayment date and check whether a financing, sale, default, or maturity event occurs before it.
  3. Trace the repayment procedure. Find the permission or prohibition clause, required consents, notice method and period, and any holder conversion deadline.
  4. Calculate the contractual amount. Apply the note’s stated formula to principal, interest, premiums, fees, and any event-specific payment.
  5. Check partial-payment and conversion mechanics. Confirm what balance remains and how the payment affects any conversion calculation.

For an actual proposed payment or a live conversion deadline, have counsel familiar with the governing documents and applicable law review the terms and timeline. Publicly filed examples cannot establish what an unnamed company is entitled to do.
