Broadcom’s VMware Acquisition: What the Deal Changed—and What Regulators Required

Broadcom announced its agreement to buy VMware on May 26, 2022, for an estimated $61 billion, then completed the acquisition on November 22, 2023. The European Commission had cleared the deal conditionally after examining competition concerns, including interoperability for fibre-channel host bus adapters. The transaction expanded Broadcom’s enterprise-software ambitions, but the announcement and regulatory decision do not establish what VMware products cost or how they are packaged today.

What Broadcom agreed to buy

Broadcom announced a cash-and-stock agreement to acquire VMware on May 26, 2022. The approximately $61 billion announced value was calculated using Broadcom’s closing share price on May 25, 2022; it was an announcement-era deal valuation, not a current valuation. At announcement, shareholder approval and regulatory clearances were still required. Broadcom’s announcement described the proposed transaction and its conditions.

VMware’s business made the purchase strategically significant beyond the companies themselves. The European Commission described VMware as active in virtualization and workload-management software for data centers and cloud computing, among other software categories. These tools are part of enterprise IT infrastructure, supporting how organizations run and manage computing workloads. The Commission’s case record sets out the market context it considered.

Why Broadcom wanted VMware

Broadcom presented the acquisition as a way to expand its infrastructure-software business. That was the company’s strategic rationale, not proof that the expected benefits would materialize for customers or investors. The announcement should be read as Broadcom’s explanation of its aims, separate from the competition questions regulators reviewed. What competition regulators examined

The European Commission opened an in-depth, Phase II investigation after its initial review raised serious doubts. Among its concerns were competition issues involving fibre-channel host bus adapters (FC HBAs), which connect servers to storage networks. The Commission’s July 12, 2023 decision did not amount to unconditional approval: it declared the transaction compatible with the internal market and the European Economic Area Agreement subject to specified conditions and obligations. Interoperability and adapter certification commitments

The Commission’s remedy addressed interoperability and certification, including commitments relating to Marvell’s FC HBA drivers. Broadcom characterized the remedy as preserving interoperability, but the binding conditions are those set out in the Commission’s decision. The decision established conditional clearance for this transaction; it should not be treated as a finding that every possible competition concern was resolved. The Commission’s decision is the primary source for the conditions.

When the acquisition closed

Broadcom completed its acquisition of VMware on November 22, 2023. The completion date is recorded by Broadcom and in the company’s SEC filing; VMware shares ceased trading on the New York Stock Exchange. The deal therefore moved from a 2022 proposal, through regulatory review, to a completed transaction in 2023. Broadcom’s closing announcement and its SEC filing record the completion.

What the deal does—and does not—tell customers today

The acquisition and the Commission’s historical decision are established facts. They do not, by themselves, establish current VMware licensing terms, product packaging, prices, availability, or partner arrangements. Those commercial details can change and require current, authoritative confirmation. Readers evaluating an existing deployment or planning a migration should check the applicable current VMware terms and obtain advice specific to their organization rather than infer customer effects from the 2022 announcement or the regulatory remedy.
