Boeing’s acquisition was later reported completed on 8 December 2025. The approval was not a blanket clearance: Boeing had to transfer Spirit businesses that supplied Airbus and make a separate commitment concerning Spirit’s Subang, Malaysia business.
What happened to Boeing’s Spirit takeover?
The Commission received formal notification of Boeing’s proposed acquisition of sole control of Spirit on 26 August 2025. It adopted its formal decision on 14 October, declining to oppose the deal as modified by final commitments. A later Commission merger brief describes the conditional clearance date as 15 October 2025, so the two dates refer to the formal decision and the brief’s stated clearance date, respectively. The Associated Press reported that Boeing completed the acquisition on 8 December 2025. Its report described a $4.7 billion purchase figure and around $8.3 billion in total transaction value; those are differently framed figures, not interchangeable measures. Why did the EU examine the deal?
Spirit makes aerostructures—including fuselages, wings, pylons, nacelles and empennage—for commercial and military aircraft and business jets, as well as aftermarket services. The Commission focused on Spirit’s supply relationship with Airbus. Boeing and Airbus are the principal competitors in large commercial aircraft, while Spirit supplied Airbus under long-term programs.

The Commission assessed whether Boeing, after acquiring Spirit, could have both the ability and incentive to worsen or withhold supplies to Airbus, or gain access to competitively sensitive information. The concern was not simply that Boeing would own another manufacturer: Spirit’s position as an established supplier to its owner’s principal rival could create a conflict affecting that rival’s access to essential aircraft structures. Changing suppliers in an aircraft program can be difficult. Design work, certification, investment and production preparation may take years, and existing contracts can lock an aircraft maker into a supplier relationship. The Commission’s analysis therefore considered the practical limits on switching, not just whether alternative suppliers existed in principle.

What commitments did Boeing make?
The Commission cleared the acquisition only as modified by the final commitments. The package addressed the competition concern through structural transfers rather than a general promise to keep supplying Airbus.
- Airbus-supplying businesses: Spirit businesses and associated assets supplying Airbus were to be transferred to Airbus. The decision’s annexes describe the relevant Belfast, Wichita and other business units, along with the scope, assets, personnel and conditions involved.
- Subang, Malaysia: A separate commitment addressed Spirit’s Subang business. Transaction materials identify CTRM as the purchaser, subject to purchaser approval and other closing conditions.
The transfers of particular Spirit businesses are distinct from Boeing’s acquisition of Spirit as a whole. The commitments did not amount to an EU-ordered sale of all of Spirit. The Commission decision and its annexes set out the precise commitments; Spirit’s SEC filing describes transaction materials concerning the Subang commitment.

How did other competition authorities act?
Other authorities reviewed separate aspects of the transactions. Their decisions should not be confused with the European Commission’s conditional approval.

What the EU’s decision means
The Commission’s conclusion was that the transaction, as modified by the final commitments, was compatible with the internal market and the functioning of the European Economic Area Agreement, provided Boeing complied with the commitments. In the decision, the Commission said it had decided “not to oppose the notified operation as modified by the Final Commitments” and made compatibility conditional on “full compliance” with the commitments and their obligations. That conclusion concerns competition clearance, not a finding about subsequent aircraft quality, safety or production results. The reported completion of Boeing’s acquisition and the separate transfers required by the commitments are also distinct steps.
