Boeing completed its acquisition of Spirit AeroSystems on December 8, 2025. The deal was announced in 2024 at about $4.7 billion in equity value, but Boeing later reported $8.389 billion in fair-value total consideration—a broader figure that includes debt and other obligations, not just the stock exchanged for Spirit shares. Boeing said the acquisition was intended to align commercial production, safety and quality systems; the cited company disclosures do not establish that those outcomes have already improved.
Did Boeing buy Spirit AeroSystems?
Yes. Boeing announced a definitive agreement on July 1, 2024, and said it completed the acquisition on December 8, 2025. The SEC filing records the completion announcement on that date as well.
The transaction brought Boeing-related commercial operations into Boeing, including 737 fuselages and major structures for the 767, 777 and 787, as well as certain defense and aftermarket operations. Boeing described Spirit Defense as a non-integrated subsidiary and Belfast operations as Short Brothers, a Boeing subsidiary; the deal did not mean every Spirit operation became one undifferentiated Boeing unit. Boeing said approximately 15,000 teammates across five sites were becoming part of the company.
How much did Boeing pay for Spirit?
The answer depends on which measure and date you mean. Boeing’s July 2024 announcement put the deal at approximately $4.7 billion in equity value, or $37.25 per Spirit share, and approximately $8.3 billion in total transaction value when Spirit’s last reported net debt was included. Those are distinct figures, not a $37.25 offer later raised to a higher per-share price.

Boeing’s 2026 filing itemized the $8.389 billion fair-value total consideration as $4.704 billion in Boeing stock, $2.589 billion in settlement of loans, advances and other payments, $948 million in debt repaid on Spirit’s behalf, a $109 million premium on assumed exchangeable notes, and $39 million for exchanged share-based awards. The figure is therefore broader than the stock value exchanged for Spirit shares. The 2024 announced transaction value and 2026 reported consideration also come from different dates and measurement bases.
Why did Boeing reacquire Spirit?
Boeing’s stated rationale was to bring manufacturing operations back into closer alignment with its commercial production, safety and quality systems. In the July 2024 announcement, then-CEO Dave Calhoun said reintegration would let Boeing align those systems and the workforce around shared safety and quality priorities. That was the company’s explanation for the deal, not evidence that the expected improvements had already occurred.

At completion, CEO Kelly Ortberg described the transaction as a pivotal moment as Boeing began integrating Spirit’s commercial and aftermarket operations and establishing Spirit Defense. His statement likewise described an integration effort and future aims, rather than reporting measured results.

The cited transaction announcements and filing do not provide an independent post-acquisition statistic showing whether quality or safety improved. Boeing’s stated goal was alignment; whether that goal has translated into better outcomes cannot be established from these disclosures alone.

Did Boeing make the deal despite “hating optics”?
The phrase “hating optics” is not established as Boeing’s motive. In its 2024 announcement, Boeing disclosed reputational risk and the possibility of adverse reactions among the transaction risks. That supports saying the company recognized potential reputational consequences; it does not show that optics drove the acquisition or that executives “hated” them.
