Buying Bitcoin directly may suit someone who wants the ability to control and transfer Bitcoin and is prepared to manage custody or rely on a crypto platform. Neither route removes Bitcoin’s volatility, and neither is risk-free.
Products commonly called “Bitcoin ETFs” in the United States are generally exchange-traded commodity trusts, not investment companies registered under the Investment Company Act of 1940. They hold Bitcoin and seek to track its price. [SEC investor bulletin, September 2024]
What do you own with each route?

The SEC says spot Bitcoin ETPs are not registered investment companies under the Investment Company Act of 1940, so they do not have that Act’s valuation and custody requirements. That does not mean no regulation applies: the bulletin says the offerings and securities are registered under the Securities Act and Exchange Act and are subject to federal securities anti-fraud provisions. Which risks are shared, and which are different?
Bitcoin’s price risk applies to both
Bitcoin is highly speculative and volatile, and an investor can lose money through either route. A spot ETP is intended to track Bitcoin’s price; it does not protect a holder from Bitcoin price declines. Its share price can also diverge from Bitcoin’s price because of factors such as share demand, issuer-related issues, or broader crypto-market events. [SEC investor bulletin, September 2024]

ETP holders rely on the product and its providers
An ETP adds product-specific risks alongside market risk. The trust relies on its sponsor, custodian, and other service providers. The SEC’s investor bulletin notes that underlying crypto trading platforms may lack SEC registration and oversight, which can increase exposure to fraud and manipulation in those markets. Review the current prospectus and reports for the particular product’s risks, custody arrangements, and stated limitations. Direct holders choose between key responsibility and custodian dependence
If you use self-custody, a private key authorizes transactions. Losing access to the key or recovery information can mean permanently losing access to the Bitcoin. A cold wallet, typically a physical device kept offline, can reduce internet exposure, but the device can be lost, damaged, or stolen. A seed phrase may restore wallet access and should not be shared.

If you keep Bitcoin with a third-party custodian, that provider controls the keys. A hack, shutdown, or insolvency could cut off access to assets. The SEC recommends researching custodians, including how assets are stored, what happens if the custodian fails, and what fees apply. [SEC crypto-asset custody bulletin, December 12, 2025]
How do the fees compare?
For an ETP, add up the product and brokerage costs
- Sponsor fee: Check the current prospectus for the annual fee and any waiver. The trust pays this fee from its Bitcoin holdings, so the Bitcoin represented by each share declines over time as fees are paid.
- Brokerage and trading charges: Your broker may charge trading fees or other account-related costs.
- Bid–ask spread and price versus net asset value: Compare the price at which shares trade with the product’s net asset value and review its disclosures for premiums or discounts.

For direct Bitcoin, check platform, transfer, and custody costs
- Purchase and sale spreads or transaction charges.
- Withdrawal or transfer fees and wallet transaction costs.
- Any third-party annual asset-based, account setup, or account-closure fees.
- If you choose self-custody, the cost of a physical cold-wallet device, if any.
The SEC advises investors to ask custodians about annual asset-based, transaction, asset-transfer, account setup, and account-closure fees. Direct ownership avoids an ETP sponsor fee, but it should not be assumed to be free. [SEC crypto-asset custody bulletin]
How should you choose?
- Consider a spot ETP if brokerage-based securities exposure and not managing wallet keys matter more to you than directly controlling or transferring Bitcoin. Before buying, read the product’s current prospectus for fees, custody arrangements, risks, and trading or redemption terms.
- Consider direct Bitcoin if you want the ability to hold or transfer Bitcoin and are willing to choose between third-party custody and self-custody. Decide how you would protect keys and recovery information before moving assets into a wallet.
- Compare the full cost and control package, not a single headline fee. Include sponsor and brokerage costs for an ETP; for direct Bitcoin, include platform spreads, transaction and transfer charges, custody fees, wallet costs, and the effort and risks of key management.
“Safer” depends on which risk you mean. An ETP avoids personal wallet-key management but adds dependence on its product providers. Self-custody gives you key control but makes security and recovery your responsibility; third-party custody reduces that work but adds custodian dependence.

What to check before committing
- For an ETP: Find the current prospectus and periodic reports through the issuer or broker. Check the sponsor fee and any waiver, named service providers, custody terms, stated risks, and whether the product permits redemption or transfer in a way relevant to your needs.
- For direct Bitcoin kept with a provider: Read the provider’s custody terms. Ask how assets are stored, what happens if the provider fails, and which transaction, transfer, account, or ongoing fees apply.
- For self-custody: Learn the wallet’s recovery process and secure the seed phrase offline and privately. A hardware device is optional; it does not eliminate the risks of physical loss, poor recovery practices, or sending a transaction to the wrong destination.
