A spot Bitcoin exchange-traded product (ETP) lets you buy exchange-traded shares that represent exposure to Bitcoin without personally managing Bitcoin keys. Buying Bitcoin directly gives you the asset itself, held either in your own wallet or through a crypto platform. Neither route avoids Bitcoin’s volatility, and neither is always cheaper: compare the specific product’s current fees and trading costs with the charges and custody arrangements of the direct-purchase route you would use.
“Bitcoin ETF” is common shorthand, but in the United States the SEC describes spot Bitcoin products as commodity trusts—not ETFs registered under the Investment Company Act of 1940. This comparison concerns U.S. spot products; legal structures and rules may differ elsewhere.
What you own with each option
| Comparison | Spot Bitcoin ETP | Buying Bitcoin directly |
|---|---|---|
| What you hold | Shares in a trust that holds Bitcoin; the shares are securities. | Bitcoin, held in a personal wallet or through a platform’s custody arrangement. |
| Who handles custody | The trust’s custody arrangements hold the Bitcoin; you manage access to your securities account. | You manage wallet access and keys if self-custodied, or rely on the platform if it holds the Bitcoin for you. |
| Ongoing and transaction costs | Sponsor fee, plus any applicable brokerage, trading-spread, and account costs. | Trading fee and spread, with possible custody, withdrawal, network-transfer, or wallet costs. |
| Trading and price exposure | Trades as a security; its share price can differ from Bitcoin’s price. | Trades through the selected crypto route and is subject to that platform’s pricing and custody arrangements. |
| Regulatory structure | A spot commodity trust, not a fund registered under the Investment Company Act of 1940, according to SEC guidance. | A crypto-asset transaction and custody route; oversight depends on the platform and arrangement. |
| Operational work | Manage a securities account and evaluate the product’s disclosures. | Evaluate a platform or manage wallet and key access, and decide whether to transfer Bitcoin. |
The SEC’s investor bulletin explains that the spot products it discusses are not registered investment companies under the 1940 Act and therefore do not have the same statutory valuation and custody requirements as registered ETFs and mutual funds. That distinction describes the product’s legal structure; it does not, by itself, determine which route is right for an individual investor.
How to compare the costs
There is no universal cost winner without comparing named products and providers using current schedules. An advertised fee waiver may be temporary, and a zero sponsor fee would not necessarily eliminate trading costs or other charges.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
Costs of a spot Bitcoin ETP
- Sponsor fee: Spot Bitcoin ETPs generally charge an ongoing fee. The trust pays it, and because the trust does not generate income, the fee reduces the Bitcoin represented by each share over time.
- Waivers: Check whether a fee reduction is in effect, which shares or period it applies to, and when it ends. Use the current prospectus rather than assuming a promotion is permanent.
- Trading costs: Check any brokerage commission, the bid-ask spread, and whether the shares are trading at a premium or discount to net asset value (NAV).
Costs of buying Bitcoin directly
- Purchase and sale charges: Check the platform’s transaction fee and quoted spread for both buying and selling.
- Custody and withdrawal: A platform may charge for custody or withdrawals. Moving Bitcoin can also involve a network fee.
- Self-custody: A wallet may have a purchase cost, but a hardware wallet is optional, not a requirement for owning Bitcoin directly.
To make a fair comparison, look at the costs for the same intended investment and holding period, and include both entry and exit costs. A current, named-provider comparison requires checking each ETP’s prospectus and fee schedule and the chosen crypto provider’s current charges; general fee rankings can become outdated.
Custody: who controls access?
With ETP shares
You hold shares through a securities account; the trust’s Bitcoin is held under its own custody arrangements. This means you do not personally handle Bitcoin keys, but it does not remove custody risk. The product still depends on its custodian, sponsor, and operational arrangements. In its January 10, 2024 statement, SEC Chair Gary Gensler said the listing action did not endorse the disclosed ETP arrangements, including custody arrangements (SEC statement on spot Bitcoin ETPs).

With direct Bitcoin
Direct ownership does not automatically mean self-custody. You can keep Bitcoin with a crypto platform, relying on that provider’s custody, or use a wallet and manage access yourself. In self-custody, the owner is responsible for wallet access and cryptographic keys; losing access can mean losing the ability to use the Bitcoin. A hardware wallet is one optional tool, not a guarantee against loss or mistakes.
The SEC warns that crypto trading platforms may lack the oversight applicable to registered intermediaries and that crypto markets have an enhanced potential for fraud and manipulation. The specific risks depend on the platform and arrangement; do not assume all providers offer the same protections.

Risks and trade-offs beyond fees
Bitcoin price risk applies to both
Owning ETP shares or Bitcoin directly exposes you to Bitcoin’s price volatility. The SEC describes Bitcoin as highly speculative. Choosing an ETP changes how you access the exposure, not the volatility of the underlying asset.
ETP shares may not track Bitcoin exactly
An ETP’s share price can diverge from Bitcoin’s price because of factors including investor demand, issuer issues, or wider crypto-market events. Review the specific product’s prospectus and periodic reports for its risks and operations.

Direct ownership adds route-specific responsibilities
Self-custody makes key and wallet access your responsibility. Platform custody shifts that responsibility to a provider but adds dependence on that provider and the crypto trading environment. Decide which arrangement you mean before comparing “direct Bitcoin” with an ETP.
SEC approval is not an endorsement
The SEC’s January 10, 2024 approval concerned the listing and trading of certain spot Bitcoin ETP shares; it was not an endorsement of Bitcoin or of custody arrangements. The SEC also notes that the securities offerings and securities described in its investor bulletin are subject to registration and antifraud provisions, while the products are not registered under the Investment Company Act of 1940 (SEC investor bulletin on Bitcoin and Ether ETPs).

What changed with in-kind creation and redemption?
On July 29, 2025, the SEC announced approval of orders permitting authorized participants to create and redeem crypto ETP shares in kind (SEC announcement on in-kind creations and redemptions). This is a product-market mechanic, not a reason to assume every fund has identical operations. Check the current documents for the specific ETP you are considering.
Quick Recap
A practical way to choose
- Decide what you want to hold. Choose between security shares in a trust and Bitcoin itself.
- Choose the custody arrangement. For direct Bitcoin, decide whether you would use a platform or manage a wallet and keys yourself. For an ETP, review the trust’s stated custody arrangements.
- Compare current all-in costs. For an ETP, include its sponsor fee, any waiver and end date, brokerage costs, spread, and possible NAV premium or discount. For direct Bitcoin, include purchase and sale fees, spreads, custody or withdrawal charges, network costs, and any wallet cost.
- Review product and provider risks. Read the ETP’s prospectus and periodic reports or the platform’s terms and custody information. Consider how you would handle account access, transfers, and loss of access.
- Check tax rules for your jurisdiction. Tax treatment is not established here; it can depend on where you live and the nature of the transaction, so verify the rules that apply to you.
