Bharti Global completed its purchase of approximately 24.5% of BT Group on 18 November 2024, buying the shares from Altice UK through its wholly owned subsidiary, Bharti Televentures UK Ltd. The UK government approved the acquisition subject to BT establishing a National Security Committee; BT later reported that it had established the committee.
What Bharti bought—and from whom
Bharti Global, the international investment arm of Bharti Enterprises, acquired the BT Group shares through Bharti Televentures UK Ltd. The seller was Altice UK S.à r.l. Bharti’s announcement described the intended holding as approximately 24.5% of BT Group plc’s issued share capital. The “25%” in the original headline is a rounded figure, not the more precise percentage used in the company announcement and government order. Bharti Enterprises’ announcement and the UK government’s final order identify the transaction and parties.
How the transaction unfolded
The deal was announced and transferred in two tranches. The announcement date, the date the purchase was completed, and the date of the government’s final order are distinct milestones.

What the $4 billion figure does—and does not—establish
The primary transaction announcement and the government’s final order cited above do not state a $4 billion purchase consideration. On the available primary-source record, that figure should not be presented as BT’s or Bharti’s disclosed official deal price. The confirmed facts are the approximately 24.5% stake, the seller, and the two completion tranches; a separate, attributable source would be needed to establish the transaction’s price.
Why the UK government imposed a security condition
The Chancellor of the Duchy of Lancaster approved the acquisition under the National Security and Investment Act 2021, requiring BT to establish a National Security Committee. The order said the committee would oversee strategic work BT performs that affects or relates to UK national security. The government identified BT’s involvement in government telecommunications initiatives, its role in ensuring UK cyber security, and its position as a strategic government supplier—including for national-security services—as relevant concerns. The government approved the acquisition subject to this mitigation; it did not block it. The final order states the condition and rationale.

Did BT establish the committee?
Yes. BT’s 2025 annual report says it established the National Security Committee as a subcommittee of its National Security and Investigatory Powers Committee to satisfy the order. This company-reported implementation followed the government’s December 2024 approval. BT’s 2025 annual report records the arrangement.

BT’s August 2025 EMTN prospectus records that Bharti said it had no intention of making an offer to acquire BT. The prospectus says the statement was binding for UK Takeover Code Rule 2.8 purposes up to and including 11 February 2025. That is a dated undertaking; it does not establish Bharti’s intentions after that date. BT’s August 2025 prospectus records the statement and its time limit.
