Re:

Are Electronic Mortgage Closings Legally Valid?

Federal law generally recognizes electronic mortgage signatures and records, but a valid signature does not guarantee an accepted eNote, lawful RON, or recordable mortgage. Check the property state, county, lender, and loan program.

Generally, yes. U.S. law recognizes electronic signatures and records in covered transactions, including mortgage transactions. But that does not mean every electronically signed mortgage document is valid, properly notarized, accepted by a lender or investor, or recordable in the county where the property is located. The answer for a particular closing depends on the document, applicable state law, the signing and notarization method, and the lender’s and recording office’s requirements.

What “legally valid” means for an electronic mortgage closing

An electronic closing, or eClosing, uses electronic records and signatures for some or all of the documents involved in obtaining or refinancing a mortgage. A closing may be fully paperless, combine electronic and paper documents, or use electronic signatures while retaining a paper promissory note. Those differences matter: “I signed the closing documents electronically” does not answer every legal and practical question about the transaction.

There are at least four separate questions to resolve:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Signature: Was the electronic signature adopted with the signer’s intent to sign and associated with the correct record?
  • Document: Does the particular document meet the legal and contractual requirements that apply to it? The promissory note can have additional requirements beyond ordinary closing forms.
  • Notarization: If the document requires notarization, was the notarial act performed by an authorized notary using a method permitted by the applicable law?
  • Acceptance and recording: Will the lender and intended investor accept the process, and will the relevant recording office accept the mortgage or deed of trust in the submitted format?

A “yes” on one does not automatically establish a “yes” on the others. For example, an electronic signature may be legally recognizable while a county’s recording process does not accept the document’s format. Or a closing may use electronic signatures on most papers while the promissory note remains on paper.

What federal E-SIGN law does—and does not—do

The federal Electronic Signatures in Global and National Commerce Act, commonly called E-SIGN, applies to transactions in or affecting interstate or foreign commerce. Its general rule, in 15 U.S.C. § 7001(a)(1), says that a signature, contract, or other record relating to a covered transaction may not be denied legal effect, validity, or enforceability solely because it is electronic. The statute defines an electronic signature broadly: it can be an electronic sound, symbol, or process attached to or logically associated with a record and adopted with intent to sign it.

That definition focuses on the signer’s intent and the link between the signature and the record—not on whether the signature looks like handwriting, was made with a stylus, or uses a particular font or image. A process that captures a signature without showing that the signer intended to sign the relevant document may still raise a problem. E-SIGN’s recognition of electronic form does not prove a person’s identity, authority, or intent, and it does not repair an agreement that fails some other legal requirement.

E-SIGN also does not make electronic delivery compulsory. A party is not generally required to agree to conduct a transaction electronically, and the law does not force every lender, notary, or government office to use or accept every electronic process. Applicable state rules, document requirements, and the procedures of the parties remain important.

The promissory note needs special attention

A mortgage closing commonly includes a promissory note—the borrower’s promise to repay—and a security instrument, usually a mortgage or deed of trust, that creates a lien on the property. These are related documents, but electronic signatures on other closing papers do not establish that the note itself has been created and maintained in a form that preserves the rights associated with it.

E-SIGN § 7021 provides a framework under which an electronic record that would qualify as a note under UCC Article 3, relates to a loan secured by real property, and is expressly agreed by its issuer to be a transferable record may be treated as one. The system must reliably establish control of the record; the statute also addresses the authoritative copy and transfer of interests. In practical terms, this is why an eNote is more than a paper note scanned into a file or a note signed electronically without the required controls.

Fannie Mae’s Selling Guide says many loan documents may be generated, signed, processed, stored, or transmitted electronically if they can be reproduced in paper form, but it excludes the promissory note and related addenda unless the seller has special approval to deliver eNotes. It also requires compliance with E-SIGN, applicable state UETA where relevant, and other federal and state law. That is a Fannie Mae delivery rule, not a universal rule for every lender or loan program. Ask whether your note will be paper or an eNote and, if it is electronic, whether the intended investor accepts that eNote process.

Electronic notarization and remote online notarization are different

An electronic notarial act can be performed when the signer is physically present before the notary, with the notary using electronic records and signatures. Remote online notarization (RON) is different: the signer appears before the notary by live audio-video technology. E-SIGN allows an electronic notarial act to satisfy a legal notarization or acknowledgment requirement when the authorized person’s electronic signature and all other legally required information are attached to or logically associated with the record. State law still determines who may perform the act and what procedure must be followed.

State rules vary, and a RON authorization is not interchangeable among jurisdictions. Illustrative state rules show why the property state and notary’s authorization need to be checked:

  • Massachusetts: A special attorney-related restriction applies to using remote communication technology for notarial acts on residential mortgage closings.
  • Nevada: For specified audio-video notarial acts, an electronic notary must be physically present in Nevada, and the act must be recorded.
  • Texas: Online notarization rules specify identity verification, secure audio-video communication, and certificate-notation requirements for notarizations of tangible documents.

These are examples of variation, not a complete state-by-state guide. In addition to checking whether the property state permits the proposed method, confirm that the notary is authorized and complies with any location, identity-check, recording, and certificate requirements that apply.

Fannie Mae says it accepts certain loans with remotely notarized security instruments when the property state expressly permits RON or expressly accepts an out-of-state RON performed under the notary’s state law, subject to its vendor and delivery requirements. That is a purchaser’s policy for loans delivered to Fannie Mae; it is not a substitute for state law or the requirements of a different lender or investor.

Signing the mortgage and recording it are separate steps

A signed agreement’s legal effect and the recording office’s willingness to accept a mortgage or deed of trust are separate issues. E-SIGN does not require a government office to accept every electronic format. A mortgage can therefore present a recording-process question even when the parties used an otherwise recognized electronic signature or notarial act.

State laws illustrate several approaches. Florida’s recording statute allows eligible electronic documents to satisfy certain original, paper, writing, signature, and notarial requirements. Ohio Revised Code § 147.591, effective April 3, 2025, requires acceptance of qualifying electronically executed and electronically notarized documents through specified recording processes and says they may not be rejected solely because of electronic signatures or notarization, including online notarization. Missouri provides another route: in qualifying circumstances, a paper copy of a document originally created electronically can be recorded when a Missouri notary certifies it as a true and correct copy.

None of these examples establishes that another state or county must accept the same document, format, RON provider, or certified paper-copy method. The property’s location is central. Ask the closing agent or lender to confirm the recording office’s current submission process, including any format, notarial, or copy requirements, rather than assuming that electronic signing and recording are one combined step.

Consumer disclosures still have to meet E-SIGN rules

Electronic signatures on closing documents are not the only issue in a paperless process. When legally required consumer information is delivered electronically instead of in writing, E-SIGN generally requires affirmative consent that has not been withdrawn and clear, conspicuous disclosures in advance. The consumer must demonstrate access to the electronic format in the manner set by the statute.

The required disclosures address the consumer’s paper options, how to withdraw consent and any consequences or fees, the scope of consent, how to request a paper copy, and the hardware and software needed to access and retain the electronic records. Electronic delivery does not eliminate other disclosure content or timing protections. If you cannot open, save, or retain the records in the offered format, raise that issue before consenting or signing; a consent process is not meaningful if you cannot access the documents it covers.

Questions to resolve before you sign

For a live closing, get clear answers from the lender or closing attorney before relying on the word “electronic.” These questions identify which part of the process needs verification:

  1. Which documents will be electronic? Ask whether the closing is fully paperless or hybrid, and identify any paper originals, especially the promissory note and related addenda.
  2. If the note is electronic, how is it handled? Ask whether it is being delivered as an eNote, whether the required transferable-record controls are used, and whether the intended investor accepts it.
  3. How will notarization occur? Clarify whether the notary will be physically present or the signing will use RON. For RON, ask which state’s law authorizes the act and whether the property state recognizes that method.
  4. Can the mortgage be recorded in the property county? Ask the closing agent to confirm that the specific electronic or certified-copy format and notarization method meet the local recording office’s current process.
  5. How will you receive and keep disclosures and final copies? Check the electronic-consent process, the available paper-copy option, withdrawal procedure, and your ability to access and retain records.
  6. Does the lender and loan program accept this workflow? Confirm acceptance with the lender and, where applicable, the intended investor or program. Legal recognition of electronic form by itself does not bind them to every process.

If an answer is unclear, ask for the relevant document or process to be handled in a way the lender, notary, and recording office have confirmed they can accept. Do not treat a provider’s ability to collect electronic signatures as proof that every legal, investor, or county requirement has been met.

How to compare a paperless, hybrid, and paper closing

The format label is less useful than checking the components. A fully electronic workflow may still use a paper note; a hybrid closing may use RON; and a paper closing can still involve electronic delivery of some disclosures. Compare the actual proposed process across these points:

  • Note: Identify paper versus eNote, and verify any eNote approval and control requirements.
  • Notarial act: Identify in-person electronic notarization versus RON, then verify state authority and procedural rules.
  • Recording: Confirm county acceptance of the security instrument’s format and notarization.
  • Disclosures and copies: Understand electronic consent, paper options, and how records can be accessed and retained.
  • Institutional acceptance: Verify that the lender and intended investor accept the particular workflow.

These are checks, not a ranking of formats. The available legal rules do not make paperless, hybrid, or paper closings universally preferable; the appropriate format is one that meets the applicable legal requirements and is accepted by the parties responsible for the loan and recording.
