Arctic Wolf Acquires Cylance From BlackBerry for $160 Million: Deal, Closing and Product Changes

Arctic Wolf’s Cylance acquisition closed February 3, 2025. Here is what the $160 million headline included, what BlackBerry received at closing, and why Cylance is now Aurora Endpoint Security.

Arctic Wolf completed its acquisition of BlackBerry’s Cylance endpoint-security assets on February 3, 2025. The announced consideration was $160 million in cash, subject to adjustments, plus approximately 5.5 million Arctic Wolf common shares—not $160 million of cash paid at closing. BlackBerry reported about $79.8 million in net cash and shares initially valued at $24.6 million at closing, with approximately $40 million of additional cash expected on the first anniversary.

What Arctic Wolf bought

The transaction covered BlackBerry’s Cylance endpoint-security assets. It was not an acquisition of all of BlackBerry or of its other major product groups. BlackBerry retained its Secure Communications portfolio, including BlackBerry UEM, AtHoc and SecuSUITE.

Arctic Wolf and BlackBerry announced their definitive agreement on December 16, 2024. The agreement called for $160 million in cash, subject to purchase-price adjustments, and approximately 5.5 million Arctic Wolf shares.

How much BlackBerry received

The headline value and the cash delivered at closing are different figures.

Accordingly, saying that BlackBerry “got $160 million in cash” at closing would be inaccurate. The $160 million was the announced cash consideration before adjustments and deferred timing; the closing disclosure and subsequent Form 10-K provide the more specific amounts actually recognized at that stage.

When the acquisition closed

  1. December 16, 2024: Arctic Wolf and BlackBerry announced the definitive agreement.
  2. February 3, 2025: The sale closed. BlackBerry disclosed approximately $80 million in cash and 5.5 million Arctic Wolf shares at closing, with approximately $40 million of additional cash expected on the first anniversary.
  3. Fiscal 2025 reporting: BlackBerry recorded the closing economics as $79.8 million of net cash and an initial $24.6 million fair value for the Arctic Wolf shares, alongside approximately $39.1 million of adjustments to the cash consideration.

What Cylance is called now

At closing, Arctic Wolf launched Aurora Endpoint Security and said Cylance capabilities were being integrated into the Aurora platform. Arctic Wolf’s current documentation describes Aurora Endpoint Security as the product family formerly called Cylance and presents it as an AI- and machine-learning-based endpoint-security platform.

Product naming is not completely uniform across the documentation. Legal and product materials use “Aurora Endpoint Security (formerly Cylance),” while some help pages still refer to legacy Cylance products and components, including CylanceON-PREM. Existing customers may therefore encounter both names during migration, administration or lifecycle communications.

What Arctic Wolf says the combined product does

In its closing announcement, Arctic Wolf positioned Aurora Endpoint Security as a way to strengthen prevention and threat detection, reduce alert fatigue and false positives, and lower organizations’ risk exposure. Those are Arctic Wolf’s product claims. The available transaction materials do not independently measure detection performance, customer outcomes, retention or realized synergies after the acquisition.

BlackBerry’s continuing relationship with Arctic Wolf

BlackBerry chief executive John Giamatteo said the company would continue its relationship with Arctic Wolf in three roles:

  • Customer: BlackBerry would use Arctic Wolf’s services.
  • Reseller: BlackBerry would resell the portfolio to large government customers.
  • Shareholder: BlackBerry would hold Arctic Wolf shares received in the transaction.

This arrangement means the sale did not end every commercial connection between the companies. It transferred the Cylance assets while leaving BlackBerry with customer, channel and equity interests in Arctic Wolf.

What the deal means for customers and buyers

Existing Cylance customers

Customers should expect Aurora Endpoint Security to be the primary forward-looking product name, while checking Arctic Wolf’s documentation for the status of any legacy Cylance component they operate. A rebrand or platform integration alone does not establish a particular change in protection levels, pricing, contract terms or support obligations; those details depend on the customer’s agreement and product edition.

Enterprise procurement teams

Procurement and security teams should separate three questions: whether their contract is with BlackBerry or Arctic Wolf, which Cylance modules are in scope, and whether a required feature is now delivered through Aurora Endpoint Security. The transaction announcements do not provide a universal migration timetable or a single commercial package for every customer.

Channel partners

Arctic Wolf publishes reseller and partner terms for Aurora Endpoint Security. Businesses considering a reseller or managed-service-provider relationship should review the current partner agreement and confirm eligibility directly with Arctic Wolf, because availability and requirements can change.

The bottom line on the $160 million headline

Arctic Wolf bought BlackBerry’s Cylance endpoint-security assets, and the transaction closed on February 3, 2025. The announced structure was $160 million of cash subject to adjustments plus approximately 5.5 million Arctic Wolf shares. BlackBerry’s reported closing proceeds were approximately $79.8 million in net cash and $24.6 million of initially valued shares, with additional cash expected later. Cylance is now being carried forward under the Aurora Endpoint Security name, while BlackBerry continues as a customer, government-channel reseller and shareholder.
