Anthropic’s IPO Plans Have Moved Far Beyond $300 Billion—But the $2 Trillion Bet Is Unproven

Anthropic has confidentially filed for a U.S. IPO, but the $300 billion headline is outdated. Reports now suggest a possible $1.7 trillion–$2 trillion valuation—still unconfirmed and dependent on aggressive growth.

Short answer: Anthropic is genuinely preparing for a U.S. IPO, but the often-repeated $300 billion figure is outdated. The company said it confidentially filed for an offering on June 1, 2026. Earlier reporting tied $300 billion to a possible private financing round; later reports put investor expectations near $1.7 trillion to $2 trillion or more. No listing date, price range, ticker, share count or final valuation has been announced.

What Anthropic has actually filed

Anthropic disclosed that it had confidentially submitted draft registration paperwork for a U.S. initial public offering on June 1, 2026. Reuters coverage carried by Fidelity described the filing as the clearest confirmed step toward a listing.

A confidential draft is not the same as a public S-1 or an approved offering. The normal sequence is:

  1. Internal preparation and hiring IPO counsel.
  2. Confidential draft registration statement submitted to the SEC.
  3. Public S-1 filing, with financial statements and risk factors visible to investors.
  4. SEC comments and revisions.
  5. Roadshow, offering price range and share allocation.
  6. Pricing and the first trading day.

Anthropic has not publicly disclosed a definitive exchange, ticker, number of shares, price range or listing date. A company can revise, delay or withdraw a confidential submission, and the eventual public filing may contain materially different financial figures.

Where the $300 billion number came from

The $300 billion headline refers to an earlier financing discussion, not a confirmed IPO valuation. The reported progression is:

The $965 billion post-money valuation and a future public-market capitalization are different measurements. An IPO value will depend on the number of shares outstanding, new shares issued, secondary sales, dilution, market conditions and investor demand.

Why Anthropic may want public-market capital

Frontier AI is unusually capital intensive. Training and serving larger models require advanced chips, networking, data centers and energy. Enterprise adoption can increase inference expense as usage rises, even while revenue grows. Public equity could fund computing capacity, research, hiring and acquisitions, while giving employees and early investors a liquid market for their shares.

Reuters has reported that Anthropic and OpenAI are considering public markets partly to secure the resources needed to train and operate increasingly expensive systems (coverage). Axios separately reported discussions about acquiring Decart for approximately $6 billion, although completion was not confirmed; Decart was described as working on world models and chip-optimization software (Axios).

Anthropic versus OpenAI

OpenAI reportedly submitted confidential IPO paperwork on June 8, 2026, shortly after Anthropic’s disclosure. That supports the “against OpenAI” framing, but it does not prove identical timetables or corporate structures.

These valuations are not directly comparable without consistent accounting, share counts and dates. A Wall Street Journal document also cautioned that revenue routed through cloud partners may be reported differently by Anthropic and OpenAI (WSJ document).

The revenue case behind a possible $2 trillion valuation

Later reporting put Anthropic’s annualized revenue run rate around $47 billion in May 2026 and described internal or source-based projections of approximately $190 billion to $200 billion in 2028 revenue. One report said second-quarter 2026 revenue could reach $10.9 billion and that the company might record its first quarterly operating profit. These are reports based on people familiar with the finances, not audited public-company disclosures.

A run rate annualizes a current pace; it is not the same as recognized annual revenue. Likewise, projected revenue is not cash flow or profit. Until a public S-1 appears, investors cannot reliably assess customer concentration, refunds, cloud-partner economics, gross margins or cash burn.

Illustrative valuation sensitivity

The following scenarios show how much the multiple matters. They are analytical examples, not Anthropic guidance:

Risks an IPO investor would need to test

Margin and cash-burn risk

AI revenue can rise quickly while gross margins remain pressured by chips, energy, networking, data-center leases and model-serving costs. Any reported operating profit should be checked against cash flow, stock compensation and how training costs are treated.

Forecast risk

The $190 billion–$200 billion 2028 projection could be revised or missed. It is not a guarantee, and a forecast cannot substitute for audited results.

Partner and customer concentration

Amazon and Google are among Anthropic’s major strategic backers and infrastructure partners, according to earlier reporting. Such relationships provide capital and distribution but can leave the company dependent on a small number of cloud or channel partners.

Competitive substitution

OpenAI, Google, Meta, Microsoft and open-weight developers can lower prices, bundle models into existing products or narrow capability gaps. Customers may also switch models as performance becomes more comparable.

Timing, dilution and governance

Market conditions can change before pricing. The public filing should disclose voting rights, preferred-stock conversion, cloud commitments, related-party arrangements, lockups, secondary sales, dilution, litigation and regulatory exposure. A strong company can still be a poor investment if the offering price assumes too much future success.

What readers should watch before buying

  • A public S-1 on SEC EDGAR, rather than only a confidential filing announcement.
  • Audited income statements, balance sheets and cash-flow statements.
  • Definitions separating recognized revenue, annualized run rate, bookings and contracted commitments.
  • Gross margin, inference expense, capital expenditure and long-term chip or cloud obligations.
  • Customer retention and concentration, including sales through cloud partners.
  • The number of primary shares issued, secondary shares sold and resulting dilution.
  • Voting control, lockup periods, exchange, ticker and the final price range.

There is no Anthropic stock to buy until shares are priced and begin trading. Retail investors may not receive an IPO allocation and may instead buy in the open market, where the price can be materially above or below the offering price. A reported private valuation is not a currently tradable price.

The Bottom Line

Anthropic is preparing for an IPO, but $300 billion is a stale description of an earlier private-financing discussion. The latest reported expectations—roughly $1.7 trillion to $2 trillion or more—depend on aggressive, unverified growth forecasts. The decisive evidence will be the public S-1, audited financials, margins, cash use, dilution and the actual offering price.
