American Airlines’ AAirpass promised Steven Rothstein unlimited first-class travel for life, but it did not give him an unconditional right to make any reservation he wanted. The agreement imposed booking rules and allowed termination for fraudulent use. In 2008, American canceled Rothstein’s pass, alleging misuse; Rothstein disputed that account. A federal judge ruled for American on his breach-of-contract claim in 2011.
What was the American Airlines AAirpass?
The AAirpass was a lifetime travel contract sold by American Airlines. In its June 30, 2011 opinion in Rothstein v. American Airlines, Inc., the U.S. District Court for the Northern District of Illinois described Rothstein’s pass as providing unlimited first-class travel for life.
Rothstein paid $250,000 for the pass in 1987, according to the court. In 1989, he paid another $150,000 to add the companion feature. These are the contract payments recorded by the court, not inflation-adjusted estimates.
What limits applied to the unlimited travel?
The court’s account of the agreement says Rothstein could reserve one seat, or two when traveling with a companion, subject to American’s applicable rules tariff. The companion feature therefore did not authorize reserving an extra seat for an absent traveler. In April 2004, American warned Rothstein that he could not book an empty companion seat.

The contract also included a termination provision for fraudulent use. That distinction matters: the travel benefit was described as unlimited, but the agreement still governed how reservations could be made and when American could end the privilege.
Why did American cancel Rothstein’s pass?
American terminated the pass in 2008. It alleged that Rothstein had used fictitious names to make companion bookings and had made speculative reservations for people who did not intend to travel. Those are American’s allegations as recounted in the court opinion, not a blanket finding that all AAirpass holders misused their passes.

Rothstein argued that American had accepted his booking practices. The dispute was thus not simply whether the pass said “unlimited,” but how its reservation conditions applied and whether American could terminate it based on the conduct it alleged.
What did the court decide?
On June 30, 2011, Judge Virginia M. Kendall granted American summary judgment on Rothstein’s breach-of-contract claim and denied Rothstein’s motion. The court concluded that the contract permitted termination for fraudulent use. The ruling resolved Rothstein’s contract claim; it should not be read as a ruling that every holder’s use of an AAirpass was improper or as a general finding that the entire program failed.

For a buyer, “lifetime” and “unlimited” are only part of a contract’s value. The practical benefit depends on the rules defining eligible use, the provider’s power to enforce those rules, and what happens if the provider says a customer has crossed the line. In Rothstein’s case, the court’s account of the contract and the 2004 warning help explain why the advertised breadth of the benefit did not settle the later dispute.
For a business, a large upfront payment exchanges immediate revenue for an open-ended future obligation. That creates a tension between selling a compelling promise and controlling how it is used. The opinion establishes the contract dispute and the court’s resolution of Rothstein’s claim; it is not a complete financial assessment of American’s AAirpass program.
