AMCC President and COO Doug Spreng Retired Amid 2002 Communications Downturn

AMCC president and COO Doug Spreng retired in September 2002 as the company cut costs amid a communications-market slump. Dave Rickey assumed the president’s duties, but no successor COO was announced.

Applied Micro Circuits Corp. (AMCC) announced on August 26, 2002, that president and chief operating officer Doug Spreng would retire from those executive roles effective September 30. Chairman and CEO Dave Rickey was to take on the president’s duties; the announcement did not name a successor COO. Spreng was expected to remain a director if shareholders reelected him at the company’s August 28 annual meeting. The leadership change came as AMCC cut costs and staff during a steep communications and networking-equipment slump, though the company did not say the downturn caused Spreng’s retirement.

What AMCC announced

AMCC said Spreng would retire from his positions as president and chief operating officer on September 30, 2002. Rickey, who was already chairman and CEO, would assume the president’s responsibilities. The announcement did not say Rickey would take over as COO, and it named no replacement for that role. The SEC-filed announcement and separation agreement provide the formal terms and leadership arrangement.

Spreng’s departure from executive employment was not necessarily a departure from the board. He was up for reelection at AMCC’s August 28 annual meeting and was expected to continue as a director if shareholders reelected him; the announcement itself does not establish the election result.

Who Doug Spreng was at AMCC

Spreng joined AMCC in 2000 after the company acquired MMC Networks, where he had been president and CEO. He became AMCC president and COO in July 2001. His retirement therefore ended a relatively short period in AMCC’s top operating roles, not his entire association with the company if he retained his board seat.

AMCC made high-performance semiconductor products used in optical and intelligent wide-area networks. Its business was exposed to telecom and Internet companies’ spending on communications infrastructure and networking equipment. When those customers cut investment and orders, suppliers such as AMCC faced pressure on revenue and staffing.

The downturn and AMCC’s cost reductions

The retirement announcement arrived during a broad communications-equipment slump and a cost-reduction effort at AMCC. For the fiscal first quarter ended June 30, 2002, the company reported revenue of about $30.2 million, approximately 27% below the year-earlier quarter, according to Light Reading’s contemporaneous report.

  • Workforce: AMCC had announced plans to eliminate approximately 275 jobs, about one-quarter of its workforce. EDN’s report on the cuts covered the workforce reduction and related cost measures.
  • Compensation: Contemporary coverage reported reductions to executive compensation, including a 27% cut to Rickey’s salary. The Los Angeles Times business brief described the cuts alongside the revenue decline.
  • Operating focus: AMCC was narrowing attention to selected product lines, revising sales and marketing programs, and seeking to improve internal business processes, according to the company’s filed announcement.

The company also reported a $404.9 million GAAP net loss for the June 2002 quarter in contemporaneous coverage. That figure included a large goodwill and intangible-assets charge, so it should not be read as a measure of ordinary operating losses alone; EDN’s coverage discusses the reported loss and charge.

How AMCC explained Spreng’s retirement

AMCC’s announcement credited Spreng with helping reduce expenses and improve efficiency during a difficult period. Spreng said he wanted to pursue other interests and spend more time with his family after helping implement changes to the company’s product focus, sales and marketing, and business processes. Those statements describe the company’s stated explanation; the timing also places the retirement amid layoffs and falling revenue.

The available announcement and agreement do not establish that AMCC dismissed Spreng, that he left over performance, or that the downturn directly caused his retirement. The careful description is that he retired from executive roles during AMCC’s restructuring, with the company presenting the decision as voluntary.

What the separation agreement provided

The agreement, dated August 23, 2002, records Spreng’s resignation from his executive positions effective September 30 and his continued board role subject to reelection. It also provided for a $350,000 payment, less applicable taxes and withholding, and for AMCC to pay COBRA medical, dental, and vision premiums for Spreng and his dependents through March 30, 2004. The agreement included a release of employment-related claims. These are contractual separation terms, not evidence by themselves of wrongdoing or an admission by AMCC.

What the announcement leaves unresolved

  • It does not identify a successor COO or say that Rickey assumed the COO job.
  • It does not establish whether Spreng won reelection to the board.
  • It does not attribute the retirement directly to the downturn or describe it as a dismissal.

What it does establish is a change in AMCC’s executive structure during a period of falling communications-market demand and substantial cost reductions: Rickey took on the president’s duties, while Spreng retired from executive employment under the terms disclosed in the SEC filing.
