Alpha Modus Holdings, Inc. closed a private investment in public equity (PIPE) transaction on September 30, 2026, receiving 3,170 bitcoin through its wholly owned Singapore subsidiary. The company said the deal restored compliance with Nasdaq’s $2.5 million minimum stockholders’ equity requirement. Nasdaq will continue monitoring that requirement, according to the company’s October 1 Form 8-K.
What Alpha Modus received and issued
Under an agreement dated August 26, 2026, investors delivered 3,170 bitcoin to AMOD Tech Pte. Ltd., Alpha Modus’s wholly owned Singapore subsidiary. In exchange, Alpha Modus issued 51,621,560 Class A common shares and warrants to purchase up to 51,621,560 additional shares.
The warrants have an exercise price of $4.36 per share. The warrant shares are potential future shares, not common shares already issued; the filing does not establish whether or when any warrants will be exercised.
How the company arrived at the $250 million figure
The Form 8-K cites an approximate September 30, 2026 reference price of $83,612.20 per bitcoin. At that date-specific price, 3,170 bitcoin had a stated value above $250 million. That is a valuation tied to the filing’s reference price for September 30, not a guarantee of the bitcoin’s value at another date.

Which Nasdaq requirement the company says it met
Alpha Modus said it received a Nasdaq Listing Qualifications Department notice on April 6, 2026, and later submitted a compliance plan and received an extension. The filing describes the notice as citing failure to meet one of three alternative continued-listing standards: at least $500,000 in net income, $35 million in market value of listed securities, or $2.5 million in stockholders’ equity. It does not say the company failed all three standards simultaneously.
After the PIPE closed, Alpha Modus said it believed its stockholders’ equity was well above $200 million and that it had regained compliance with the $2.5 million minimum-equity requirement in Nasdaq Listing Rule 5550(b)(1). The $200 million figure is the company’s stated belief in the filing, not an independent calculation presented there.

Why the compliance status is not necessarily final
The company’s Form 8-K says Nasdaq will continue monitoring its stockholders’ equity compliance. It also warns that the company could face delisting if its next periodic report does not evidence compliance. The filing therefore reports Alpha Modus’s view that the transaction restored compliance with the minimum-equity standard; it does not establish that Nasdaq has independently confirmed the status or that every possible listing issue is permanently resolved.
