The transfer closed on 8 December 2025. Airbus said more than 4,000 colleagues joined the company and reported receiving $439 million, subject to customary purchase-price adjustments and post-closing review.
What Airbus acquired from Spirit
At closing, Airbus reported taking ownership of these production operations. The final package included work at Prestwick and Belfast that was not part of the initially highlighted locations.

These locations and names come from Airbus’s 8 December 2025 closing announcement. The announced pylon transfer describes a move in production location, not a claim that Wichita became one of the acquired Airbus operating sites.
When the deal was signed and when it closed
Airbus and Spirit announced the definitive agreement on 28 April 2025. Airbus then forecast a Q3 2025 closing, subject to conditions. The completed transfer was announced on 8 December 2025, so the April signing and December closing are separate milestones; the earlier timetable was an estimate, not the completion date. Regulatory clearances and other contractual conditions stood between signing and closing. Spirit’s SEC filing described requirements including regulatory approvals, compliance with pre-closing covenants, no prohibiting order, and completion or near-term readiness to complete Boeing’s merger with Spirit. The deal’s eventual completion is confirmed in Spirit’s 8 December filing.
What the $439 million means
The $439 million was not a straightforward purchase price Airbus paid Spirit. Spirit’s SEC summary described nominal consideration of $1 plus $439 million in cash flowing from Spirit to Airbus, subject to working-capital and other purchase-price adjustments. Airbus’s closing announcement likewise said it received $439 million, subject to customary adjustments and post-closing review, as well as certain amounts to settle liabilities under the purchase agreements.

The transaction-specific terms are reported by the parties in Airbus’s closing announcement and Spirit’s agreement summary filing. The amount remains subject to the stated adjustment mechanisms; it should not be described as a final, unadjustable figure.
How the Airbus transfer relates to Boeing’s Spirit deal
The Airbus asset transfer was part of a broader restructuring connected with Boeing’s acquisition of Spirit AeroSystems. Spirit reported that the Boeing merger, Airbus transfer, and a separate Malaysia transaction all completed on 8 December 2025. They were distinct transactions with different asset perimeters.

In particular, Subang, Malaysia, was not an Airbus acquisition. Spirit’s April agreement identified it as intended for sale to a third party, and Spirit later reported that the Malaysia transaction completed on 8 December. Spirit’s July SEC filing also said it had abandoned third-party sale processes for the Prestwick Airbus work packages and Belfast A220 mid-fuselage work packages, bringing those activities into the final Airbus perimeter. Boeing separately announced operations joining Boeing; its assets should not be conflated with Airbus’s. Airbus framed the asset transfer as a way to support the stability of its commercial-aircraft supply chain. At closing, Airbus said more than 4,000 colleagues joined it with the operations. Florent Massou, Airbus Executive Vice President Operations for Commercial Aircraft, described the assets as activities of critical importance to Airbus’s programmes.
