Who bought Air Lease Corporation?
Sumitomo Corporation agreed to acquire Air Lease with SMBC Aviation Capital, Apollo-managed funds and Brookfield. “Sold to Sumitomo” is shorthand for this consortium transaction, not a purchase by Sumitomo alone. Air Lease’s filings also described approximately US$28.2 billion on a basis that included debt obligations to be assumed or refinanced, net of cash. That debt-inclusive figure is not interchangeable with Sumitomo’s approximately US$7.4 billion acquisition amount; the figures describe different scopes of the transaction. What did Air Lease shareholders receive?
Under the merger agreement, Air Lease Class A shareholders were to receive US$65 in cash per share, without interest and subject to applicable withholding taxes. When did the acquisition close?
Sumitomo announced the agreement on September 2, 2025, and initially expected to close in the first quarter of FY2026, subject to approvals. Air Lease announced receipt of final regulatory approval on March 30, 2026, with closing expected around April 8, subject to remaining conditions. The transaction was completed on April 8, 2026, and completion announcements followed on April 9. The original forecast was superseded by the actual closing date. What changed after the deal closed?
Air Lease became privately held and was delisted from the New York Stock Exchange. The company was renamed Sumisho Air Lease Corporation and continues in commercial aircraft acquisition, leasing and sales. Sumitomo described the resulting platform as one of the world’s largest by aircraft owned and serviced; that scale description is the company’s characterization, not an independent ranking. What the new company says about its plans
In Sumitomo Corporation’s English completion release of April 9, 2026, Sumisho Air Lease CEO Noriyuki Hiruta described the company as having a portfolio centered on new-generation, fuel-efficient aircraft and a strong financial foundation at investment grade.
