For investors, the useful comparison is how each method puts cash in shareholders’ hands, affects ownership and dilution, and competes with other uses of company funds—not whether buybacks are automatically better.
Does Adobe pay a dividend or buy back stock?
Adobe’s FY2025 Form 10-K and its Form 10-Q for the quarter ended August 28, 2026 disclose stock repurchases; the reviewed filings do not report a regular cash dividend. That describes the documents reviewed, not a guarantee about future policy. A company’s capacity to pay a dividend is not the same as declaring one.
Adobe’s stated purpose for repurchases is to return value to stockholders and help minimize dilution from share issuances. The company’s explanation is a management rationale, not proof that the timing or price of its purchases benefited investors.
How Adobe’s repurchases have worked
Reported repurchases and shares delivered
Adobe reported repurchasing $11.281 billion of common stock in FY2025, compared with $9.5 billion in FY2024 and $4.4 billion in FY2023. In FY2025, 30.8 million shares were delivered for the $11.281 billion total. Those figures record company activity; they do not by themselves measure the effect on total shareholder returns. Open-market purchases and accelerated agreements
Adobe says it can repurchase shares in the open market or through structured agreements with third parties. In FY2025, 16.8 million shares were delivered under accelerated share repurchase agreements for $6.250 billion, and 14.0 million were purchased in the open market for $5.031 billion. With an accelerated share repurchase agreement, a financial institution initially delivers some shares, then delivers the balance at settlement. The final share total and average price are determined at settlement using the volume-weighted average price over the contract term, less an agreed discount. Adobe classifies prepayments as treasury stock when paid, but only shares physically delivered by period-end are excluded from the net-income-per-share calculation. Authorizations set a ceiling, not a commitment
Adobe’s March 2024 authorization allowed up to $25 billion in repurchases through March 14, 2028. The company said it had fully used that authorization during the nine months ended August 28, 2026. In April 2026, the board approved a new authorization of up to $25 billion through April 30, 2030. At August 28, 2026, $24.55 billion remained under the new authorization. Because the remaining capacity is a dated balance, it can change as the company executes purchases or reports new information. Adobe’s April 21, 2026 announcement quoted CFO Dan Durn describing the authorization as confidence in cash flow and long-term value, alongside continued investment in innovation. That is management’s view, not an independent assessment of whether the stock was undervalued or the purchases well timed.

What investors should compare

Cash received and investor choice
A dividend sends cash to eligible holders under the declared terms. A buyback pays shareholders who sell shares, while holders who keep their shares receive no immediate cash. A non-selling holder’s proportional ownership may increase if the company actually reduces shares in circulation, but the authorization itself does not create that effect.
Share count, dilution and per-share measures
Compare actual shares delivered and the net share-count change—not just dollars spent. Employee equity issuance can offset some reduction from repurchases, and structured contracts may deliver shares in stages. Adobe says reducing dilution is one purpose of its program. A change in earnings per share alone cannot establish that a repurchase created value: the price paid, shares removed, business results and other share issuances all matter.

Price paid and alternative uses of cash
A company can overpay for its own stock. Investors should consider repurchases against a reasoned estimate of the company’s value per share and the returns or resilience available from other uses of cash. A large authorization or management’s confidence statement is not evidence that the market price is below intrinsic value.
For the nine months ended August 28, 2026, Adobe reported $7.646 billion in net cash provided by operating activities and $6.814 billion in net cash used for financing activities; repurchases were the primary reason for the financing outflow. At August 28, 2026, it reported $4.359 billion in cash and cash equivalents, $1.280 billion in short-term investments and negative $2.730 billion in working capital. These are historical cash-flow and balance-sheet figures, not a forecast or a measure of free cash flow. Taxes depend on the investor
Dividends and gains realized by selling shares can receive different tax treatment. The outcome depends on jurisdiction, account type, holding period and individual circumstances; Adobe’s filings do not determine an investor’s tax result. Check current official tax guidance or consult an appropriately qualified tax adviser.

Repurchases give Adobe discretion over the timing and amount of purchases, and can return cash to sellers while helping offset dilution. But the reviewed filings do not announce a dividend policy or establish what a hypothetical dividend would have meant for Adobe’s results or investors. Nor do they settle whether a dividend would have produced better returns, establish the intrinsic value of Adobe shares, or show that buybacks caused a particular share-price or EPS outcome. Those questions require analysis beyond the authorization and historical execution figures.
Adobe’s Q3 FY2026 filing says its revolving credit agreement does not prohibit cash dividends unless payment would trigger a default or a default already exists. That covenant statement indicates a conditional contractual limit; it is not evidence that Adobe plans to declare a dividend. Adobe Form 10-Q for the quarter ended August 28, 2026
