CCP Concludes Phase-II Review of PTCL-Telenor Deal With Conditional Approval

CCP concluded its Phase-II review and conditionally approved PTCL’s proposed acquisition of Telenor Pakistan and Orion Towers, subject to competition, access, pricing, oversight, and consumer-benefit conditions.

The Competition Commission of Pakistan (CCP) concluded its Phase-II review of PTCL’s proposed acquisition of Telenor Pakistan and Orion Towers and conditionally approved the transaction. The order is dated 30 September 2025; CCP announced the decision on 1 October 2025. That decision finalized the competition review, but by itself does not establish that the deal subsequently closed or that the companies completed operational integration.

What did CCP decide?

Pakistan Telecommunication Company Limited (PTCL) sought to acquire 100% of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited from Telenor Pakistan BV. CCP’s order register lists the matter as a Section 11 Second Phase Review and gives the order date as 30 September 2025. Its announcement dated 1 October 2025 describes the outcome as conditional approval.

In practical terms, CCP completed its Phase-II merger review and approved the acquisition subject to conditions. That is a regulatory decision, not evidence that the parties completed the sale, transferred ownership, or integrated their networks and operations.

Why did the deal enter Phase II?

PTCL filed its pre-merger application on 6 March 2024. CCP’s first-phase announcement said the proposed transaction met the Competition Act, 2010 presumption of dominance and referred it to Phase II for a fuller assessment of competition and effects on telecom services to consumers.

For that review, CCP identified five relevant product markets in Pakistan:

  • Retail LDI fixed-line telecommunications
  • Retail mobile telecommunications
  • Wholesale domestic leased lines
  • Wholesale IP bandwidth
  • Individual mobile/fixed interconnect

These were the markets CCP selected as its analytical frame. Their inclusion does not mean CCP found that the acquisition caused harm in each one. CCP later said it examined market structure and concentration, sub-markets, market shares, efficiencies, and possible competition risks. It also said efficiency claims should benefit consumers through better services, pricing, and infrastructure investment.

The review included stakeholder submissions. In an October 2024 hearing release, CCP reported that Transworld Associates urged preventive and corrective remedies, while Telenor defended the transaction’s merits. CCP also identified PTCL, Wateen Telecom, and Jazz among participants in earlier hearings. Those are selected details from the Commission’s account, not a complete record of every party’s position or the final evidence.

What conditions did CCP announce?

CCP’s 1 October 2025 public summary describes conditions aimed at maintaining competition and protecting consumers. The summary is not a substitute for the full order; the order register lists the order, while the public announcement provides the terms below.

Governance and independent oversight

  • PTCL and the merged entity must maintain separate boards and independent management structures.
  • Chief executives and senior management are subject to competency and integrity standards. CCP’s summary says Etisalat is to ensure professional leadership.
  • An independent third-party reviewer is to monitor compliance, audit transactions, and submit quarterly reports to CCP for five years.
  • Related-party transactions and cross-subsidization are prohibited unless conducted competitively and at arm’s length.

Network access and pricing

  • Interconnection and infrastructure capacity must be available to operators on a non-discriminatory basis.
  • PTCL and the merged entity must submit existing and future Reference Interconnect Offers to the Pakistan Telecommunication Authority (PTA) for approval. PTCL must offer interconnection under the PTA-approved offers.
  • PTCL must seek PTA approval for wholesale pricing structures in IP bandwidth, LDI, domestic leased line, and telecom infrastructure services supplied to PTA licensees and associated companies, including the merged entity.
  • PTCL must not set predatory retail prices.

Service standards, efficiencies, and remedies

  • The entities must comply with service-quality standards, innovation policies, and PTA tariff approvals.
  • The companies must substantiate claimed efficiencies and show consumer pass-through through services, pricing, and infrastructure investment.
  • CCP reserves the right to direct divestiture of assets or business segments in case of future violations.

How the review unfolded

CCP’s May 2024 procedural update described a 90-day Phase-II review period. That stated period should not be confused with the actual interval to the order dated 30 September 2025.

What the decision does—and does not—establish

The public decision summary establishes that CCP conditionally approved the proposed acquisition and lists the principal remedies. It does not, on its own, establish that the transaction later closed, how the parties implemented the conditions, or whether customers experienced changes in prices, coverage, service quality, or market competition. Those are separate outcomes that require evidence beyond the approval announcement.
