What changed at ST in March 2005?
At STMicroelectronics’ March 18, 2005 annual general meeting, Pistorio handed the president and CEO functions to Carlo Bozotti. ST’s annual-report filing says Pistorio’s mandate expired at that meeting; the shareholders approved Bozotti as CEO.

ST’s disclosure said its Supervisory Board had decided to name Pistorio honorary chairman, recognizing his contribution as president, CEO, and sole member of the Managing Board. The honorary title accompanied his departure from executive leadership rather than extending his CEO mandate.
Why did ST name Pistorio honorary chairman?
The company framed the appointment as recognition of Pistorio’s leadership since ST’s creation in 1987. ST’s 2006 annual report says he had led the company from its creation and explains that the honorary role allowed him to make his experience and insight available to ST.

What did the honorary chairman do?
ST characterized the position as non-executive and ambassadorial. Its 2006 annual report said Pistorio acted as an “Ambassador” of the company and continued to make his experience and insight available. That description indicates a representative and advisory contribution, not day-to-day executive authority.
