Proofpoint completed its acquisition of Hornetsecurity on December 8, 2025. The deal was described in a secondary roundup as a reported $1 billion transaction, but Proofpoint said at closing that total consideration was $1.8 billion. The available sources do not explain the difference, so the reported estimate should not be presented as Proofpoint’s disclosed purchase price.
What happened, and when?
- May 15, 2025: Proofpoint announced a definitive agreement to acquire Hornetsecurity Group. It said the transaction was expected to close in the second half of 2025, subject to customary conditions, and that the terms were confidential. Proofpoint’s announcement reported Hornetsecurity annual recurring revenue (ARR) of more than $160 million, growing more than 20% year over year.
- June 2025: Corum Group’s deal roundup listed the transaction value as “reported $1.0B.” That is a secondary reported figure, not a purchase price disclosed by Proofpoint. Corum Group’s roundup categorized Hornetsecurity as cloud security software.
- December 8, 2025: Proofpoint announced that the acquisition had closed. It stated total consideration of $1.8 billion and reported nearly $200 million in ARR, growing 20% year over year. Its completion announcement does not explain how that consideration relates to the earlier reported $1 billion figure.
The ARR figures are Proofpoint’s company-reported figures at two different points in the transaction timeline; the cited releases do not describe them as independently audited.
How much did Proofpoint pay for Hornetsecurity?
The clearest answer is that Proofpoint stated $1.8 billion in total consideration when it announced the acquisition’s completion. The often-cited $1 billion figure comes from Corum Group’s 2025 deal roundup, which labels it “reported.” Proofpoint had said the terms were confidential when it announced the agreement in May.
The cited sources do not reconcile the amounts or provide transaction mechanics, financing details, or a valuation bridge. They therefore do not establish that $1 billion was Proofpoint’s actual purchase price, nor do they support calculating a valuation multiple from the figures.

Why did Proofpoint acquire Hornetsecurity?
Proofpoint framed the acquisition as a way to expand its services for small and midsize businesses (SMBs) through managed service providers (MSPs). Hornetsecurity’s portfolio included Microsoft 365 email security, backup, compliance, security awareness, access control, and domain fraud protection. Its 365 Total Protection platform centers on Microsoft 365 security and related services.
At the May 2025 announcement, Proofpoint CEO Sumit Dhawan said the company planned to bring Hornetsecurity’s platform to MSP partners globally and intended to increase investment in the partner program, including support in Europe and the United States. That statement described Proofpoint’s plan at signing, not a measured result.

What does the acquisition mean for MSPs?
A dedicated business unit
At closing, Proofpoint said Hornetsecurity would operate as a dedicated business unit focused on MSPs and SMBs. Founder and CEO Daniel Hofmann would lead it as executive vice president and general manager. Hofmann described joining Proofpoint as “a new chapter in our journey” in the company’s completion announcement.
Channel reach and later platform plans
Proofpoint reported at closing that Hornetsecurity served more than 125,000 customers through a network of 12,000-plus MSPs and channel partners. Those are Proofpoint-reported scale figures, not independent measurements.

On May 13, 2026, Proofpoint announced a dedicated MSP business unit and the North American introduction of 365 Total Protection. It said the unit was established through the Hornetsecurity acquisition and named Pax8 as a marketplace partner. The announcement confirms that marketplace relationship, but does not establish an affiliate or referral program, its eligibility rules, or commission terms.
