Why did Proofpoint buy Hornetsecurity?
The companies presented the acquisition as a way for Proofpoint to expand its reach among SMBs through MSPs and strengthen its presence in Europe. Hornetsecurity brought a channel-oriented business built around Microsoft 365 security, data protection, compliance, backup and security awareness. The rationale was to extend Proofpoint’s reach and offerings; the announcements alone do not establish post-acquisition performance or integration results.
The two businesses approached customers through different strengths: Proofpoint had an established enterprise footprint, while Hornetsecurity focused on MSP and SMB customers. At completion, Proofpoint said it served more than 125,000 customers through over 12,000 MSPs and channel partners. Those figures were reported by Proofpoint in its 2025 completion announcement.
What did Proofpoint say Hornetsecurity was worth to its business?
Proofpoint reported different operating figures at signing and completion. They are company-reported snapshots from separate announcement dates, not figures established here as audited or directly comparable for identical measurement periods.
| Announcement | Hornetsecurity figures reported by Proofpoint |
|---|---|
| May 15, 2025, agreement announcement | Over $160 million in annual recurring revenue (ARR), more than 20% year-over-year growth, and performance above the Rule of 60. |
| December 8, 2025, completion announcement | Nearly $200 million in ARR and 20% year-over-year growth. |
ARR is a recurring-revenue measure, not the same thing as total company value or profit. The announcement figures provide context for the scale of the business Proofpoint acquired, but do not by themselves show how the acquisition will affect either company’s financial results.

At closing, Proofpoint said Hornetsecurity would operate as a dedicated business unit serving MSPs and SMBs. Founder and CEO Daniel Hofmann would lead it as executive vice president and general manager, with Hornetsecurity’s executive team remaining in place. In its day-one post, Hornetsecurity said the group would be responsible for both the Hornetsecurity and Proofpoint Essentials product lines.
The cited announcements describe the organizational structure and product remit, but do not set out a blanket change to customer contracts, service terms, product names or support arrangements. Customers and partners should use their existing vendor or channel contacts for account-specific details.
