Pakistan Faces a Reported $2bn Arbitration Claim Over K-Electric

Saudi and Kuwaiti investors allege Pakistan harmed their K-Electric investment through delayed sale approvals and unpaid receivables. The reported USD 2bn claim is not an award.

Saudi and Kuwaiti investors linked to K-Electric have initiated a reported USD 2 billion arbitration against Pakistan, alleging that state action and inaction harmed their investment. Their case centers on alleged delays to a proposed sale of a stake in K-Electric and unpaid amounts they say are owed to the utility. These are claims in an arbitration notice, not findings of liability or an award. K-Electric disclosed the notice, but contemporaneous reporting says the utility itself is not a party.

What is the arbitration about?

The dispute concerns investments linked to K-Electric, the Karachi electricity utility, and alleged government conduct affecting those investments. Business Recorder reported on January 22, 2026, that Abdul Aziz Hamad A. Aljomaih, Combined National Industries Holding Company for Energy K.S.C. and others had initiated arbitration against the Islamic Republic of Pakistan. The reported USD 2 billion is the amount of the claim—not compensation awarded by a tribunal. Business Recorder’s report and Geo News’ January 21 report describe the case.

The claimants’ notice identifies 32 Saudi individuals and an entity associated with the Al Jomaih family, as well as five Kuwaiti entities. It names Pakistan as respondent and invokes Article 17 of the OIC Investment Agreement. The notice was hosted with K-Electric’s material disclosure. Read the claimants’ Notice of Arbitration.

What do the investors allege?

Approvals for the proposed Shanghai Electric sale

The notice describes a 2016 agreement to sell a 66.4% stake in K-Electric to Shanghai Electric. The claimants allege that necessary approvals were delayed or withheld, frustrating the proposed transaction. The stake and transaction are also described in Geo News’ contemporaneous coverage. This is the claimants’ account; the cited materials do not establish that a tribunal has found the sale was unlawfully obstructed.

Amounts allegedly owed to K-Electric

The investors also allege that Pakistan and state-owned entities failed to pay amounts due to K-Electric, including tariff differential subsidies and other receivables, while seeking late-payment charges from the utility. Those allegations appear in the notice and have not been established as findings in the cited materials.

Investment protections invoked

The notice frames the alleged conduct as breaches involving treatment of investments, approval of the sale, transfer of funds and investment facilitation under the OIC Investment Agreement and associated instruments. Invoking treaty protections states the legal basis the claimants are advancing; it does not mean a tribunal has accepted jurisdiction or decided the merits.

Who is being sued—and what is K-Electric’s role?

Pakistan is the respondent named in the notice. K-Electric is the utility associated with the investors and the proposed transaction, but contemporaneous reporting says the company is not itself a party to this arbitration. Why are ownership and governance disputed?

The investors’ relationship to K-Electric sits within a contested shareholder and governance context. A December 5, 2025, filing by KE Holdings disputes the Al Jomaih side’s account and presents KE Holdings’ position on indirect ownership, transactions and shareholder litigation. What has—and has not—been decided?

The cited notice and contemporaneous reports establish that the claimants initiated arbitration and set out their allegations. They do not establish a tribunal ruling on jurisdiction or liability, a settlement, or an award. The materials cited here also do not verify later tribunal appointments or procedural decisions. Accordingly, the reported USD 2 billion should not be treated as a debt Pakistan has been ordered to pay.

Does the case mean higher electricity bills?

The arbitration concerns investor claims against Pakistan; K-Electric is not identified as a party in contemporaneous reporting. The cited materials do not quantify any effect on household bills or establish that consumers will pay a particular amount because of the case. The claim amount alone cannot show whether, when or how any eventual outcome might affect the utility, public finances or customers.
