Mazda and Toyota: The Story Behind an Unlikely Relationship

Mazda and Toyota’s partnership is an alliance, not a merger. Here’s how it developed, what each company announced, and what the Huntsville venture means.

Mazda and Toyota are not the same company, and Toyota did not acquire Mazda. They built a focused alliance: reciprocal minority shareholdings, shared projects in manufacturing and technology, and a 50/50 U.S. joint venture. The partnership began in 2015, took formal business and capital form in 2017, and produced a joint-plant venture in Huntsville, Alabama.

Why did Mazda and Toyota partner?

The companies described the arrangement as a way to combine complementary strengths while remaining independent competitors. Toyota’s 2017 announcement framed it as a partnership between companies that share a passion for cars; Mazda likewise emphasized the value of two competitive spirits working together. “Unlikely” is a useful headline hook, but the available company records do not establish that the relationship was unexpected or explain private negotiations behind it.

The timeline started before the major 2017 announcement. On May 13, 2015, Toyota and Mazda agreed to build a continuous partnership, sharing resources and complementing products and technologies. What did the 2017 alliance include?

On August 4, 2017, the companies signed a business and capital alliance covering several distinct workstreams. It was broader than a factory deal, but it did not mean that all vehicle engineering or products would be shared.

The 2017 announcement gave a concrete example of that complementary supply: Mazda was supplying Toyota a compact sedan in North America, while Toyota was supplying Mazda a compact commercial two-box van in Japan. Are Mazda and Toyota owned by the same company?

No. The 2017 agreement specified reciprocal minority shareholdings, not an acquisition or merger. Toyota agreed to buy newly issued Mazda shares for ¥50 billion, representing 5.05% of Mazda after the capital increase. Mazda agreed to buy Toyota treasury shares worth the equivalent amount, representing 0.25% of Toyota. The companies said this reciprocal structure was intended to preserve independence and equality. Those stakes should not be confused with ownership of the manufacturing venture. Mazda Toyota Manufacturing, U.S.A. (MTMUS) was separately established with equal 50% capital contributions from Mazda and Toyota. (Mazda announcement on MTMUS, March 1, 2018)

What did each company get from the partnership?

Mazda

Mazda gained a partner for U.S. joint production and collaboration on EV and connected-car technologies, as well as access to complementary product-supply arrangements. Mazda’s corporate-history overview places that work within its “Multi-Solution” strategy: combining combustion engines and electrification according to environmental and customer needs. Toyota

Toyota gained a manufacturing partner and a route to collaborate on the same announced technology areas. The companies’ public materials establish those shared objectives, but do not quantify the value either company received or show that every proposed technology project became a production feature.

What is Mazda Toyota Manufacturing?

MTMUS is the clearest organizational result of the alliance: a 50/50 Mazda–Toyota joint venture established on March 1, 2018, for a plant in Huntsville, Alabama. The companies selected Huntsville in January 2018. Their announcement described a planned investment of $1.6 billion, up to 4,000 jobs, and annual capacity of 300,000 vehicles split between the two automakers. (Mazda’s MTMUS announcement)

Mazda’s March 2018 announcement specified the planned mix as 150,000 Mazda crossovers and 150,000 Toyota Corollas per year, with production then expected to begin in 2021. These are announcement-era projections, not verified current production figures. They should not be used as a present-day measure of plant output or proof of the alliance’s performance.

Which Mazda and Toyota cars are made together?

The 2018 MTMUS plan named Mazda crossovers and Toyota Corollas for production at the Huntsville plant. Separately, the 2017 alliance announcement described Mazda supplying Toyota a compact sedan in North America and Toyota supplying Mazda a compact commercial van in Japan. These are different forms of cooperation: planned joint-venture manufacturing in the United States and complementary product supply in specified markets. The cited announcements do not establish that the two brands’ vehicles are generally rebadged versions of each other or that they share all platforms, engines, or components.

What is established—and what remains unclear?

Official company announcements and Mazda’s corporate-history account establish the partnership’s chronology, announced structure, and stated areas of work. Mazda later described the alliance as leading to joint U.S. production and collaboration on connected and EV technologies. The available materials do not provide an independent scorecard of results, quantify cost savings or competitiveness gains, or verify the outcome of every announced technology project. Executive statements explain how the companies presented their aims; they are not independent evidence that those aims were achieved.
