A lawsuit filed by farmers accuses grain buyer Central States Enterprises (CSE) and its former operations vice president, Larry Shepherd, of using disputed marketing contracts that allegedly exposed growers to delivery obligations they had not agreed to. The claims remain contested: court orders through December 4, 2025, addressed arbitration and case procedure, not whether the defendants were liable. The case was still stayed on that date.
What the farmers allege
The case began with David Melcher’s November 2021 complaint in the U.S. District Court for the Northern District of Indiana. A January 2026 report by Successful Farming says 20 farmers sought to join the litigation in February 2025. Their complaint alleges CSE and Shepherd used complicated marketing contracts to address losses Shepherd allegedly incurred speculating in commodity futures. Those assertions have not been established by the court.
The complaint reportedly alleges that 80% of the marketing contracts were not signed by both the farmers and CSE, and that some farmers did not know about certain contracts or were misled about whether they could opt out. A March 2025 court order describes the intervenors’ broad allegation that defendants created and enforced fictitious contracts requiring deliveries beyond the farmers’ annual growing capacities. The order records the defendants’ request to dismiss or compel arbitration; it does not resolve those allegations.
Successful Farming says Melcher and other farmers claim $26 million, and reports an allegation that CSE undervalued its business by about $50 million when it sold to ADM in 2021. Neither figure is an adjudicated loss or damages award.

How does an accumulator contract work?
An accumulator is a type of grain-marketing agreement whose delivery and pricing mechanics can expose a grower to outcomes that differ from a simple fixed-price sale. As described in the report, a contract may require the farmer to deliver additional grain as prices rise. If prices fall below a specified “knockout” threshold, pricing for remaining uncommitted bushels may stop, leaving those bushels without the contract’s price protection. Terms vary by agreement.
The report illustrates the mechanics with a hypothetical soybean contract covering 10,000 bushels over 100 days and a stated threshold. Depending on price movements, the seller could have fewer bushels priced or be required to deliver twice the original amount. This example explains a possible contract outcome; it is not a finding about what happened under any individual farmer’s agreement in the lawsuit.

Commodity advisers quoted by Successful Farming stress the complexity. Don Roose, president of U.S. Commodities, said, “There are all kinds of them, and they’re very complex.” Al Kluis, managing director of Kluis Commodity Advisors, said, “I call accumulator contracts ‘I will kill you later’ contracts.” These are advisers’ characterizations, not legal conclusions about a particular contract.
What you need to know about arbitration
The report says the disputed contracts included clauses directing disputes to arbitration through the National Grain and Feed Association (NGFA). Arbitration is a private dispute-resolution process outside a court trial. It may be faster or less costly, but it can still be expensive and may offer less formal discovery than litigation. Successful Farming reported NGFA minimum service fees and the possibility of higher fees for complex, high-dollar cases; those reported figures should not be treated as a current fee schedule.

The court’s procedural decisions developed in stages:
- March 2025: The court granted CSE’s motion to compel arbitration for the first intervenor and stayed claims against Shepherd pending arbitration. Judge Holly A. Brady’s order quoted the Federal Arbitration Act as having “a liberal policy favoring arbitration.”
- April 2025: The court stayed the remaining intervenors’ claims and directed the clerk to remove the case from the active docket for statistical purposes. The parties could ask to return it to the active docket after arbitration concluded.
- December 4, 2025: The latest located order said the case remained stayed. The court declined to lift the stay to allow amended complaints before arbitration was complete.
These orders concern where and when the claims proceed; they do not establish that the farmers’ allegations are true or that the defendants are liable. The available procedural record does not establish that arbitration or the court case has concluded.

Contract terms growers should review
The reporting’s practical lesson is to understand the agreement’s written mechanics before signing, rather than relying on a verbal explanation or an assumed ability to opt out. For a proposed grain-marketing contract, review these points:
- Delivery exposure: Identify the maximum quantity you may have to deliver, including any multiplier or increase triggered by rising prices.
- Knockout threshold: Check the price level that changes the contract and what happens to bushels that remain unpriced after that threshold is reached.
- Share of production committed: Compare the contract’s possible delivery obligation with your expected production and with other existing commitments. The report says some elevators limit accumulator exposure to about 30% of a grower’s crop; that is a reported practice, not a universal limit or legal rule.
- Cancellation and rollover: Find the written terms governing cancellation, extension, rollover, or changes to delivery dates.
- Dispute resolution: Read the arbitration or court-dispute clause, including the named process and any associated costs.
- Signatures and records: Keep the complete signed agreement and related communications. Ask for any side assurance, opt-out right, or change to be put in writing.
These are review points, not conclusions about whether a clause is enforceable or advice about an individual farmer’s legal rights. Charlie Delacruz, NGFA’s executive vice president and general counsel, told Successful Farming, “We encourage settlements. That’s the best outcome.”
