Yes. Korean Air completed its purchase of a controlling 63.88% stake in Asiana Airlines on December 11, 2024, and announced the closing the next day. It paid KRW 1.5 trillion for 131.57 million newly issued shares. The share purchase made Asiana a subsidiary; it did not mean the airlines’ operations, brands, or systems were integrated on the closing date.
What Korean Air acquired
Korean Air bought 131.57 million newly issued Asiana shares, equal to 63.88% of the airline, for KRW 1.5 trillion. Yonhap reported the share count and transaction timing in December 2024; Korean Air’s September 2025 offering circular also confirms the stake, consideration, and December 12 acquisition date. The won amount is stated as reported, without a dollar conversion.
With a majority stake, Asiana became a subsidiary under Korean Air’s control. This was a share acquisition, not an announcement that Asiana ceased to exist or that every part of the two airlines became one immediately.
When the deal closed
Korean Air completed the share purchase on December 11, 2024, and announced completion on December 12. Yonhap described the plan to acquire Asiana as having been announced in November 2020.

Why regulatory approval affected the deal
European Commission conditions
The European Commission’s February 2024 clearance was conditional, with commitments addressing both passenger and cargo competition. Among them was the divestment of Asiana’s global cargo freighter business. In November 2024, the Commission approved Air Incheon as a suitable purchaser for that business. The remedy was therefore part of the transaction’s regulatory path, rather than a post-closing detail unrelated to approval.
In its Case M.10149 decision summary, the Commission wrote: “In sum, the Commission concludes that the efficiencies claimed do not sufficiently fulfil all criteria of being merger-specific, to the benefit of affected consumers, verifiable and sufficient.” This is the Commission’s assessment of the claimed efficiencies; it should not be read as a general finding that the acquisition produced no benefits.

South Korean review
On December 12, 2024, South Korea’s Fair Trade Commission said its merger review was complete and that it had modified and clarified some corrective measures. The authority said its decision took account of completed foreign reviews and the end of the COVID-19 situation. Its cited release is in Korean; the available English-language information does not establish a complete list of the Korean remedies, so their detailed terms should not be inferred.

The December 2024 closing transferred majority ownership and made Asiana a subsidiary. Yonhap reported a plan for a two-year post-merger integration before absorption, but that was a plan described at the time—not proof that integration finished on a particular date.

The sources cited here do not establish the status as of October 8, 2026, of Asiana branding, mileage conversion, IT systems, or the consolidation of Asiana’s low-cost affiliates. The acquisition’s closing date alone does not answer those operational questions.
