How much did Zozo pay for Lyst?
Zozo disclosed a $154 million purchase price for Lyst’s shares. It estimated another ¥1.2 billion in advisory and other transaction fees, putting estimated total costs at approximately ¥24.3 billion using the disclosure’s exchange rate of ¥150 per US dollar. The formal announcement said a UK subsidiary would acquire all issued shares from Lyst’s selling shareholders. Zozo announced the agreement on April 9, 2025; a later LY Corporation filing records April 18, 2025 as the acquisition date and says 100% of voting rights were acquired. Was Lyst really valued at $700 million?
The $700 million figure is not substantiated by the official transaction materials cited here. Those documents establish the $154 million share purchase price, but do not establish the date, basis, or meaning of the purported $700 million figure. Without a source that clarifies those details, it cannot reliably be described as Lyst’s last funding valuation, peak valuation, enterprise value, or a directly comparable price for the company.

That distinction matters: a prior valuation claim and a sale price are not automatically like-for-like measures. The available primary disclosures support the sale-price figure, not a conclusion that Lyst’s value fell from $700 million to $154 million.
Why did Zozo buy Lyst?
Zozo presented the acquisition as part of its international growth strategy. In its investor disclosure, the company called the deal “the cornerstone of our international expansion strategy.” It also said it intended to support Lyst’s AI-driven product discovery. What is Lyst, and how large did Zozo say it was?
Lyst was founded in London in 2010. In 2025, Zozo said the platform connected more than 160 million shoppers annually with 27,000 premium and luxury brands and retailers. Its investor disclosure separately cited more than 27,000 brands and over 97 million SKUs. Those figures describe different things: the reported shopper reach is not a verified count of active buyers, unique customers, or completed purchases, and SKUs are product listings rather than shoppers or sales. What did Lyst report financially before the sale?
Zozo’s investor disclosure reported Lyst’s consolidated net sales at £42 million for the fiscal year ended March 31, 2022, and £50 million for each of the fiscal years ended March 31, 2023 and March 31, 2024. The same disclosure reported operating losses of £27 million and £18 million in fiscal 2022 and 2023, followed by operating profit of £0.4 million in fiscal 2024. What happens to Lyst after the Zozo acquisition?
At the time of the April 2025 announcement, Zozo said Lyst would continue operating as a standalone London business, with Emma McFerran remaining CEO. That statement described the announced plan; it does not by itself establish the company’s present operating arrangements.
