Tesla’s board later determined that Musk had forfeited the award on April 21, 2026, after a court ruling reinstated his separate 2018 compensation award.
What Tesla awarded Musk—and what “$29 billion” meant
Tesla’s board approved the interim award on August 3, 2025, under its 2019 Equity Incentive Plan. It covered 96 million restricted shares. The approximately $29 billion headline figure was a time-specific market-value estimate reported when the award was announced—not money paid to Musk, a guaranteed value, or Tesla’s final accounting expense.
TechCrunch reported that Musk would have to pay $23.34 for each share that vested, and estimated the award’s then-current net value after that purchase price at about $26.7 billion. Both figures describe the award at that time; neither is a permanent valuation.
Tesla’s August 4, 2025 Form 8-K gave a different figure for a different purpose: an illustrative accounting grant-date fair value of approximately $23.7 billion. That figure assumed approvals on August 1 and used that day’s closing share price. Tesla expressly said it was hypothetical, not the award’s eventual accounting value. The actual grant-date value would be calculated later when shares were delivered, with adjustments for restrictions and the probability of vesting. At filing time, Tesla said it did not expect the performance condition to be probable and therefore did not expect to recognize expense upon issuance, subject to reassessment.

Why Tesla said it made the award
Tesla said retention and incentivization were among the goals considered by a special committee of two disinterested directors, Robyn Denholm and Kathleen Wilson-Thompson. The company’s contemporaneous rationale also described an “ever-intensifying AI talent war” and a “critical inflection point.” Those were Tesla’s explanations for the award, not independently established findings that the award improved company performance or shareholder value.
The award was presented as an interim measure while litigation over Musk’s 2018 compensation package continued. The board approved it after the special committee recommended it; Tesla said Musk and Kimbal Musk recused themselves from the board’s approval.

What conditions applied to the interim award
- Service: Shares were scheduled to vest on the second anniversary of the August 3, 2025 grant, provided Musk continuously remained in eligible service as CEO or in a board-approved executive role responsible for product development or operations.
- Purchase price: Musk was required to pay $23.34 per share for shares that vested.
- Holding restriction: In general, he could not sell, transfer, or otherwise dispose of the shares until after the fifth anniversary of the grant. The award listed exceptions involving taxes, the purchase price, changes in ownership form, and board-approved arrangements.
- Court-related forfeiture and offset: The award could be forfeited early if a final, non-appealable Delaware decision in the Tornetta litigation or related appeal allowed Musk to exercise the 2018 award in full. It also included an offset for certain overlapping outcomes. Tesla said this structure was intended to prevent a “double dip.”
What happened to the award
- December 19, 2025: The Delaware Supreme Court reinstated Musk’s 2018 CEO Performance Award, according to Tesla’s subsequent quarterly filing.
- March 18, 2026: The Delaware Court of Chancery entered its final order implementing the reversal.
- April 21, 2026: Tesla’s disinterested directors determined that the court outcome was a “Tornetta Decision Event” under the interim award. Tesla said the award was immediately forfeited.
Tesla’s Form 10-Q for the quarter ended March 31, 2026 reported no stock-based compensation expense related to the interim award as of that date. That reporting date precedes the board’s April 21 forfeiture determination.
Three Musk compensation arrangements that should not be confused

Tesla also disclosed an April 21, 2026 implementation agreement concerning exercise of the reinstated 2018 award. Under that agreement, Musk must remain in continuous eligible service through January 19, 2028 before related restricted shares vest; a five-year holding period then begins. Tesla said the agreement added no economic benefit to Musk.

What the headline does—and does not—establish
The award’s scale and Tesla’s stated retention rationale explain why the decision drew attention, but the approximately $29 billion figure was a market estimate attached to a particular moment, not cash delivered or proof of the award’s eventual value. The later forfeiture also means the 2025 interim award should be described as a historical action, not as a current Musk award. Tesla’s filings establish the terms and outcome; the available reporting does not establish an independent measure of the award’s effect on Tesla’s results or shareholder value.
