In 2019, Hainan Airlines (2016) received, without consideration, the purchase rights for two Airbus A350-900s that Hong Kong Airlines had ordered. That was a transfer of rights to buy the aircraft—not proof that Hainan Airlines acquired two completed aircraft. A 2020 announcement later described a proposal to cancel a sale involving the same two A350-900s; the filings reviewed do not establish whether either aircraft was ultimately delivered or who owns them now.
What Hainan Airlines acquired in 2019
Hainan Airlines Holding Co., Ltd.’s interim report, published August 30, 2019, says its fourth extraordinary general meeting approved a proposal for subsidiary Hainan Airlines (2016) Company Limited to take over, without consideration, the purchase rights for two A350-900 aircraft Hong Kong Airlines Limited had ordered from Airbus. The report says the agreement was performed during the reporting period. Hainan Airlines Holding’s 2019 interim report
In practical terms, the transaction concerned the right to purchase aircraft under Hong Kong Airlines’ orders. It was not described as Hainan Airlines taking ownership of two aircraft already in service. The report does not say that Hainan Airlines paid for the rights; it expressly says they were transferred without consideration.
What changed in 2020
In an announcement dated May 27, 2020, Hainan Holdings said Hainan Airlines (2016) proposed cancelling a sale of two A350-900s to Hainan Airlines (Hong Kong) Holding Company Limited. The announcement treated the matter as a related-party transaction and grouped it with other aircraft-sale cancellations. Hainan Holdings’ May 27, 2020 announcement

The company cited severe adverse conditions in the aviation industry during the COVID-19 outbreak. It said it would adjust capacity and aircraft-sale plans in response to the pandemic situation and the recovery in market demand. The announcement describes a proposed cancellation; it does not, by itself, confirm the aircraft’s eventual delivery or final disposition.
How to read the transaction amount
The 2020 announcement associates RMB 2,159,410,000 (about RMB 2,159.41 million) with cancellation of the sale of the two A350-900s. This is not the price paid for the purchase rights in 2019: the 2019 interim report says those rights were transferred without consideration. The amount is specific to the sale-cancellation matter described in the 2020 filing, not evidence of a completed purchase or transfer of the aircraft.

Who was involved
- Hainan Airlines Holding Co., Ltd. (HNA Holdings): The parent company whose interim report recorded the 2019 rights transfer and whose 2020 announcement described the proposed cancellation.
- Hainan Airlines (2016) Company Limited: The subsidiary that received the purchase rights and was later named as the seller in the proposed sale.
- Hong Kong Airlines Limited: The airline that had ordered the two A350-900s from Airbus.
- Hainan Airlines (Hong Kong) Holding Company Limited: The buyer named in the proposed sale addressed by the 2020 announcement.
What the filings do not establish
The two announcements document the 2019 transfer of purchase rights and the 2020 proposed sale cancellation. They do not establish whether the aircraft were eventually delivered, which airline took delivery, what registrations they received, or their subsequent ownership. It would therefore be inaccurate to present the two aircraft as confirmed additions to Hainan Airlines’ fleet or to describe their present ownership as settled.
