Gates Foundation Names Its First Outside Trustees in 2022

On January 26, 2022, the Gates Foundation named its first outside trustees and outlined board oversight responsibilities. The more-than-$50 billion endowment figure was historical, not current.

On January 26, 2022, the Bill & Melinda Gates Foundation announced its first expanded board with trustees from outside the Gates and Buffett families. Strive Masiyiwa, Minouche Shafik, Tom Tierney and foundation CEO Mark Suzman joined co-chairs Bill Gates and Melinda French Gates. The Foundation said the change would bring independent perspectives, strategic guidance and fiduciary oversight. Its announcement described an endowment of more than $50 billion at that time—not a current valuation.

Who joined the board in January 2022?

The Foundation announced four appointments to serve alongside co-chairs Bill Gates and Melinda French Gates:

  • Strive Masiyiwa, a business leader and philanthropist.
  • Minouche Shafik, an economist and public-policy leader.
  • Tom Tierney, a nonprofit and business leader.
  • Mark Suzman, the Foundation’s CEO.

The first three were the new outside trustees. Suzman joined the board as CEO; he was not one of the three outside appointees. The Foundation said the board would bring “independent and diverse perspectives” to strengthen governance. The January 26, 2022 announcement names the appointees and describes the intended role.

Why did the Foundation add outside trustees?

The Foundation framed the expansion as a governance response to a period of change. Bill Gates Sr., described by the Foundation as an honorary co-chair and long-time guiding voice, died in late 2020. Warren Buffett decided in 2021 to step down as a trustee after nearly 15 years, and Bill Gates and Melinda French Gates announced their divorce that year.

In its 2022 annual letter, the Foundation said the new trustees would provide “additional input, strategic guidance, and fiduciary oversight.” It also raised a broader question about the role of a foundation alongside governments, the private sector and civil society. These statements explain the Foundation’s stated rationale; they do not independently establish how effective the added oversight proved to be.

What oversight powers were announced?

The Foundation’s 2022 announcement said the board would meet three times a year. Mark Suzman said trustees would guide the Foundation’s work and approve its annual budget and four-year plan. The announcement also assigned trustees responsibility for reviewing CEO performance and approving CEO compensation.

  • Terms: members were to serve three-year terms, with a limit of two consecutive terms.

These are the arrangements described in 2022, not a guarantee that every term or procedure remains unchanged. The announcement described the trustees’ oversight responsibilities, but “outside” did not by itself mean that every decision could be made independently of the co-chairs. GeekWire’s contemporaneous January 2022 report, citing an interview with Suzman, said resolutions required a board majority as well as the consent of both co-chairs. The Foundation’s announcement reviewed here does not state that voting rule.

What did “$50B philanthropy” refer to?

The headline’s figure comes from the Foundation’s January 2022 announcement, which said the organization had an endowment of more than $50 billion. The same release said it had provided more than $60 billion in grants since its establishment. Those are historical figures published with the board announcement, not current asset or giving totals.

Other figures from different periods measure different things. The 2022 annual letter reported $6.7 billion paid out in the prior year and said that amount did not include other financing from the Foundation’s Strategic Investment Fund. In a FAQ accessed October 8, 2026, the Foundation said it had given away more than $100 billion from 2000 through 2025 and that Warren Buffett had contributed US$47.9 billion to the endowment as of the end of 2025. The cumulative giving and endowment contribution figures should not be confused with the 2022 endowment amount. The Foundation FAQ also describes the Gates Foundation Trust as a separate entity that holds the assets funding the Foundation; it says the Trust’s investments are managed by Cascade Asset Management and Foundation staff do not influence investment decisions.

How has the board changed since the announcement?

The 2022 roster is not a current roster. In a January 12, 2026 announcement, the Foundation said Sri Mulyani Indrawati had been appointed to the governing board and that Shafik was taking a leave of absence. The announcement listed Ashish Dhawan, Helene Gayle, Masiyiwa, Tierney, Suzman and Gates as other board members. It also said the Foundation was elevating its Africa and India offices to strengthen regional and country voices in strategy and implementation. These details reflect the Foundation’s January 2026 announcement; they do not establish whether the roster changed later. Read the announcement.

The Foundation FAQ says Melinda French Gates left the Foundation in 2024. It describes the board as providing strategic and financial oversight and comprising experts in areas including health, development, business, education, economics and public policy, alongside chair Bill Gates and CEO Mark Suzman. That is the Foundation’s own description of its governance.

What accountability information is public?

The Foundation says people can search its committed grants and access its audited financial statements and tax returns through its public materials. These disclosures provide ways to examine grant commitments and financial reporting, separate from the board’s internal responsibilities. Its FAQ explains the Foundation’s published information and the distinction between the Foundation and the Trust.

In July 2026, the Foundation said its board had approved recommendations following an external review of past engagements with Jeffrey Epstein, including a centralized vetting process for certain funding intermediaries. That later governance action is separate from the reasons the Foundation gave for expanding its board in 2022. The Foundation’s July 21, 2026 release describes those recommendations.
