The reported $1.1 billion figure was the approximate dollar value of the contemplated €1 billion purchase—not money already committed to Atos’s refinancing. Atos said the expiry would not affect its restructuring, but that was the company’s assessment, not an independent finding about its finances.
What happened to France’s offer for Atos?
Atos and the French government were discussing a state purchase of parts of Atos’s big data and security business, including advanced computing, mission-critical systems and cybersecurity activities that the government regarded as strategically important. The offer was non-binding. Atos said the government revised it on September 30, 2024, but the parties did not agree terms before it expired on October 4. Atos said it had submitted a new proposal and was willing to continue talks. CIO reported the expiry on October 7, 2024.
That means the transaction did not close: the State did not complete the contemplated purchase under that offer, and Atos did not receive its proposed purchase price from it. The report does not establish that a sale was guaranteed or that the offer was a committed source of refinancing.
Why was it described as a $1.1 billion hole?
The headline’s roughly $1.1 billion converts the proposed €1 billion purchase price into dollars. It describes a contemplated asset sale, not a refinancing facility or cash that Atos already held. The distinction matters because Atos had a separate, larger cash requirement in its restructuring plan.

In its April 2024 restructuring framework, Atos estimated that it would need €1.1 billion to fund the business during 2024 and 2025, revising its previous estimate of €600 million. The company said this funding would come as debt and/or equity from stakeholders or third-party investors. The estimate was a business-funding need; it was not the price of the government offer. So the failed offer removed a possible transaction from the picture, but the available facts do not show that it created a one-for-one €1 billion shortfall in committed refinancing. The offer was not binding, and the restructuring framework described other potential funding sources.

What did Atos mean by “don’t worry”?
Atos told CIO that “the expiry of the offer has no impact on the current financial restructuring process.” It also said its restructuring plan “includes the preservation of these activities within the Atos Group.” Those statements explain why Atos played down the expiry: the company said its restructuring could proceed while retaining the strategic activities. They should be read as Atos’s position, not as proof that the failed transaction had no financial consequences.
The proposed state acquisition and Atos’s restructuring plan were different paths. One involved a negotiated purchase of strategic assets by the State; the other, as Atos described it, would keep those activities in the group while the company reorganized its finances. The expired offer was not established as the sole possible source of funds.

What other support and restructuring plans were in place?
The asset-purchase talks were not the French State’s only involvement. The Finance Ministry said Atos had received a €50 million state loan associated with its accelerated safeguard process. It also said Atos and the State signed an agreement on June 26, 2024, to protect strategic activities; a State preference share was to be issued under that agreement. These were separate measures from the contemplated €1 billion asset purchase. The French Ministry of Economy and Finance describes the State’s involvement.
Atos’s September 2, 2024 market update said approval and execution of its restructuring were expected later that year. The plan was expected to include debt equitization, new-money debt and a rights issue; at the time, the safeguard plan was expected to go before the Commercial Court in Nanterre on October 15. These were forward-looking expectations in 2024, not statements that those steps had already been completed. Atos’s September 2 market update also projected leverage of 2.95x at the end of 2026, targeted a BB credit profile during 2027 and expected refinancing during 2028. Those figures were historical targets and forecasts, not current guidance.

What do Atos’s later liquidity figures show?
Later disclosures give a dated snapshot rather than a permanent measure of Atos’s liquidity. Atos reported €1.805 billion of liquidity at the end of June 2026. After the 1L tranche was fully repaid on July 6, liquidity was €948 million, according to the company’s 2026 half-year results.
In a July 20, 2026 forecast, Atos said expected liquidity at the end of 2026 was below €1.1 billion. Under the December 2024 financing documentation, the company said no disposal proceeds would therefore be applied to mandatory early repayment at that stage. This was a forecast tied to the financing documents and the company’s expected year-end position, not a statement about the 2024 offer’s status. Atos’s July 20, 2026 liquidity update provides the dated details.
