Electrocomponents plc agreed to buy IESA for £88 million on a cash-free and debt-free basis, announcing the deal on 24 May 2018 and completing it on 31 May. IESA was not a manufacturer of a single product: it helped large organisations source and manage indirect purchases, including maintenance, repair and operations (MRO) supplies, and oversee inventory and stores. The business later became part of RS Group’s integrated-supply operation.
What Electrocomponents acquired
Electrocomponents acquired IESA, legally identified in the announcement as AGHOCO 1079 Limited and its subsidiaries, from Gresham Private Equity and other sellers. IESA was based in Warrington, UK, and initially continued as a separate business unit within the group. The announcement described it as “a leading provider of value-added services to industrial customers”—the company’s characterization, not an independent ranking. The agreed £88 million consideration was stated on a cash-free and debt-free basis, subject to customary adjustments. That headline deal value is different from the figures later reported for acquisition accounting: for the year ended 31 March 2019, Electrocomponents recorded £30.9 million cash consideration and £29.5 million goodwill, alongside the fair value of acquired assets and liabilities. What IESA did in MRO and indirect procurement
IESA managed parts of corporate purchasing operations rather than selling one branded industrial product. Its services covered sourcing, transaction processing, and inventory and stores management for indirect procurement—purchases that support an organisation’s operations but are not necessarily incorporated into what it makes.

Procurement platform and services
IESA’s cloud-enabled proprietary marketplace, MyMRO, could be integrated into client systems. Electrocomponents said the platform was intended to help customers consolidate indirect-procurement vendors and improve efficiency. IESA also offered training and consultancy aimed at continuous improvement and inventory optimisation. How the revenue figures fit together
For the year ended 30 March 2018, Electrocomponents reported IESA total gross income of £232 million. That included £207 million of inventory pass-through revenue and £25 million of value-added-services fee revenue. The distinction matters: pass-through revenue reflects inventory purchases flowing through the service, while fee revenue represents charges for IESA’s services. The announcement said more than 90% of IESA revenue came from the UK, with the balance primarily in Europe. Electrocomponents presented the purchase as a way to broaden its value-added-services offer and e-commerce/platform capabilities, and to serve larger corporate customers outsourcing MRO, indirect procurement and inventory management. In its 2019 annual report, Electrocomponents said IESA contributed £27.3 million in revenue and £0.8 million in profit after tax to the group since the acquisition, through the reporting year ended 31 March 2019. Electrocomponents plc later became RS Group plc. RS Group’s company history records that IESA and Synovos were consolidated into RS Integrated Supply in 2022. RS Integrated Supply describes its present business as outsourced procurement and storeroom solutions for indirect materials. IESA is therefore best understood today as an acquired predecessor business within RS Group’s integrated-supply structure, rather than assumed to be a standalone current brand.
