Who bought EA, and how was the deal structured?

That structure took EA out of public-market trading; it was not simply a purchase of a controlling stake while EA remained a publicly traded company.
What does the $210-per-share payment mean?
The merger terms provided $210 in cash per share, and EA’s closing announcement said stockholders would receive that amount for each share they owned as of closing. The agreement includes exceptions, including shares held by stockholders who properly exercised appraisal rights. It is therefore more precise to describe $210 as the contractual cash consideration for eligible shares than as an unconditional payment to every holder. Why was the deal described as worth about $55 billion?
The approximately $55 billion figure was the transaction’s announced enterprise value, not the cash consideration for an individual shareholder. The announced financing structure included approximately $36 billion in equity investment and $20 billion in committed debt financing. For shareholders, the clearest per-share figure is the $210 cash consideration in the merger terms. Enterprise value and financing commitments describe the overall transaction and its proposed funding, not a different per-share payout.

PIF Deputy Governor and Head of International Investments Turqi Alnowaiser said PIF had been a minority investor in EA for more than five years and cited the company’s gaming franchises and intellectual property.
