EA’s $55 Billion Buyout Is Complete: What Happened to the Stock

Electronic Arts is no longer a publicly traded company. The acquisition announced in September 2025 closed on August 4, 2026, and EA said eligible common stockholders would receive $210 in cash per share held at closing. Who bought Electronic Arts?

EA agreed to be acquired by an investor consortium comprising the Public Investment Fund (PIF), Silver Lake, and Affinity Partners. In its September 29, 2025 announcement, EA described the transaction as an all-cash deal with an approximately $55 billion enterprise value. PIF agreed to roll over its existing 9.9% stake in EA. The merger agreement, dated September 28, 2025, provided for a merger subsidiary to merge into EA, with EA surviving as a wholly owned subsidiary of the acquisition parent. EA’s SEC-filed transaction materials disclosed $20 billion in committed debt financing to fund part of the deal. That financing commitment is not the deal’s total value. SEC-filed merger agreement.

What do the $55 billion and $210 figures mean?

They describe different measures of the transaction. EA’s approximately $55 billion figure was the announced enterprise value; $210 was the cash consideration per eligible common share. They should not be treated as interchangeable. The $20 billion disclosed in the SEC materials was committed debt financing, another distinct figure.

EA called the deal “the largest all-cash sponsor take-private investment in history” when it announced it. That was EA’s characterization at the time, not an independently verified ranking.

When was the deal announced, approved, and completed?

  1. September 29, 2025: EA announced the definitive acquisition agreement.
  2. December 22, 2025: EA said its stockholders approved the transaction at a special meeting. EA’s approval announcement.
  3. August 4, 2026: EA announced that the acquisition had closed. Eligible common stockholders were to receive $210 in cash for each eligible share held at closing. EA’s closing announcement.

Can investors still buy EA stock?

No. At closing, EA said its common stock had ceased trading and would be delisted from Nasdaq. The pre-acquisition ticker should not be treated as a currently traded public share. Investors with questions about how their shares or payment were handled should consult their broker or the transaction notices they received; the reviewed company announcements do not specify individual account processing details.

What is known about EA’s future under private ownership?

EA Chairman and CEO Andrew Wilson said at closing: “Together, we’ll invest boldly, accelerate innovation, and build the next generation of games and experiences for the hundreds of millions of players and fans who inspire us every day.” This describes the company’s ambition, not a demonstrated outcome. In the same release, PIF’s Turqi Alnowaiser described entertainment and sports as strategic focus areas, Silver Lake’s Egon Durban discussed investment in EA’s growth and AI, and Affinity Partners’ Jared Kushner discussed supporting EA’s reach and audience. EA separately reported approximately $7.5 billion in GAAP net revenue for fiscal year 2026. That is company revenue for a stated fiscal year, not the acquisition value. EA’s fiscal 2026 results.
