Devolver Digital Acquired System Era Softworks for Up to $40 Million

Devolver Digital’s acquisition of System Era Softworks included US$22 million in initial consideration, a release-triggered US$10 million payment, and up to US$8 million in performance earnout.

Devolver Digital acquired 100% of System Era Softworks, the developer of Astroneer, in a deal completed on 31 October 2023. The announced value was up to US$40 million—not a guaranteed cash price. It combined US$22 million in initial consideration, US$10 million contingent on a future game release, and up to US$8 million tied to performance targets. On 23 July 2026, Devolver said it had paid US$7.9 million of the deferred US$10 million.

What Devolver Digital acquired

Devolver Digital acquired the entire share capital of System Era Softworks. System Era developed Astroneer, the space-exploration game that was the acquisition’s central named intellectual property. Devolver’s 2023 annual report said Astroneer had generated more than US$87 million in gross revenue and attracted more than 13 million players “to date.” Those are figures reported in that annual report, not current totals. How the up-to-US$40-million deal was structured

The headline amount was a maximum made up of several components. Devolver’s 2023 announcement did not describe US$40 million as a fixed payment or as cash paid at completion.

Initial consideration US$22 million: US$20 million cash at completion, plus approximately US$2 million in shares and cash after a 12-month holdback period.
Deferred consideration US$10 million contingent on release of System Era’s next title.
Potential earnout Up to US$8 million, subject to periodic performance targets based on Astroneer’s EBITDA contribution for financial years ending 2023 through 2027.
Maximum announced total Up to US$40 million, subject to the stated conditions and working-capital adjustments.

What Devolver said the acquisition would add

Devolver presented the purchase as a way to add Astroneer to its portfolio, broaden beyond its core premium indie titles, and gain System Era’s experience building expandable games and running live operations. In its 2023 annual report, Devolver defined expandable games as premium titles that use ongoing content and feature updates to retain and attract players, with optional in-game purchases. This describes the company’s strategic framing; it does not by itself establish the financial performance of future releases.

What changed in the payment terms by July 2026

On 23 July 2026, Devolver announced that it had paid US$7.9 million of the US$10 million deferred consideration after STARSEEKER: Astroneer Expeditions entered Early Access. The company said the Early Access release had taken place the previous month. It described the US$7.9 million payment as approximately US$3.0 million in shares and US$4.9 million in cash. The remaining US$2.1 million was divided into two equal cash-and-share tranches due one year and two years after the 23 July 2026 announcement. This update concerns the US$10 million deferred consideration. It does not say whether any separate earnout tied to Astroneer’s EBITDA targets was achieved.

What the headline figure does—and does not—tell you

  • It is a ceiling, not a confirmed final price. The US$40 million figure includes amounts subject to release and performance conditions.
  • It is not all cash. The announced consideration included shares as well as cash, and the 2026 update also described a share component.
  • The 2026 payment update is specific to one component. It reports progress on the deferred US$10 million, not a final accounting of all consideration or the earnout.
  • Company-reported game figures have a time boundary. Devolver’s revenue and player totals were reported “to date” in its 2023 annual report and should not be treated as current 2026 totals.
