Proton did not turn its services into a conventional charity. Its Swiss nonprofit Proton Foundation became the primary shareholder of Proton AG, the for-profit company that continues to operate Proton’s services and earn subscription revenue. The structure is intended to protect Proton’s mission and make a mission-incompatible change of control harder—not to replace the commercial business.
What changed in June 2024
Proton announced the transition on June 17, 2024, the 10th anniversary of the crowdfunding campaign that helped launch Proton Mail. Founder and CEO Andy Yen, co-founder Jason Stockman, and Proton’s first employee, Dingchao Lu, donated shares to establish the Proton Foundation. Proton’s announcement describes the foundation as a Swiss nonprofit and Proton AG’s primary shareholder. Proton’s announcement explains the transfer; its current company overview continues to identify Proton AG as the operator of its services.
The practical distinction is between ownership and operations: the foundation holds the primary shareholder role, while Proton AG remains the commercial company that runs the products, employs staff, and receives subscription revenue. Users continue to use services provided by Proton’s operating business, rather than becoming customers of the foundation.
How the structure works

Proton’s foundation page describes its purpose as advancing privacy, freedom, and democracy. Official pages reviewed do not state the foundation’s exact percentage ownership of Proton AG, so it is more accurate to call it the primary shareholder than to claim it owns 100% of the company.

Why Proton says it created the foundation
Proton presents the foundation as a way to make its public-interest mission less dependent on the intentions of individual founders or future owners. Its shareholder position is intended to give it a blocking role if a change of control would conflict with that purpose. That is a governance safeguard, not a claim that every operational decision requires foundation approval or that Proton can never face financial trouble.
- Mission continuity: The foundation’s legal purpose is intended to persist through changes in management or personnel.
- Takeover protection: Proton says a change of control cannot happen without the foundation’s consent.
- Less reliance on individual owners: The foundation has no shareholders whose personal financial interests could supersede its stated purpose.
- Public-interest work: Proton says it will allocate 1% of revenue to the foundation’s charitable activities when financial conditions allow. This is conditional, not an unconditional annual donation promise.
These are Proton’s stated aims and governance design. They do not amount to an independently adjudicated guarantee that every future dispute or decision will be resolved in users’ favor.

Is Proton now a charity?
No, not in the ordinary sense of a donation-funded charity replacing a commercial service provider. Proton AG remains a for-profit operator, and Proton continues to sell subscriptions. Proton has also said the structure can accommodate employee stock options and could permit a public-market capital raise if needed; that describes a possibility, not a currently announced plan. The foundation’s nonprofit status should not be confused with U.S. 501(c)(3) status: the official materials reviewed describe a Swiss nonprofit registered in Geneva and do not establish U.S. tax-exempt status.
Proton says its paid plans help fund free services and support an independent business. Its pricing page presents free and paid access across services including Mail, Calendar, Drive, VPN, Pass, and Wallet. The model’s trade-off is straightforward: subscriptions can support long-term operations without advertising or reliance on a single donor, but the company still has to compete, generate revenue, and make commercial decisions.

What this means for Proton users
The ownership change does not by itself alter how a particular service works, what a subscription costs, or what privacy protections a product offers. Proton’s current company overview identifies Proton AG as the services operator and the Proton Foundation as its primary shareholder.
- The foundation structure does not make a subscription a charitable donation or establish that it is tax-deductible.
- It does not give users voting rights or direct governance control merely because they subscribe or once contributed to crowdfunding.
- It does not make products automatically end-to-end encrypted in the same way, or remove the need to evaluate product-specific encryption, metadata, recovery options, audits, terms, and legal obligations.
- It does not guarantee lower prices, perpetual free service, or immunity from courts, regulators, business pressures, or security failures.
For users, the foundation is best understood as an ownership and mission-protection measure. Technical and operational trust still depends on each product’s design and practices; nonprofit ownership is not proof that every service is risk-free.

Who governs the foundation?
Proton’s foundation page lists trustees Dr. Andy Yen, Antonio Gambardella, Prof. Carissa Veliz, and Sir Tim Berners-Lee. Yen’s presence is relevant: the ownership structure puts the company under a nonprofit foundation, but it does not mean the founder immediately left governance.
The official page identifies trustees but does not, in the materials reviewed, explain how trustees are appointed or replaced, whether Proton AG nominates trustees, how conflicts of interest are handled, or whether users have formal representation. Those are meaningful questions for evaluating the foundation’s long-term accountability. The published structure signals a mission lock, but readers should not infer user control or founder independence from that alone.

How Proton’s model differs from other mission-driven technology organizations
Proton’s announcement contrasts its arrangement with organizations such as Signal, Mozilla, Tor, and Wikipedia. Those organizations have different legal structures, revenue sources, and operating needs; Proton’s comparison is high-level rather than a complete independent governance audit. The useful distinction is the broad funding and control model:

These are broad descriptions, not a ranking. Each model has different constraints, and Proton’s distinctive choice is to retain a subscription-funded commercial operator while placing primary ownership in a nonprofit foundation.
What to watch when judging the structure
The arrangement is meaningful if the foundation consistently exercises its governance role in line with its stated purpose and if Proton AG remains financially sustainable. The foundation’s current page reports more than $5 million in grants to date; Proton’s 2024 announcement reported more than $2.7 million in grants during the preceding five years. These are figures reported at different times and should not be treated as directly comparable totals without common reporting periods and accounting scope.
